T S ADDENDJJM Addendum No. 1 to Contract No. 8-2019, is made and entered into
this - day of 2019, by and between Richmond, Indiana, a municipal
corporation acting by and through its Board of Sanitary Commissioners of the Richmond Sanitary
District and its Storm water Management Board, with its office at 50 North 51h Street, Richmond,
Indiana, 47374 (hereinafter referred to as "City"), and Gripp, Incorporated, 17322 Westfield Park
Road, Westfield, Indiana 46074 (hereinafter referred to as "Contractor").
WHEREAS, City and Contractor entered into Contract No. 8-20I9 on April S, 2019, in which the
Contractor was to furnish and install, on a purchase basis, certain flow monitoring
equipment for City's Richmond Sanitary District (hereinafter referred to as "RSD")
and its Storm water Management Board (hereinafter referred to as "SW"), and to
provide servicing of such equipment and related services, as specified and requested,
in an amount not to exceed Forty --Two Thousand Dollars and No Cents ( $42,000.00).
The response of Contractor was set forth in Exhibit "B", which was attached to and
incorporated into Contract No. 8-2019; and
WHEREAS, City is in need of additional work from Contractor to provide flow meters and flow
meter servicing. This Amendment increases the not -to -exceed amount for the on -call
services contained in Contract No. 8-2019, signed April 5, 2019. These meters are
require for monitoring RSD and SW's CSO's as well as metering for hydraulic
modeling in sewer design. Contractor is currently under contract, as set forth in
Contract No. 8--2019, to provide equipment and services through December 31, 2019.
This contract has options for the City to exercise, if it chooses, for calendar years
2020 and 2021. Additional expenses are expected in 2019 due to increased cost of
website hosting, additional meter and rain gauge purchases as well as the relocation
and continued maintenance on the Short -Creek Interceptor flow meters; and
WHEREAS, At the request and need of City, City and Contractor agree to amend Contract No. 8-
2019 for additional services as set forth in the above "WI EREAS", with all other
terms and covenants of Contract No. 8-2019, remaining intact and unchanged, except
that there would be additional costs and expenses incurred by Contractor in an
amount not to exceed Sixty -Four Thousand Eight Hundred Dollars and No Cents
($64,800.00) in this Addendum .No. I to Contract No. 8-2019, for a total amount due
Contractor from City not to exceed One Hundred Six Thousand Eight Hundred
Dollars and No Cents ($106,800.00) for Contract No. 8-2019, as amended in this
Addendum No I to Contract No. 8-2019.
NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained,
including the above stated recitals, City and Contractor agree as follows:
I. The City and Contractor executed and entered into Contract No. 8-2019, on April S,
2019. Pursuant to Contract -No. 8-2019, Section XI. Miscellaneous, Contract No. 8-
Addendum No. 1 to Contract No. 8-2019

2019 may be altered or amended in whole or in part at any time by filing with the
Agreement a written instrument setting forth such changes and signed by both parties.

2. At the request of, and as needed by City, Contractor, in this Amendment No. 1 to
Contract No. 8-2019, shall provide City With additional metering equipment and
servicing and on -call servicing as additional expenses for 2019 due to increased cost
of website hosting, additional meter and rain gauge purchases and due to the
relocation and continued maintenance on the Short Creek Interceptor flow meters, in
an amount that shall not exceed Sixty -Four Thousand Eight Hundred Dollars and No
Cents ($64,800.00), for a total amount due Contractor from City not to exceed One
Hundred Six Thousand Eight Hundred Dollars and,'
No Cents ($106,800.00) for
Contract No. 8-2019 and this Addendum No. 1 to Contract No. 8-2019. The funds
for the services and, equipment in this Addendum No. 1 to Contract No. 8-2019 shall
be paid equally by the Richmond Sanitary District and by the Storm water"
Department.
3. Both City and Contractor acknowledge and agree that, other than what is set forth
above in paragraph number 2, the remainder of the terms, conditions and covenants in
Contract No. 8--2019 shall remain intact and unchanged and shall continue to be in
fult force and effect.
4. Both parties agree that any person executing this Addendum No. 1 to Contract No. 8-
2019, in a representative capacity warrants that he or she has been duly authorized in
writing by his or her principal to execute this Addendum and such authorization has
not been rescinded or revoked.
. IN WITNESS V�IIEREOF, this Addendum No. 1 to Contract No. 8-2019, is executed and
approved by the ' undersigned representatives of the City and Contractor this day of
