THIS AGREEMENT made and entered into o this 0 70 day of 2019, and
referred to as Contract No. 93-2019, by and between the City of Richmond, Indiana, a
municipal corporation acting by and through its Board of Public works and Safety (hereinafter
referred to as the "City") and American Structurepoint, Inc., 7260 Shadeland Station,
Indianapolis, Indiana, 46256 (hereinafter referred to as the "Contractor").
SECTION I. STATEMENT AND SUBJECT OF WORK
City hereby retains Contractor to provide professional services to develop a new Site
Redevelopment Master Plan for the former hospital site located at 1401-1403 Chester Boulevard
for the City (the "Project").
Contractor's proposal is dated January 25, 2019, is attached hereto as Exhibit A, which proposal
consists of nine (9) pages, and which Exhibit is hereby incorporated by reference and made a
part of this Agreement. Contractor agrees to abide by the same.
Should any provisions, terms, or conditions contained 'n any of the documents attached hereto as
Exhibits, or in any of the documents incorporated by reference herein, conflict with any of the
provisions, terms, or conditions of this Agreement, this Agreement shall be controlling.
Contractor shall perform all work herein in a timely manner, conforming to all applicable
professional. standards. - The Parties acknowledge that no representations or warranties will be
made concerning any present conformance of the structures with applicable building codes,
except as otherwise indicated herein.
The Contractor shall furnish all labor, material, equipment, and services necessary for the proper
completion of all work specified.
No performance of services shall commence until the following has been met:
1. The City is in receipt of any required certificates of insurance;
2. The City is in receipt of any required affidavit signed by Contractor in
accordance with Indiana Code 22-5-1.7-11(a)(2); and
3. A purchase order has been issued by the Purchasing Department.
SECTION II. STATUS OF CONTRACTOR
Contractor shall be deemed to be an independent contractor and is not an employee or agent of
the City of Richmond. The Contractor shall provide, at its own expense, competent supervision
of the work.

SECTION III. COMPENSATION
Contractor will be paid a total sum not to exceed Fifty Thousand Dollars and Zero Cents
($50,000.00) for the complete and satisfactory performance of this Agreement. Contractor and
City understand, acknowledge, and agree that City shall only be responsible for fifty percent
(50%) of the above -listed total amount to be paid to Contractor for satisfactory completion of
this Agreement. Although not a party to this Agreement, the County Commissioners of Wayne
County, Indiana, as its governing body, has agreed to pay the matching fifty percent (50%) of the
total amount to be paid to Contractor, as evidenced by the below signature and acknowledgement
of the representative for said Commissioners. The City will invoice the County for said
matching percentage to be paid.
SECTION IV. TERM OF AGREEMENT
This Agreement shall be effective when signed by all parties and shall continue in effect until
satisfactory completion of the Project, which completion is expected to be finished on or before
December 313 2019.
Notwithstanding the term of this Agreement, City may terminate this Agreement in whole or in
part, for cause, at any time by giving at least five (5) working days written notice specifying the
effective date and the reasons for termination which shall include but not be limited to the
following:
a. failure, for any reason of the Contractor to fulfill in a timely manner
its obligations under this Agreement;
b. submission of a report, other work product, or advice, whether oral or written, by the
Contractor to the City that is incorrect, incomplete, or does not meet reasonable
professional standards in any material respect;
c. ineffective or improper use of funds provided under this Agreement;
d. suspension or termination of the grant funding to the City under which this Agreement
is made; or
e. unavailability of sufficient funds to make payment on this Agreement.
In the event of such termination, the City shall be required to make payment for all work
performed prior to the date this Agreement is terminated, but shall be relieved of any other
responsibility herein.
This Agreement may also be terminated, in whole or in part, by mutual Agreement of the parties
by setting forth the reasons for such termination, the effective date, and in the case of partial
termination, the portion to be terminated.

SECTION V. INDEMNIFICATION AND INSURANCE
Contractor agrees to obtain insurance and to indemnify the City for any damage, loss, or cost to
the extent it arises from damage or injury to person or property caused by the Contractor's
willful misconduct or negligent performance of its services under this Agreement; provided,
however, that nothing contained in this Agreement shall be construed as rendering the Contractor
liable for acts of the City, its officers, agents, or employees. Contractor shall as a prerequisite to
this Agreement, purchase and thereafter maintain such insurance as will protect it from the
claims set forth below which may arise out of or result from the Contractor's operations under
this Agreement, whether such operations by the Contractor or by any sub -contractors or by
anyone directly or indirectly employed by any of them, or by anyone for whose acts the
Contractor may be held responsible.

SECTION VI. COMPLIANCE WITH WORKER'S COMPENSATION LAW
Contractor shall comply with all provisions of the Indiana Worker's Compensation law, and
shall, before commencing work under this Agreement, provide the City a certificate of insurance,
or a certificate from the industrial board showing that the Contractor has complied with Indiana

Code Sections 22-3-2-5, 22-3-5-1 and 22-3-5-2. If Contractor is an out of state employer and
therefore subject to another state's worker's compensation law, Contractor may choose to
comply with all provisions of its home state's worker's compensation law and provide the City
proof of such compliance in lieu of complying with the provisions of the Indiana worker's
Compensation Law.
SECTION VII. COMPLIANCE WITH INDIANA E-VERIFY PROGRAM REQUIREMENTS
Pursuant to Indiana Code 22-5-1.7, Contractor is required to enroll in and verify the work
eligibility status of all newly hired employees of the contractor through the Indiana E-Verify
program. Contractor is not required to verify the work eligibility status of all newly hired
employees of the contractor through the Indiana E-Verify program if the Indiana E-Verify
program no longer exists. Prior to the performance of this Agreement, Contractor shall provide
to the City its signed Affidavit affirming that Contractor does not knowingly employ an
unauthorized alien in accordance with IC 22-5-1.7-11 (a) (2). In the event Contractor violates IC
22-5-1.7 the Contractor shall be required to remedy the violation not later than thirty (30) days
after the City notifies the Contractor of the violation. If Contractor fails to remedy the violation
within the thirty (30) day period provided above, the City shall consider the Contractor to be in
breach of this Agreement and this Agreement will be terminated. If the City determines that
terminating this Agreement would be detrimental to the public interest or public property, the
City may allow this Agreement to remain in effect until the City procures a new contractor. If
this Agreement is terminated under this section, then pursuant to IC 22-5-1.7-13 (c) the
Contractor will remain liable to the City for actual damages.
SECTION VIII. IRAN INVESTMENT ACTIVITIES
Pursuant to Indiana Code (IC) 5-22-16.5, Contractor certifies that Contractor is not engaged in
investment activities in Iran. In the event City determines during the course of this Agreement
that this certification is no longer valid, City shall notify Contractor in writing of said
determination and shall give contractor ninety (90) days within which to respond to the written
notice. In the event Contractor fails to demonstrate to the City that the Contractor has ceased
investment activities in Iran within ninety (90) days after the written notice is given to the
Contractor, the City may proceed with any remedies it may have pursuant to IC 5-22-16.5. In
the event the City determines during the course of this Agreement that this certification is no
longer valid and said determination is not refitted by Contractor in the manner set forth in IC 5-
22-16.5, the City reserves the right to consider the Contractor to be in breach of this Agreement
and terminate the agreement upon the expiration of the ninety (90) day period set forth above.
SECTION IX. PROHIBITION AGAINST DISCRIMINATION
A. Pursuant to Indiana Code 22--9-1-10, Contractor, any sub -contractor, or any person acting
on behalf of Contractor or any sub -contractor shall not discriminate against any employee
or applicant for employment to be employed in the performance of this Agreement, with
respect to hire, tenure, terms, conditions or privileges of employment or any matter
directly or indirectly related to employment, because of race, religion, color, sex,
disability, national origin, or ancestry.

B . Pursuant to Indiana Code 5--16-6--1, the Contractor agrees:
1. That in the hiring of employees for the performance of work under this
Agreement of any subcontract hereunder, Contractor, any subcontractor, or any
person acting on behalf of Contractor or any sub --contractor, shall not discriminate
by reason of race, religion, color, sex, national origin or ancestry against any
citizen of the State of Indiana who is qualified and available to perform the work
to which the employment relates;
2. That Contractor, any sub -contractor, or any person action on behalf of Contractor
or any sub -contractor shall in no manner discriminate against or intimidate any
employee hired for the performance of work under this Agreement on account of
race, religion, color, sex, national origin or ancestry;
3. That there may be deducted from the amount payable to Contractor by the City
under this Agreement, a penalty of five dollars ($5.00) for each person for each
calendar day during which such person was discriminated against or intimidated
in violation of the provisions of the Agreement; and
4. That this Agreement may be canceled or terminated by the City and all money
due or to become due hereunder may be forfeited, for a second or any subsequent
violation of the terms or conditions of this section of the Agreement.
C. Violation of the terms or conditions of this Agreement relating to discrimination or
intimidation shall be considered a material breach of this Agreement.
SECTION X. RELEASE OF LIABILITY
To the extent permitted by law, the parties (1) waive against each other, and the other's
employees, officers, directors, members, agents, insurers, partners, and consultants, any and all
claims for or entitlement to incidental, indirect, or consequential damages arising out of,
resulting from, or in any way related to this Agreement or Project and (2) agree that the
Contractor's liability to the City under this Agreement shall be limited to One Million Dollars
($1,000,000.00) or the total amount of compensation received by Contractor, whichever is
greater. Contractor and the City agree that compensatory damages arising out of this Agreement
or the Project are permissible under this provision.
SECTION XI. MISCELLANEOUS
This Agreement is personal to the parties hereto and neither party may assign or delegate any of
its rights or obligations hereunder without the prior written consent of the other party. Any such
delegation or assignment, without the prior written consent of the other party, shall be null and
void. This Agreement shall be controlled by and interpreted according to Indiana law and shall
be binding upon the parties, their successors and assigns. This document constitutes the entire
Agreement between the parties, although it may be altered or amended in whole or in part at any

time by filing with the Agreement a written instrument setting forth such changes signed by both
parties. By executing this Agreement the parties agree that this document supersedes any
previous discussion, negotiation, or conversation relating to the subject matter contained herein.
This Agreement may be simultaneously executed in several counterparts, each of which shall be
an original and all of which shall constitute but one and the same instrument.
The parties hereto submit to jurisdiction of the courts of Wayne County, Indiana, and any suit
arising out of this Contract must be filed in said courts. By executing this Agreement, Contractor
is estoppel from bringing suit or any other action in any alternative forum, venue, or in front of
any other tribunal, court, or administrative body other than the Circuit or Superior Courts of
Wayne County, Indiana, regardless of any right Contractor may have to bring such suit in front
of other tribunals or in other venues. Notwithstanding the foregoing, in the event of a dispute,
the parties specifically agree to negotiate the dispute between there in good faith during the thirty
(30) days after a written notice of dispute. If negotiations do not result in an amicable written
resolution within said thirty (3 0) day timeframe, then the dispute may be mediated within ninety
(90) days. If mediation is unsuccessful within said ninety (90) day timeframe, then the parties
may exercise their rights at law.
Any person executing this Contract in a representative capacity hereby warrants that he/she has
been duly authorized by his or her principal to execute this Contract.
In the event of any breach of this Agreement by Contractor, and in addition to any other damages
or remedies, Contractor shall be liable for all costs incurred by City in its efforts to enforce this
Agreement, including but not limited to, City's reasonable attorney's fees.

In the event that an ambiguity, question of intent, or a need for interpretation of this Agreement
arises, this Agreement shall be construed as if drafted jointly by the parties, and no presumption
or burden of proof shall arise favoring or disfavoring any party by virtue of the authorship of any
of the provisions of this Agreement.
IN WITNESS WHEREOF, the parties have executed this Agreement at Richmond, Indiana, as of
the day and year first written above, although signatures may be affixed on different dates.

American Structurepoint, Inc., is excited to provide the following proposal for the master plan of the
former hospital site.
PROJECT UNDERSTANDING
We understand that the City of Richmond (the "City") is seeking professional services for the
completion of a site redevelopment master plan for the approximately 66 acres at 1401 Chester
Boulevard. We further understand that the City intends for the master planning process to identify a
long term vision for the site in addition to identifying the highest and best use for the property.
As a key redevelopment area for the City, our team believes that this site, when redeveloped, has
the opportunity to provide public amenities and public open space while also improving the
economic development efforts currently underway. Due to the rich history and public perception of
this property, our team believes that the master planning process should utilize a multifaceted
engagement strategy that includes a steering committee, stakeholder interviews and public
workshops.
To ensure that the public engagement strategy is efficient and effective, our team recommends that
this master planning process be done in conjunction with the City's Comprehensive Planning process.
We would further recommend that this master plan be fully integrated into the Comprehensive Plan
and adopted as a subarea plan. This dual process, and comprehensive deliverable will provide the
City with an efficient process, a series of useable deliverables and will allow the team to build public
interest in momentum for the redevelopment and the City as a whole.

At the end of this process, the City will have a road map by which to guide development and future capital
investments for both the City and this redevelopment site.
CLIENT PROVIDED ITEMS AND ASSUMPTIONS
Our team has used the following assumptions to generate the proposed scope of work.
1. The City will provide all available and applicable information/ data on the study area. This includes
but is not limited to property ownership, environmental remediation (current and future), and
demolition work.
2. Locating, booking and handling the logistics (e.g. audio visual equipment and refreshments) of
meeting locations, will be the responsibility of the City.
3. All master plan information will be posted to the City of Richmond Comprehensive Plan website.
PROPOSED SCOPE OF WORK
Phase 1: Plan Initiation
Along with the business functions of finalizing a project scope, work plan, and final contract, the plan
organization phase will include finalizing formation of the steering committee and steering committee
training and organization.
Task 1.1: Project Steering Committee
As a function of the Richmond Comprehensive Plan, American Structurepoint will continue to facilitate
meetings and discussion with the project steering committee. It is assumed that the Richmond
Comprehensive Plan Steering Committee will review and provide guidance on the master planning
process as a component of the Comprehensive Plan. Additional meetings of the steering committee
meeting -are outlined as a component of this scope of work.
Task 1.2: Sub Area Steering Committee
American Structurepoint will assist in the creation of a sub area steering committee. This sub area
steering committee is a volunteer group of city officials, business owners, community leaders, and
other owner -identified stakeholders that have either a vested interest in the site, or working
knowledge of the site's existing conditions and history. The sub steering committee should consist of
community leaders who represent stakeholder groups that will be most responsible for the plan's
implementation. Representation on this group could include: .
• City.,of Richmond leadership and key department leads
• Surrounding business/property owners
• Economic Development Corporation members
• Redevelopment Commission members
• City/ County Council representatives
Chamber of Commerce/Tourism
• Interested citizen leaders

Task 1.3: Project Communication
American Structurepoint will utilize the Richmond Comprehensive Plan website as well as the tools/
methods outlined in the Comprehensive Plan Communications and Engagement plan t❑ provide the
public with project information, progress updates and details on the concept development.
Task 1.4: Public Perception_Kick off
American Structurepoint will work with the City to develop a project brochure or marketing mailer.
The mailer is intended to be used to notify the public of the process and provide instructions on how
they can be involved in the process.
Task 1.5: . Project_ Kickoff Meeting
The first meeting with the sub steering committee will be held in an informational format to discuss
the purpose of the planning process, project schedule and milestones, what the end product will be,
and how to get involved. The meeting will also include discussion on appropriate methods to engage
additional stakeholders and the general public.

Conditions Summary. In addition to reviewing existing plans and demographic data and socio-
economic data maintained by the City and County, the team will provide the following:
Task 2.1: Site Inventory and Anal sIs
A thorough site inventory and analysis will be conducted to understand barriers to development and
ascertain key information needed for the development of workable concepts for the area. More
specifically, the site inventory and analysis will collect information available from secondary sources
on:
• Existing conditions '

• Floodplain/ Floodway limits
Slope and contours
• Surrounding land use and demographics
• Site features

Task 2.2: Stakeholder Engagement Meetings
American Structurepoint will conduct a series of interviews and focus groups with stakeholders. The
engagement meetings, conducted in a charrette format, will identify strengths, weaknesses,
opportunities, and threats that are unique to the project site, as well as begin to ascertain views
toward the highest and best use for the project area. The meetings will be structured on specific
subject matter with some groups focusing on the entire project area while others will focus more on
the park space or economic development opportunities.
Task 2.3: Developer Roundtable Discussion
American Structurepoint will convene and facilitate a meeting of local developers to better
understand the market opportunities and constraints. working with the City, a list of developers will
be generated and key individuals will be invited to participate in a series of stakeholder interviews or
small group discussions. This 'Developer Roundtable Discussion' is intended to be a preliminary
market analysis tool and can be supplemented with a formal Market Study.
Phase 2: Deliverables/ Meetings
• One (1) Community Report- Site inventory and analysis of study area
• Stakeholder engagement meetings; we assume multiple meetings will be held during one (1)
full day
• Contact list of local developers
• One (1) Developer Roundtable Discussion (agenda, materials and summary included)
Phase 3: Site Visioning
A vision is a pragmatic dream of what the area should be in the future (ten years). The vision serves as the
base on which to build the plan; it serves as the plan's outcome if fully implemented. The vision for the
site should be complimentary to that of the City, but should provide specific information to guide
redevelopment of the site itself. Our team's proposed process will ensure that the vision of the former
Reid Hospital is developed in conjunction with the vision for the City's Comprehensive Plan.
Task 3.1: Visioning Session- Steering Committee and Sub Area Steering Committee
American Structurepoint will facilitate a collaborative work session with both the Richmond
Comprehensive Plan Steering Committee and the Sub Area Steering Committee. The work session will
be focused on identifying the redevelopment vision of the site. Using a mix of "visioning boards",
"visual preference surveys", and hands on exercises, the team will work generate ideas and
suggestions on an overall theme or concept for the proposed redevelopment site.

Task 3.2 Visionin Session- Public Workshop
Using the information developed as a part of Task 3.1, American Structurepoint will facilitate a
collaborative work session that is open to the public. The public work session will be focused on
identifying the redevelopment vision of the site, but will also provide the public with the opportunity
to review and provide input on existing site information and known site constraints.
Task 3.3 Public Opinion Survey*
As a component of the Richmond Comprehensive Plan Vision and Values Public Opinion Survey,
American Structurepoint will ensure that site specific questions are integrated into the online survey.
Phase 3: Deliverables Meetings

Steering Committee (agenda, materials and summary included)
• one (1) Visioning session public workshop (agenda, materials and summary included)

Phase 4: Site Scenario Development
Task-4.1: Plan Development Session- Steering Committee and Sub Area Steering Committee
American Structurepoint will facilitate a collaborative work session with both the Richmond
Comprehensive Plan Steering Committee and the Sub Area Steering Committee. The work session will
be focused on reviewing the input gained during the tasks in Phase 3. The outcome of this work
session will be an aspirational site program that includes future Iand use, site features and necessary
site amenities.
Task 41: Preliminary Concept Development
Using the outcome of Task 3.1, 3.2, 3.3 and 4.1, American Structurepoint will develop a minimum of
three (3) conceptual site development plans. It is anticipated that the preliminary concepts will
integrate a diverse set of development uses, site features and public amenities. Specifically, the
conceptual site plans will identify recommendations for land use, building location, building square
footage, vehicular transportation, parking, pedestrian and or bicycle infrastructure, drainage and
necessary site features deemed appropriate for the development.
Task 4.3: Preliminary Concept Analysis- Steering Committee and Sub Area Steering Committee
American Structurepoint will facilitate a collaborative work session with both the Richmond
Comprehensive Plan Steering Committee and the Sub Area Steering Committee. The work session will
be focused on reviewing the proposed preliminary concepts and comparing them to the agreed upon
vision and site program. The outcome of this meeting will be used to develop the Final Site
Development Plan outlined in Task 5.2.
Task 4.4: Preliminary Concept Review and Prioritization- Public Workshop
Once the preliminary concepts are in draft form and approved by the steering committees, the
contents will be presented in a public open house format meeting. This meeting will serve to present
the plans and ideas to the public and elicit feedback.

Task 4.5:: Public 012inion Survey*
As a component of the Richmond Comprehensive Plan Document Review Public Opinion Survey,
American Structurepoint will ensure that site concept development questions are integrated into the
online survey.

Phase 5: Conceptual Plan Completion
Task 5.1: Plan Recommendations Session- Steering Committee and Sub Area Steeriniz Committee
American Structurepoint will facilitate a collaborative work session with both the Richmond
Comprehensive Plan Steering Committee and the Sub Area Steering Committee. The work session will
be focused on reviewing the input gained during Tasks 4.3, 4.4, 4 and 4.5. The outcome of this work
session will be a refined site program and an initial prioritization of site improvements.
Task 5.2: Final Site Development Plan
Using the input gained during Task 5.1, -American Structurepoint will develop one (1) refined site
master plan. At a minimum the final site development will include recommendations forthe following:
1. Land -use plan for short- and long-term land use
2. Transportation improvement recommendations
3. Streetscape improvement options
4. Preliminary site drainage
5. Site utility connections
6. Public and private amenities
7. Open space development
Task 5.3: Pro'ect Prioritization and Costs
American Structurepoint will work with the City, and the project steering committees to preliminarily
identify the projects that may potentially be needed ahead of or during redevelopment. American
Structurepoint will work to create detailed project budgets, timelines and benchmarks for each
identified project.

Task 5.4: Implementation Framework
American Structurepoint will work with the City to identify appropriate funding mechanisms and/or
partnerships in an effort to guide the implementation of the plan's recommendations. The outcomes
of this task will allow the project team and the City to come to consensus about the phasing of key
site improvements.
Task 5.5: Final Site Redevelopment Plan Document
The team will develop all written narratives, drawings and visuals necessary to convey the design and
character of the redevelopment recommendations. The information will be formatted and included
as component of the final Richmond Comprehensive Plan.
Phase 5: Deliverables Meetings
• One (1) Plan Recommendations Session with the Comprehensive Plan Steering Committee
and the Sub Area Steering Committee (agenda, materials and summary included)
• one (1) Final Site Development Plan that feature recommendations for land use, building
location, building square footage, vehicular transportation, parking, pedestrian and or bicycle
infrastructure, drainage and necessary site features deemed appropriate for the
development.
• Large-scale concept plans identifying the proposed site improvements with annotated
information as necessary. Where appropriate, additional plans/ renderings will be created to
better illustrate existing conditions and future recommendations. All plans will be easyto read
and understand.
• Written narrative and supporting graphic documents outlining the project process,
methodology, proposed alternatives, preferred alternatives, impact on local property values,
and detailed action steps for implementation
• Final written and graphic deliverables as necessary for project completion
Phase 6: Plan Adoption
It is anticipated that this master plan will be adopted as a component of the City's Comprehensive Plan.
The review, editing and adoption of this scope of work will be done in accordance with the Richmond
Comprehensive Plan Scope of work.
American Structurepoint shall have no responsibility for any services or work, except as expressly
identified in our agreement or as subsequently agreed to in writing. Any and all actions, communications,
or work by American Structurepoint related to the project shall be subject to the terms of our agreement,
except as otherwise stated by American Structurepoint. We shall have no responsibility for oversight or
supervision of the contractors or their employees, for the means, and methods of construction, for the
safety of persons on or off the job site, or the schedule. We shall have no responsibility to inspect for, or
remove, hazardous materials.
We will perform these services in a manner consistent with the degree of care and skill ordinarily exercised
by members of the same profession currently practicing - u-nder similar circumstances. American
Structurepoint's services are intended for the sole benefit of the client and are not intended to create any
rights or benefits for any other parties. American Structurepoint shall not be responsible for the acts or

omissions of the owner, the contractor and subcontractors, and their respective agents and employees,
or any other persons or entities performing work on the project who are not under the direct control or
authority of American Structurepoint.

Full payment of invoices is due within thirty (30) days from invoice date. The fee amounts are as follows.
1f payment is not made within thirty (30) days of the date when the payment is due, we may, at our option,
and effective upon the delivery of written notice of our intention to do so, terminate the contract or
suspend further performance of our services under the contract, and we shall have no liability for delay
or damage that results from the termination of the contract or suspension of services.
If the assumptions made in the scope of services relative to extent -of work are found to change, you will
be notified in writing and a new (extra or reduced) fee will be presented. However, we recognize that it
may not always be possible to provide written changes, as the client may need to request immediate
change oradditional services, and the administrative delays co.uld be detrimental and costlyto the project.
In such case, requests for additional services will be invoiced on a time and materials basis.
For permitting fees we would appreciate receiving a checktwo (2) days in advance of the submittal date,

made payable to the regulatory agency. We will notify you seven (7) days prior to submitting plans to a
regulatory agency so that you may provide us with a check.
