OF THE CITY OF RICHMOND, INDIANA
RESOLUTION NO. 8 -2006
A RESOLUTION AUTHORIZING EXECUTION OF QUIT CLAIM DEED FOR
REVERSIONARY INTEREST IN REAL ESTATE
WHEREAS, The Board of Public Works and Safety ( "Board ") is the disposing
agent for real property owned and to be transferred or acquired by
the City of Richmond, Indiana ( "City ") pursuant to the provisions
of Indiana Code (IC) 36 -1 -11, et. Seq. (the "Act'); and
WHEREAS, The City of Richmond, Indiana, has no ownership right but does
have a reversionary interest in certain real estate located at 1401
Chester Boulevard, Richmond, Indiana, and described in Exhibit
"A ",; and
WHEREAS, A Quit Claim Deed, attached as Exhibit "B ", has been prepared in
which City conveys to Reid Hospital & Health Care Services, Inc.,
a reversionary interest as well as any interest the City has or may
have in the real estate located at 1401 Chester Boulevard,
Richmond, Indiana and described in Exhibit "A "; and
WHEREAS, It is necessary to execute this Quit Claim Deed to Reid Hospital
and Health Care Services, Inc., in order to insure that clear title to
the real estate is conveyed. City does not own said real estate but
merely has a reversionary interest on said real estate described in
Exhibit "A" above and this Quit Claim Deed will convey to Reid
Hospital and Health Care Services, Inc., whatever interest the City
has or may have in said real estate.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF PUBLIC WORKS
AND SAFETY OF RICHMOND, INDIANA, that said Board approves, subject to any
requirements necessary for the conveyance of said property, with said requirements to be
determined and approved by the Law Department of the City of Richmond, to convey the
real estate described in attached Exhibit A and located at 1401 Chester Boulevard,
Richmond, Indiana, to Reid Hospital & Health Care Services, Inc., for the total sum of
One Dollar ($1.00) and other good and valuable consideration.
NOW FURTHER BE IT RESOLVED BY the Board of Public Works and Safety of
Richmond, Indiana, that the Board President, John P. Kenny, for and on behalf of the
City of Richmond, Indiana, acting through its Board of Public Works and Safety of
Richmond, Indiana, be authorized to sign the Quit Claim Deed conveying the real estate
set forth in Exhibit "A" to Reid Hospital & Health Care Services, Inc., and to sign any
and all other documents necessary or required to effectuate transfer of the interest in the
real estate located at 1401 Chester Boulevard, Richmond, Indiana, and set forth in Exhibit
"A" to Reid Hospital & Health Care Services, Inc.
NOW FURTHER BE IT RESOLVED by the Board of Public Works and Safety of
Richmond, Indiana, that the City Attorney, Walter S. Chidester, or the Assistant City
Attorney, Kenyatta P. Cox, or Mayor Sarah L. Hutton be authorized to take all other
action necessary (including, but not limited to, signing any and all documents) to
effectuate the transfer of reversionary interest in the real estate located at 1401 Chester
Boulevard, Richmond, Indiana and set forth in Exhibit "A" from the City of Richmond,
Indiana to Reid Hospital & Health Care Services, Inc.
THIS RESOLUTION IS ADOPTED THIS 21ST DAY OF SEPTEMBER, 2006.

Exhibit A
A part of the Southwest Quarter of Section 28 and a part of the Northwest
Quarter of Section 33, in Township 14 North, Range 1 West, bounded and
described as follows:
Beginning at the southwest corner of said Section 28 at or near the middle
line of North Tenth Street of the City of Richmond, and running thence
north along the west line of said Section 12.52 rods; thence south 72
degrees 5 minutes east along the south line of the Reid Memorial Hospital
grounds 12 rods to an iron bolt; thence south parallel with the west line of
said Sections to the south line of Tract No. 412 Official Map of said City
of Richmond in the Northwest Quarter of said Section 33; thence north 88
degrees 15 minutes west along the south line of said Tract No. 412 to the
west line of said Section 33; thence north 22.60 rods to the place of
beginning; subject to the perpetual rights, privileges and easements of the
said Grantors hereby reserved by and for them and their heirs, devisees,
invites, licensees and assigns in and to the certain roadway now and
heretofore existing along and upon the entire north side of said real estate,
which roadway so hereby reserved shall not exceed forty feet in width, for
ingress, egress and regress to and from the land of said Grantors situate on
the east and adjacent to the land hereby conveyed, and subject to all rights,
privileges and easements, if any, of one John Wesley Barnes, the owner of
other land situate east or northeast of the land hereby conveyed, and /or
any other person or the public in and to said roadway or the use thereof.

QUIT CLAIM DEED
THIS INDENTURE WITNESSETH, that
CITY OF RICHMOND, also known as THE CITY OF RICHMOND,
RICHMOND, INDIANA, an Indiana Municipal Corporation acting through its
Board of Public Works and Safety, conveys and quit claims to:
REID HOSPITAL & HEALTH CARE SERVICES, INC., formerly known as REID
MEMORIAL HOSPITAL, a corporation organized and existing under the laws of the
State of Indiana
of Richmond, County of Wayne, State of Indiana, for and in consideration of One Dollar
and No Cents ($1.00) and other valuable consideration, the receipt whereof is hereby
accepted, its reversionary interest in the following described real estate situate in Wayne
County, Indiana, to -wit:

Subject to all liens, taxes and assessments.
The Grantor herein further certifies that there is no Indiana Gross Income Tax due as a
result of this conveyance by virtue of Indiana Code 6- 3- 2- 2.8(l) and /or 6 -3 -2- 2.8(2).
Grantor represents and states that it is executing this Quit -Claim Deed to release any and
all interest Grantor has, or may have, in and to the real estate described above, including,
but not limited to, its reversionary interest described in that certain deed from Gath P.
Freeman and Almira S. Freeman to Reid Memorial Hospital, dated May 3, 1945, and
recorded on June 15, 1945, in deed record 209, page 387 of the records of the Recorder of
Wayne County, Indiana.
Grantor represents that this conveyance is made pursuant to statutory authority and
Resolution of the Richmond Board of Public Works and Safety, which authority has not
been rescinded, amended or altered in any particular.
IN WITNESS WHEREOF, The City of Richmond, Indiana, has executed this deed this
day of September, 2006.
