OF THE CITY OF RICHMOND, INDIANA
RESOLUTION NO. 6 -2008
A RESOLUTION AUTHORIZING THE SALE OF REAL ESTATE
WHEREAS, The Board of Public Works and Safety ( "Board ") is the disposing
agent for real property owned and to be transferred or acquired by
the City of Richmond, Indiana ( "City ") pursuant to the provisions
of Indiana Code (IC) 36 -1 -11, et. Seq. (the "Act "); and
WHEREAS, On August 28, 2008, a Real Estate Purchase Agreement was
entered into by and between the City of Richmond, Indiana, a
municipal corporation as Seller, (hereinafter referred to as "City ")
and Reid Hospital & Health Care Services, Inc., as Purchaser,
(hereinafter referred to as "Reid ") for the purchase price of One
Thousand Two Hundred Eleven Dollars ($ 1,211.00).
WHEREAS, The August 28, 2008 Real Estate Purchase Agreement needs to be
approved by the City of Richmond, Indiana, by and through its
Board of Public Works and Safety, in that the City of Richmond,
Indiana, is the owner of the real estate being sold or will be by
closing of the sale of the real estate. The real estate being sold is
legally described on the document that is attached hereto and
incorporated herein by reference as Exhibit "A ".
WHEREAS, The Purchaser, Reid, is anxious to close as soon as possible on the
sale of the real estate described in Exhibit "A ". A closing date has
not yet been scheduled but it is hoped to be able to close the week
of September 2 -5, 2008.
WHERAS, This Real Estate Purchase Agreement is expressly contingent upon
Secondary Plat approval of the signs for Reid by the Advisory Plan
Commission of City on August 28, 2008.
WHEREAS, The Board of Public Works and Safety of the City of Richmond is
the entity that must approve the sale of real estate on behalf of the
City of Richmond; and
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF PUBLIC WORKS
AND SAFETY OF RICHMOND, INDIANA, expressly contingent upon the Secondary
Plat approval by the City's Advisory Plan Commission on August 28, 2008, that said
Board approves the sale of the real estate as described on Exhibit "A" to Reid Hospital &
Health Care Services, Inc. of Wayne County, Indiana from the City of Richmond,
Indiana, for the total sum of One Thousand Two Hundred Eleven Dollars ($ 1,211.00).
NOW FURTHER BE IT RESOLVED BY the Board of Public Works and Safety of
Richmond, Indiana, that the Board President, Vicki Robinson, acting for and on behalf of
the City of Richmond, Indiana and acting through its Board of Public Works and Safety,
be authorized to sign the Real Estate Purchase Agreement and Deed conveying the real
estate described and set forth in Exhibit "A" to Reid Hospital & Health Care Services of
Wayne County, Indiana, and to sign any and all other documents necessary or required to
effectuate the sale and transfer of the real estate as set forth in Exhibit "A ".
NOW FURTHER BE IT RESOLVED by the Board of Public Works and Safety of
Richmond, Indiana, that the City Attorney, Walter S. Chidester, or the Assistant City
Attorney, Kimberly A. Vessels, or Anthony Foster II, and /or Mayor Sally L. Hutton be
authorized to take all other action necessary, including, but not limited to, signing any
and all documents, to effectuate the sale, transfer and closing of the real estate described
in Exhibit "A" from the City of Richmond, Indiana to Reid Hospital & Health Care
Services, Inc. of Wayne County, Indiana.
THIS RESOLUTION IS ADOPTED THIS 28 DAY OF AUGUST, 2008.
