ADDENDUM
TS ADDENDUM, (Number 2 to Contract No. 106-2018) is made and entered into
this I u ` day of JGihtf, , 2020, by and between Richmond, Indiana, a municipal
corporation acting through its Board of Public Works and Safety with its office at 50 North 5th
Street, Richmond, Indiana, (hereinafter referred to as "City"), and Sarah Mitchell, 312 South 13'h
Street, Richmond, Indiana, 47375 (hereinafter referred to as "Contractor").
WHEREAS, City and Contractor entered into Contract No. 106-2018 on June 21, 2018, and
Addendum No. 1 to said Agreement on January 31, 2019; and
WHEREAS, City wishes to continue to retain Contractor to continue to provide services as the
Interim Project Manager for the City's Blight Elimination Program, as set forth
within the scope of Contract No.106-2018 for the 2020 calendar year.
NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained,
including the above stated recitals, City and Contractor hereby agree as follows:
1. The City and Contractor executed and entered into Contract No. 106-2018, on
June 21, 2018, which Contract is incorporated herein by reference. Pursuant to
Contract No. 106-2018, Section A (Term of Agreement), the Parties may extend
the Agreement for a period by mutual agreement of the Parties, which option is
exercised pursuant to this Addendum. Contractor shall .continue to provide
Interim Project Manager services for the City as identified within Contract No.
106-2018 for the 2020 calendar year. The Parties have mutually agreed that the
compensation to be paid to Contractor for the 2020 calendar year shall be an
amount not to exceed Twenty-one Thousand Dollars and Zero Cents ($21,000.00)
for complete and satisfactory performance of the Agreement for the 2020 calendar
year as extended herein. Such services shall be performed in a manner consistent
with Contract No. 106-2018, which is hereby incorporated by reference and
made a part hereof. In the event the Agreement is terminated prior to the new end
date of December 31, 2020, the compensation sum shall be pro -rated to the actual
date of termination as set forth within Section B (Compensation) of said
Agreement.
2. City and Contractor expressly agree that all other rates, terms, conditions, and
covenants contained in Contract No. 106-2018, shall be applicable to the work
performed pursuant to this Addendum, unless such term, condition, or covenant
conflicts with this Addendum Number 2, in which case this Addendum Number 2
shall be controlling.

3. Both parties hereby agree that with the exception of the extension of the contract
date of termination to December 31, 2020, and with the exception of the increase
of the above -described not -to -exceed compensation amount for the 2020 calendar
year, Contract No. 106-2018 shall remain intact and unchanged and in full force
and effect.
4. Both parties agree that any person executing this Contract in a representative
capacity hereby warrants that he or she has been duly authorized by his or her
principal to execute this Addendum.
IN WITNESS WHEREOF, this Addendum is executed and approved by the undersigned
