HomeMy Public PortalAboutAddendum No. 1 to Contract No. 83-2020 - Code Enforcement - Mikesell Excavating - Emergence Demolition of 1224 East Main StADDENDUM THIS ADDENDUM, (Number' 1 to Contract No. 83-2020) is made and entered into this ( w day of 2020, by and between Richmond, Indiana, a municipal corporation acting throu its Board of Public Works and Safety with its office at 50 North 5�' Street, Richmond, Indiana, 47374 (hereinafter referred to as "City"), and Mikesell Excavating, Inc., 652 New Garden Road, New Paris, Ohio 45347 (hereinafter referred to as "Contractor"). WHEREAS, City and Contractor entered into Contract No. 83-2020 on July 30, 2020, which Agreement retains Contractor to provide emergency demolition services of a primary structure located at 1224 East Main Street for the Department of Code Enforcement; and WHEREAS, The Parties have agreed to increase the scope of the contract to include the demolition of the garage structure, as set forth within the scope of Contract No. 83-2020. NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, including the above stated recitals, City and Contractor hereby agree as follows: The City and Contractor executed and entered into Contract No. 83-2020, on July 30, 2020, which Agreement is incorporated herein by reference. Pursuant to Contract No. 83-2020, Section XI (Miscellaneous), the Parties may alter or amend the Agreement in whole or in part at any time by filing with the Agreement a written instrument setting forth such changes signed by both Parties. The Parties agree that demolition of the garage structure located at the address shall be added to the scope and shall be performed in accordance with the scope of said Agreement. Said services shall be performed in a manner consistent with Contract No. 83-2020, which is hereby incorporated by reference and made a part hereof. Compensation paid to Contractor as described in accordance with Section III (Compensation) of said Agreement for demolition of the garage shall be increased by the quoted amount of One Thousand Five Hundred Dollars and Zero Cents ($1,500.00) as set forth on Contractor's quote to also demolish the garage, attached hereto as Exhibit A to this Addendum and which quote is incorporated herein by reference. The new total amount to be paid to Contractor under the Agreement shall be an amount not to exceed Forty-six Thousand Three Hundred Dollars and Zero Cents ($46,300.00) for satisfactory performance of the Project. 2. City and Contractor expressly agree that all other terms, conditions, and covenants contained in Contract No. 83-2020, shall be applicable to this Addendum, unless such term, condition or covenant conflicts with this Addendum Number 1, in which case this Addendum Number 1 shall be controlling. Addendum No. 1 to Contract No. 83-2020 Page 1 of 2 Both Parties hereby agree that with the exception of increasing the scope to include the demolition of the garage also located at the address and with the exception of the corresponding compensation increase, Contract No. 83-2020 shall remain intact and unchanged and in full force and effect. 4. Both Parties agree that any person executing this Contract in a representative capacity hereby warrants that he or she has been duly authorized by his or her principal to execute this Addendum.
