JOINT FACILITIES OVERSIGHT COMMITTEE MEETING
March 16, 2023
Attendees: Winter Park Ranch - Dan Carroll, Melinda McWilliams and Ryan Weier
Town of Fraser - Mayor Philip Vandernail, Parnell Quinn and Eileen Waldow
Grand County #1 - Art Ferrari, Jeremy Henn, and Suzy Robbins

Crittenden, Rob Clemens, Shanel Conibere, and Paul Johnson
1. Roll Call
The meeting was called to order by Mayor Philip Vandernail at 3:00pm.
2. Approval of Agenda
Art Ferrari moved to approve the March 16, 2023, agenda; this motion was seconded by
Jeremy Henn. Motion carried 6-0.
3. Consent Agenda
a. Minutes November 10, 2022
Minutes of November 7, 2022: Melinda McWilliams moved to approve the November 7,
2022; minutes as presented; the motion was seconded by Eileen Waldow. Motion carried
6-0
Parnell Quinn entered the meeting at 3:26 pm.
4. Pretreatment Plan
a. Industrial Pretreatment Plan
Michael Brack kicked off the discussion of the Pretreatment Plan. Joe provided a brief
overview of the options for the IPP. Discussion on the monetary impact to distilleries and
breweries.
b. Fats, Oils and Grease
Paul Johnson provided information regarding Fraser adding language to code to clean up
the fats, oils and grease in our system and self-reporting. The requirements and structure
for reporting would be similar to Grand County #1 reporting requirements.
5. Grand County Water & Sanitation - Jacobs Engineering Study
Elliot Porter and Dave Wheeler presented the Jacobs Engineering Study talking a little
bit about the scope and methodology of the study. Dave presented current flows and
loads coming into the plant and some historical data of the last 5 years.
Recommendations were provided regarding expansion of the plant.
Elliot and Dave answered questions from JFOC members and others in attendance.
Future discussion will take place about the next steps.
6. River Exchange for Water Rights
Ed Cannon provided information about the exchange study at the advisement from
Grand County #1. This study measured the impacts of any legal action of return flows to
the plant. This case has been in water court for over a year now. The exchange study

was agreed between Grand County #1 and the Town of Fraser. There was a
recommendation of the study to bring this to the JFOC to see if Winter Park Ranch
would like to participate in and share the cost three (3) ways and make it a JFOC
project. Discussion took place regarding the impacts on the plant and how it relates to
the water rights. Grant resources to help offset some of the cost was discussed. Melinda
McWilliams will take this back to the Winter Park Ranch board for their discussion and
will bring it back to the JFOC.
7. Operator Report
Rob Clemens presented the financials through the month of January. As the fiscal agent
for the JFOC, he is considering moving money from some of the local banks with very
low interest rates and consolidating with current accounts, specifically Colorado Trust,
which has much better interest rates. Exploring options.
8. Board Choice
Melinda McWilliams spoke about a letter that requested a study looking at alternatives to
restructure the JFOC as opposed to Town of Fraser being the operational manager.
Phillip Vandernail made her aware that the letter in reference was never provided to
Fraser. Discussion regarding financial implications, current structure and potential
growth are issues of concern.
JFOC will meet every two (2) months and this discussion will be placed on the May 11,
2023, agenda.
Melinda McWilliams also brought up the solids loading letter and referred to Jim Fox for
more information.
Jim Fox intended the letter to be communication and the awareness of the discrepancies
in cost and how their district is helping with the bill for industrial users. Just wanted to
communicate and have considered a closer look at actual solids loading and flows.
9. Adjourn
Art Ferrari moved to adjourn the meeting at 4:33pm; the motion was seconded by Ryan
Weier. Motion carried 6-0.
