THIS ADDENDUM, (Number 2 to Contract No. 186-2018) is made and entered into this _______ day of _______________, 2020, by and between Richmond, Indiana, a municipal corporation acting
through its Board of Public Works and Safety with its office at 50 North 5th Street, Richmond, Indiana, 47374 (hereinafter referred to as “City”), and National Signal Corporation, 47433
Ryan Road, Shelby Township, Michigan, 48317 (hereinafter referred to as “Contractor”).
WHEREAS, City and Contractor entered into Contract No. 186-2018 on November 29, 2018; and
WHEREAS, City wishes to continue to retain Contractor to continue to provide services in connection with the inspection, testing, and repair of railroad crossing protection equipment
for the City of Richmond as set forth within the scope of Contract No. 186-2018.
NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, including the above stated recitals, City and Contractor hereby agree as follows:
The City and Contractor executed and entered into Contract No. 186-2018, on November 29, 2018 and Addendum No. 1 to said Contract on December 19, 2019. Pursuant to Contract No. 186-2018,
Section IV Term of Agreement, the City has an option to renew the Agreement for the 2021 calendar year, which option is exercised pursuant to this Addendum. Said Section in the Agreement
also provides that the quoted rate compensation payable to Contractor is to be at the increased rate of Five Hundred Twenty Dollars and Zero Cents ($520.00) per month for the 2021 calendar
year, which increase had been previously approved with Addendum No. 1 to said Agreement for the 2020 calendar year. Contractor shall continue to provide services in connection with
the inspection, testing, and repair of railroad crossing protection equipment for the City of Richmond as identified within Contract No. 186-2018 for the 2021 calendar year at the same
previously increased rate quoted. Such services shall be performed in a manner consistent with Contract No. 186-2018, which is hereby incorporated by reference and made a part hereof,
at the same rates as set forth within said Agreement.
City and Contractor expressly agree that all other terms, conditions, and covenants contained in Contract No. 186-2018, shall be applicable to the work performed pursuant to this Addendum,
unless such term, condition or covenant conflicts with this Addendum Number 2, in which case this Addendum Number 2 shall be controlling.

Both parties hereby agree that with the exception of the extension of the contract date of termination pursuant to the exercise of the option to renew the contract for the 2021 calendar
year at the previously approved increased rate quoted, Contract No. 186-2018 shall remain intact and unchanged and in full force and effect.
Both parties agree that any person executing this Contract in a representative capacity hereby warrants that he or she has been duly authorized by his or her principal to execute this
Addendum.
IN WITNESS WHEREOF, this Addendum is executed and approved by the undersigned representatives of the City and Contractor this ____ day of ________________, 2020, to be effective in
accordance with its terms as of January 1, 2021.
