„A IL THIS ADDS UM, (Number 2 to Contract No. 10-2019) is made and entered into this
• day of pZ( /'` , 2021, by and between Richmond, Indiana, a municipal
corporation acting through its oard of Public Works and Safety with its office at 50 North 5th Street,
Richmond, Indiana, 47374(hereinafter referred to as "City"), and Wallace Heating and Air,Inc., 111
Melody Lane,P.O.Box 3,New Paris, Ohio,45347 (hereinafter referred to as "Contractor").
WHEREAS, City and Contractor entered into Contract No. 10-2019 on January 31,2019; and
WHEREAS, City wishes to continue to retain Contractor to continue to provide services in
connection with the maintenance of the heating and air conditioning(HVAC) systems
located at Fire Stations 1, 2, 3, 4, and 5 (excluding Fire Station No. 6)for the City of
Richmond Fire Department as set forth within the scope of Contract No. 10-2019.
NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained,
including the above stated recitals,City and Contractor hereby agree as follows:
1. The City and Contractor executed and entered into Contract No. 10-2019, on
January 31, 2019, which Agreement is incorporated herein by reference. The City ..
and Contractor also entered into Addendum.No. 1 to said Agreement on December
19, .2019. Pursuant to Contract No. 10-2019, Section IV Term of Agreement, the
City has an option to renew the Agreement for the 2021 calendar year, which option
is exercised pursuant to this Addendum. Additionally,- pursuant to Section XI
(Miscellaneous), the Parties may alter or amend the Agreement in whole or in part at
any time by filing with the Agreement a written instrument setting forth such changes
signed by both Parties. Contractor shall continue to provide services in connection
with the maintenance of the heating and air conditioning (HVAC) systems for the
Richmond Fire Stations as identified within Contract No. 10-2019 for the 2021
calendar year, excluding Fire Station No. 6 as originally included in said Agreement.
Such services shall be performed in a manner:consistent with Contract No. 10-2019,
which is hereby incorporated by reference and made a part hereof, at the same rates
as set forth within said Agreement.
2. City and Contractor expressly agree that all other terms, conditions, and covenants
contained in Contract No. 10-2019, shall be applicable to the work performed
pursuant to this Addendum, unless such term, condition or covenant conflicts with .
this Addendum Number 2, in which case this Addendum Number 2 shall be
controlling.

3. Both parties hereby agree that with the exception of the extension of the contract date
of termination pursuant to the exercise of the option to renew. the contract for the
2021 calendar year and with the exception of the exclusion of Fire Station No. 6,
Contract No. 10-2019 shall remain intact and unchanged and in full force and effect.
4. Both parties agree that any person executing this Contract in a representative capacity
hereby warrants that he or she has been duly authorized by his or her principal to
execute this Addendum.
IN WITNESS WHEREOF, this Addendu► is executed and ap roved by the undersigned
