MEMORANDUM OF MEETING IN EXECUTIVE SESSION
OF BOARD OF DIRCTORS OF RICHMOND POWER
AND LIGHT COMPANY HELD May 15, 2017
The Board of Directors of Richmond Power and Light Company met in Executive Session on
Monday, May 15, 2017, in the Conference Room of the Law Department located at the Richmond
Municipal Building, third floor, 50 North 5th Street, Richmond, Indiana. President Ron Oler called
the Executive Session to order at 6:00 p.m.
Members present were President Ron Oler, Clay Miller, Gary Turner, Doug Goss, and Jeff Locke.
This is to certify that no subject matter was discussed in the Executive Session other than the subject
matter specified in the public notice:
The general substance of the matter to be discussed and/or proposed is for discussion of strategy with
respect to the initiation of litigation or litigation that is either pending or has been threatened
specifically in writing. As used in this clause, "litigation" includes any judicial action or
administration law proceeding under federal or state law.
Indiana Code 5-14-1.5-6.1(b)(2)(B)
It is additionally certified that no votes or final actions were taken or conducted in the Executive
Session. Any final action is to be done in an open and public meeting in accordance with IC 5-14-
1.5-4(c).
