This site plan is different from what the Planning Commission recommended approval for the conditional use permit on May 24, 2023. Our festival is a celebration of the best and brightest in independent cinema, set against the stunning backdrop of majestic peaks and pristine wilderness of the continental divide. Winter Park Film Festival aims to honor and highlight unique contributions to filmmaking from a wide variety of communities and film subjects. By encompassing a vast array of demographics it generates a global inclusion among creative film makers, action sports stars, disabled individuals, youth, social media influencers, and the public all within the same event. We hope that through this event we can share the love and creativity of watching and making films. We have noticed the lack of attention brought to the film community within Grand County, and it is our hope that by creating this novel event, we can remedy this. The emphasis on recreation in Grand County is notable, hence the category dedicated to action sports. We desire to increase visibility of creative endeavors as well within this unique community, and this festival grants people the opportunity to contribute to these efforts. By using the framework of other successful events such as the Sundance and Telluride Film Festivals, we have intentionally selected categories that have historically engaged large crowds due to popularity and importance. Two areas we noticed missing, however, were those of youth and disabilities. Winter Park has been a leader in adaptive skiing, and we wish to continue the celebration of the disabled community through a category dedicated to differently abled filmmakers and/or content about disabilities, both cognitive and physical. The Festival Director, Connor Nelson, hopes to pipeline the local youth into pursuing filmmaking as a career even though the Rocky Mountain region is not necessarily known for its role in filmmaking. We are confident that this event will generate robust local business as people are drawn from across the nation and globe. It is certainly a benefit that Connor's expanding professional network in Los Angeles where he currently resides consists largely of top tier Hollywood filmmakers. Let's create a weekend of cinematic magic, as we showcase films that explore the human experience in all its complexity, from heartwaiiuing dramas to pulse -pounding action flicks. Our carefully curated selection of films will take you on a journey of the senses and leave you inspired, entertained, and moved. Target Audience The primary target audience is film lovers and creatives alike. Additionally, the pre and after parties that will be hosted will help community members and film makers build a wider and more unique network. We know that the entertainment selected for the event will drive traffic to the area, especially with the close proximity Winter Park has to Denver. We anticipate a wide range of ages in attendance, especially because one of the submission categories is youth. The submission categories are designed to be inclusive to a wide range of demographics. Females and males alike are invited to submit from a variety of socioeconomic and cultural backgrounds. All ability levels and ages are also included. Our festival is not just about the films, but also about the community. We want people to experience the warmth and hospitality of our mountain town, as we come together to celebrate the arts and the unique beauty of our surroundings. Meet filmmakers, actors, and industry professionals, as well as fellow film enthusiasts from around the world. Anticipated Attendance We plan to grow this film festival to be 10,000 plus people. With its proximity to Denver, Winter Park is one of the fastest growing resort communities. The timing of this event intentionally fills a gap in Winter Park's slow period (early fall). It will not be competing with heavy outdoor recreation events, which should encourage attendance. Narrative Investing in the Winter Park Film Festival is an investment in creativity, community building, and novelty. With numerous ski towns hosting their own film festivals for the past forty years or so, Winter Park is certainly overdue to contribute its unique mark on a cultural phenomenon. This is the perfect opportunity to pioneer an evolving landscape of film festivals and provide a fresh take on artistic events, all while engaging with the local community. What we are asking for We are asking for a total of $21,569 from the town of Fraser. Here is the price breakdown. We are asking the town to help with the cost of The Foundry, the estimated price on the budget is $12,000 for a 2 day rental. We are also asking for $8,569 for the Miscellaneous items on the budget that includes Red carpet, Red ropes, Trophies, Step and repeat board, housing for judges, and main street banner. Conclusion This is a tremendous opportunity to host a mountain town film festival, where nature, culture, and the arts come together to create an unforgettable experience. This festival will generate a community that celebrates creativity, diversity, and the power of film to inspire and connect us all. BACKGROUND: Per the Fraser Town Code Section 6-4-20 the Town Clerk is authorized to act as and for the Authority for the following Colorado Liquor Code and Colorado Beer Code licensing functions: 1. Annual Colorado Liquor Code and Colorado Beer Code license renewals, provided that the Town Clerk is aware of no information that the licensee has violated any provisions of the Colorado Liquor or Beer Codes or associated regulations during the preceding year. The licensee has fifteen liquor law violations since July 28, 2022. On November 27, 2021 the town served a Notice and Order to Show Cause and Notice of Hearing. The hearing was vacated, and a Stipulation, Agreement and Order was signed On December 16, 2021. A part of the stipulation the remaining (3) day suspension shall be held in abeyance until satisfaction of the following two conditions: (A) No violations of the Colorado Liquor for a period of one year and (B) proof of Responsible Alcohol Vendor Training for all servers with in six months of the order. Ten of the violations happened between July 8, 2022 and December 11, 2022. At this time it is not clear who is employed by the Tin Cup Tavern and if they are Responsible Alcohol Vendor Trained. Fraser Town Code 6-4-70 Alcoholic Beverages Disciplinary Actions The Municipal Court, as the Authority for all disciplinary actions, may suspend or revoke a license for violations of this Article upon finding that the licensee has failed to comply with this Article. This Article shall not be deemed to preclude other civil remedies, including injunctive relief, pending the outcome of the hearing. There is no limit to how many licensees can participate in each festival. Section 10-2-90 of the town code allows for open containers of alcohol beverages in public parks during a preapproved event. The ABFP would allow the licensees Camber Brewery and Fraser River Beer CO. to sell sealed containers of alcoholic beverages to be consumed in the park (off -premise). The tent where the beer will be sold will not be a consumption area but the remainder of the park is the consumption area. No open alcohol beverages will be removed from the Old School House Park. If Contractor completes the Scope of Work for a lesser amount than the Contract Price, Contractor shall be paid the lesser amount. IV. INDEPENDENT CONTRACTOR Contractor is an independent contractor. Notwithstanding any other provision of this Contract, all personnel assigned by Contractor to perform work under the terms of this Contract shall be, and remain at all times, employees or agents of Contractor for all purposes. Contractor shall make no representation that it is a Town employee for any purposes. V. 1ZESPONSIBILITY Contractor hereby warrants that it is qualified to assume the responsibilities and render the services described herein and has all requisite corporate authority and licenses in good standing. The services performed by Contractor shall be in accordance with generally accepted professional practices and the level of competency presently maintained by others in the same or similar type of work, and in compliance with applicable laws, ordinances, rules and regulations. The Town's review, approval or acceptance of, or payment for any work shall not be construed as a waiver of any rights under this Contract or any cause of action arising out of the performance of this Contract. VI. OWNERSHIP Any materials, items, and work specified in the Scope of Work, and any and all related documentation and materials provided or developed by Contractor shall be exclusively owned by the Town. Contractor expressly acknowledges and agrees that all work performed under the Scope of Work constitutes a "work made for hire." To the extent, if at all, that it does not constitute a "work made for hire," Contractor hereby transfers, sells, and assigns to the Town all of its right, title, and interest in such work. The Town may, with respect to all or any portion of such work, use, publish, display, reproduce, distribute, destroy, alter, retouch, modify, adapt, translate, or change such work without providing notice to or receiving consent from Contractor. VII. INSI TR ANCR A. Contractor agrees to procure and maintain, at its own cost, a policy or policies of insurance sufficient to insure against all liability, claims, demands, and other obligations assumed by Contractor pursuant to this Agreement. At a minimum, Contractor shall procure and maintain, and shall cause any subcontractor to procure and maintain, the insurance coverages listed below, with foi lis and insurers acceptable to the Town. 1. Worker's Compensation insurance as required by law. 2. Commercial General Liability insurance with minimum combined single limits of one million dollars ($1,000,000) each occurrence and one million dollars ($1,000,000) general aggregate. The policy shall be applicable to all premises and operations, and shall include coverage for bodily injury, broad form property damage, personal injury (including coverage for contractual and employee acts), blanket contractual, products, and completed operations. The policy shall contain a severability of interests provision, and shall include the Town and the Town's officers, employees, and contractors as additional insureds. No additional insured endorsement shall contain any exclusion for bodily injury or property damage arising from completed operations. B. Such insurance shall be in addition to any other insurance requirements imposed by law. The coverages afforded under the policies shall not be canceled, terminated or materially changed without at least thirty (30) days prior written notice to the Town. In the case of any claims -made policy, the necessary retroactive dates and extended reporting periods shall be procured to maintain such continuous coverage. Any insurance carried by the Town, its officers, its employees, or its contractors shall be excess and not contributory insurance to that provided by Contractor. Contractor shall be solely responsible for any deductible losses under anypolicy. C. Contractor shall provide to the Town a certificate of insurance as evidence that the required policies are in full force and effect. The certificate shall identify thisAgreement. VIII. INDEMNIFICATION Contractor agrees to indemnify and hold harmless the Town and its officers, insurers, volunteers, representatives, agents, employees, heirs and assigns from and against all claims, liability, damages, losses, expenses and demands, including attorney fees, on account of injury, loss, or damage, including, without limitation, claims arising from bodily injury, personal injury, sickness, disease, death, property loss or damage, or any other loss of any kind whatsoever, which arise out of or are in any manner connected with this Contract, to the extent that such injury, loss or damage is attributable to the act, omission, error, professional error, mistake, negligence or other fault of Contractor, any subcontractor of Contractor, or any officer, employee, representative, or agent of Contractor or of any subcontractor of Contractor, or which arise out of any worker's compensation claim of any employee of Contractor or of any employee of any subcontractor of Contractor. Contractor, to the fullest extent permitted by law, shall defend, investigate, handle, respond and provide defense for and defend against any such liability, claims, damages, losses, expenses or demands at the sole expense of Contractor, or at the option of the Town, Contractor agrees to pay the Town or reimburse the Town for defense costs incurred by the Town in connection with any such liability, claims, damages, losses, expenses or demands. Contractor, to the fullest extent permitted by law, shall defend and bear all other costs and expenses related thereto, including court costs and attorney fees, whether or not such liability, claims or demands alleged are groundless, false or fraudulent. This indemnification provision is intended to comply with C.R.S. § 13- 21-111.5(6), as amended, and shall be read as broadly as permitted to satisfy that intent. IX. TERMINATION This Contract shall terminate when all the work described in the Scope of Work is completed to the Town's satisfaction, or upon the Town's providing Contractor with seven (7) days advance written notice, whichever occurs first. If the Contract is terminated by the Town's issuance of written notice, the Town shall pay Contractor for all work authorized and completed prior to the date of termination. X. ILLEGAL ALIENS A. Certification. By entering into this Contract, Contractor hereby certifies that, at the time of this certification, it does not knowingly employ or contract with an illegal alien who will perform work under this Contract and that Contractor will participate in either the E - Verify Program administered by the United States Department of Homeland Security and Social Security Administration or the Department Program administered by the Colorado Department of Labor and Employment to confirm the employment eligibility of all employees who are newly hired to perform work under this Contract. B. Prohibited Acts. Contractor shall not knowingly employ or contract with an illegal alien to perform work under this Contract or enter into a contract with a subcontractor that fails to certify to Contractor that the subcontractor shall not knowingly employ or contract with an illegal alien to perform work under this Contract. C. Verification. 1. If Contractor has employees, Contractor has confirmed the employment eligibility of all employees who are newly hired to perform work under this Contract through participation in either the E -Verify Program or the DepartmentProgram. 2. Contractor shall not use the E -Verify Program or Department Program procedures to undertake pre -employment screening of job applicants while this Contract is being performed. 3. If Contractor obtains actual knowledge that a subcontractor performing work under this Contract knowingly employs or contracts with an illegal alien who is performing work under this Contract, Contractor shall: notify the subcontractor and the Town within three (3) days that Contractor has actual knowledge that the subcontractor is employing or contracting with an illegal alien who is performing work under this Contract; and terminate the subcontract with the subcontractor if within three (3) days of receiving the notice required pursuant to subsection 1 hereof, the subcontractor does not stop employing or contracting with the illegal alien who is performing work under this Contract; except that Contractor shall not terminate the subcontract if during such three (3) days the subcontractor provides information to establish that the subcontractor has not knowingly employed or contracted with an illegal alien who is performing work under this Contract. D. Duty to Comply with Investigations. Contractor shall comply with any reasonable request by the Colorado Department of Labor and Employment made in the course of an investigation conducted pursuant to C.R.S. § 8-17.5-102(5)(a) to ensure that Contractor is complying with this Contract. E. Affidavits. If Contractor does not have employees, Contractor shall sign the "No Employee Affidavit" attached hereto. If Contractor wishes to verify the lawful presence of newly hired employees who perfoiui work under this Contract via the Department Program, Contractor shall sign the "Department Program Affidavit" attached hereto. XI. WARRANTY Contractor shall warrant and guarantee all materials furnished and work performed by Contractor under this Contract for a period of two (2) years from the date of final acceptance by the Town. Under this warranty, Contractor agrees to repair or replace, at its own expense and under the direction of the Town, any portion of the work or materials that fails or is defective, unsound, unsatisfactory because of materials or workmanship, or that is not in conformity with the provisions of the Contract. The expiration of the warranty period shall in no way limit the Town's legal or equitable remedies, or the period in which such remedies may be asserted, for work negligently or defectively performed. XII. BONDS Within 10 days of the date of this Contract, Contractor shall furnish a Payment and Performance Bond in the full amount of the Contract Price, as security for the faithful performance and payment of all Contractor's obligations under this Contract, including the warranty. The bond shall remain in effect at least until 2 years after the date of final acceptance. XIII. LIQUIDATED DAMAGES A. Because time is of the essence and delayed performance constitutes a compensable inconvenience to the Town and its residents, the liquidated damages established in this Section shall be enforced. Such damages are not a penalty. For each day that all of the work described in the Scope of Work is delayed beyond the deadline set forth in Section II hereof, Contractor shall be assessed the amount of two hundred fifty dollars ($250) per day. B. Allowing Contractor to continue and finish the Scope of Work or any part thereof after the deadline set forth in Section II hereof shall not operate as a waiver on the part of the Town of any of its rights under this Contract. Any liquidated damages assessed shall not relieve Contractor from liability for any damages or costs of other contractors caused by a failure of Contractor to complete the Scope of Work. Liquidated damages may be deducted from any payment due Contractor or any retainage held. If the liquidated damages exceed the amount owed to Contractor, Contractor shall reimburse the Town within thirty (30) days of notice thereof. XIV. MISCELLANEOUS A. Governing Law and Venue. This Contract shall be governed by the laws of the State of Colorado, and any legal action concerning the provisions hereof shall be brought in Grand County, Colorado. B. Integration. This Contract and any attached exhibits constitute the entire agreement between Contractor and the Town, superseding all prior oral or written communications. C. Third Parties. There are no intended third -party beneficiaries to this Contract. D. Notice. Any notice under this Contract shall be in writing, and shall be deemed sufficient when directly presented or sent pre -paid, first class United States Mail to the address included on Page 1 of this Contract. E. Severability. If any provision of this Contract is found by a court of competent jurisdiction to be unlawful or unenforceable for any reason, the remaining provisions hereof shall remain in full force and effect. F. Modification. This Contract may only be modified upon written agreement of the Parties. G. Assignment. Neither this Contract nor any of the rights or obligations of the Parties hereto, shall be assigned by either party without the written consent of the other. H. Governmental Immunity. The Town and its officers, attorneys and employees are relying on, and do not waive or intend to waive by any provision of this Contract, the monetary limitations or any other rights, immunities, and protections provided by the Colorado Governmental Immunity Act, C.R.S. § 24-10-101, et seq., as amended, or otherwise available to the Town and its officers, attorneys or employees. Rights and Remedies. Delays in enforcement or the waiver of any one or more defaults or breaches of this Contract by the Town shall not constitute a waiver of any of the other terms or obligation of this Contract. The rights and remedies of the Town under this Contract are in addition to any other rights and remedies provided by law. The expiration of this Contract shall in no way limit the Town's legal or equitable remedies, or the period in which such remedies may be asserted, for work negligently or defectively performed. J. Subject to Annual Appropriation. Consistent with Article X, § 20 of the Colorado Constitution, any financial obligation of the Town not performed during the current fiscal year is subject to annual appropriation, shall extend only to monies currently appropriated, and shall not constitute a mandatory charge, requirement or liability beyond the current fiscal year. Fraser and WPRWSD agree to vacate, release, and quitclaim the Development Parcel Easements according to the terms included in this Agreement. H. Through this Agreement, the Parties wish to set forth the terms and conditions of the construction of the Open Space Parcel Parking Lot and Trailhead and of the subsequent vacation, release and quitclaim of the Development Parcel Easements. AGREEMENT: In consideration of Developer building the Open Space Parcel Parking Lot and Trailhead, of the Town and WPRWSD agreeing to vacate, release, and quitclaim their easements in the Cabin Parcel, and of the Town deeding a new replacement easement across the Open Space Parcel to WPRWSD, the Parties agree to the following: 1. Incorporation of Recitals. The Recitals set forth above are incorporated herein. 2. Developer's Obligations. Developer agrees that all of the following obligations must be completely performed by Developer, in the order they are listed, before any of the obligations of Fraser or WPRWSD contained in this Agreement will become operative: a. Legal Fee Deposit. Developer will deposit with the Town Four Thousand and 00/100 Dollars ($4,000.00) (the "Legal Fee Reimbursement Fund") to be used toward any legal fees incurred by the Town in connection with the drafting and performance of this Agreement. Developer understands and agrees that the Legal Fee Reimbursement Fund is not a flat fee and that the actual fees may be more or less than this amount. In the event the actual fees are more than $4,000.00, Developer shall reimburse the Town for the difference. In the event the actual fees are less than $4,000.00, the Town shall reimburse the Developer for the difference. Except as provided herein, the Legal Fee Reimbursement Fund is non- refundable. b. Title Commitment. Developer will cause Tide Company of the Rockies to issue a TBD title commitment, showing all documents affecting title to the Development Parcels (the "Title Commitment"). Fraser shall, in Fraser's sole discretion, have the right to object to title based upon the Title Commitment. Any such objections shall be made within thirty (30) days of Fraser's receipt of the Title Commitment. In the event Developer fails to resolve Fraser's objections to Fraser's satisfaction, Fraser may terminate this Agreement and the Parties shall have no further obligations hereunder except for those that expressly survive termination of this Agreement. c. Construction of the Open Space Parcel Parking Lot and Trailhead. Developer will construct the new parking lot and relocate the trailhead signage as depicted and in accordance with the plans attached to this Agreement as Exhibit A (the "Work"). Before commencing construction or relocation as required by this subparagraph, Developer will post appropriate signage at the current trailhead location notifying members of the public that the trailhead will be temporarily closed while it is being relocated. Developer will be responsible for complying with the following provisions regarding the Work: i. Developer agrees to provide all labor and materials necessary to complete the Work. Any deviation from the plans and specifications in Exhibit A must be approved in 2 advance by Fraser. Such authorization shall be evidenced only by a written change order, which shall describe how and under what terms the Work will be changed and which shall be signed by Fraser and Developer. ii. Promptly upon Fraser's approval of the Title Commitment, Developer shall order all necessary materials and shall promptly and diligently prosecute the Work to completion. The Work shall be fully completed not later than November 1, 2024; provided, however, that such completion date may be extended, if, in Fraser's sole judgment, adverse weather conditions or other matters beyond Developer's control make completion by said date impracticable. Fraser agrees to allow Developer continuous access to the Property for purposes of performance of the Work. The Work may be inspected at any time by Fraser or its designated representative. Developer shall be solely responsible for all construction under this Contract, including the techniques, sequences, procedures and means, and for coordination of all Work. The Work shall comply with all applicable standards and specifications and be completed in a good and workmanlike manner. iv. Fraser shall waive all permit and other developments fees which would normally be charged by Fraser in conjunction with the Work. v. Developer shall provide and pay for all labor, materials, and equipment, including tools, construction equipment and machinery, including all facilities and services necessary for the proper completion of the Work. vi. Developer assumes full responsibility for acts, negligence, or omissions of all its employees or contractors engaged in performing the Work or any part thereof; for those of its subcontractors and their employees; and for those of all other persons performing work under a contract with Developer. vii. Developer agrees to keep the Work area and adjacent property free of waste material and rubbish caused by its work or that of its subcontractors. Developer further agrees to remove all such waste material and rubbish on termination of the project, together with all of the Developer's tools, equipment, machinery, and surplus materials. Developer agrees, on terminating its work at the site, to conduct general cleanup operations. viii. Developer has the duty of providing for and overseeing all safety orders, precautions and programs necessary to the reasonable safety of the performance of the Work here- under. In accordance therewith, Developer shall take reasonable precautions for the safety and protection of all workmen and other persons whom the Work might affect, all work and materials incorporated in the project, and all property and improvements on the construction site and adjacent thereto, and shall comply with all applicable laws, ordinances, rules, regulations and orders. d. Warranties. Developer represents and warrants to Fraser that all materials incorporated into the Work or placed permanently in connection therewith will be new unless otherwise specified, of good quality, free of defects, and in accordance with all applicable standards and specifications. It is understood between the parties hereto that all materials not so in conformity are defective. In addition to all other warranties provided herein, Developer shall 3 warrant the Work against defects in materials or workmanship for a period of one (1) year following final completion thereof. Developer agrees to promptly correct any such defects timely reported by Fraser within such one (1) year period. If Developer refuses to correct or delays in correcting any such defects, Fraser may have the same corrected and Developer shall be liable to Fraser for all costs incurred in connection therewith. e. Indemnification and Insurance. Developer agrees to the following provisions: Developer agrees to indemnify, defend, and hold Fraser harmless from and against any and all liability, claims, and damages arising out of the Work under this Agreement, including Fraser's attorney fees, on account of injury, loss or damage, including without limitation claims arising from bodily injury, personal injury, sickness, disease, death, property loss or damage, to the extent such injury, loss or damage is caused or alleged to be caused in whole or in part by the negligence or other fault of Developer, any subcontractor or supplier of Developer, or any officer, employee, or agent of Developer, but not for any amounts that are greater than that represented by the degree or percentage of negligence or fault attributable to the Developer or the Developer's agents, representatives, subcontractors, or suppliers. This indemnification provision is intended to comply with C.R.S. 13-21-111.5(6) and shall be read as broadly as permissible to satisfy that intent. ii. Developer shall procure and maintain, and shall cause any subcontractor of Developer to procure and maintain, the minimum insurance coverages listed below. Such cover- ages shall be procured and maintained with forms and insurers reasonably acceptable to Fraser. All coverages shall be continuously maintained to cover all liability, claims, demands and other obligations assumed by Developer. In case of any claims -made policy, the necessary retroactive dates and extended reporting periods shall be procured to maintain such continuous coverage. The required coverages are as follows: a. Developer shall maintain such insurance as will fully protect Developer and Fraser from any and all claims under workers' compensation and other employee benefit laws, in an amount not less than the statutory limits (as may be amended from time to time). b. Developer shall maintain general liability insurance with coverage limits of not less than $150,000.00 for injury to one person in any single occurrence and not less than $600,000.00 for injury to two or more persons in any single occurrence, or such larger amounts as correspond with the recovery limits applicable to govern- mental entities under C.R.S. 24-10-114(1) as the same may be from time to time amended. The policy shall be applicable to all premises and operations. The pol- icy shall include coverage for bodily injury, broad form property damage (including completed operations), personal injury (including coverage for contractual and employee acts), blanket contractual, independent contractors, products and completed operations. The policy shall include coverage for explosion, collapse and underground hazards, and shall contain a severability of interests provision. c. Developer shall maintain comprehensive automobile liability insurance, with mini- mum limits as specified above, with respect to each of Developer's owned, hired or non -owned vehicles assigned to or used in performance of the Fork hereunder. 4 iii. The policy or policies required by the subsections above shall be endorsed to include Fraser as an additional insured. Every policy required above shall be primary insurance and any insurance carried by Fraser, its officers or employees, or carried by or provided through any insurance pool shall be excess and not contributory insurance to that provided by Developer. Developer shall be solely responsible for any deductible losses under any policy or policies required herein. Upon Fraser's request, Developer shall promptly furnish Fraser with a certificate of insurance evidencing the insurance coverage required by this Article. iv. Failure on the part of Developer to procure or maintain policies providing the required insurance coverages, conditions, and minimum limits provided herein shall constitute a material breach of this Contract, for which Fraser may immediately terminate this Con- tract, or at its discretion, Fraser may procure or renew any such policy or any extended reporting period thereto and may pay any and all premiums in connection therewith, and all sums so paid by Fraser shall be repaid by Developer to Fraser upon demand, or Fraser may offset the cost of the premiums against any monies due to Developer from Fraser. v. Fraser, WPRWSD and Developer understand and agree that Fraser and WPRWSD are relying on, and do not waive or intend to waive by any provision of this Contract, the monetary limitations or any other rights, immunities and protections provided by the Colorado Governmental Immunity Act, Section 24-10-101, et seq., Colorado Revised Statutes, as the same may from time to time be amended, or otherwise available to Fra- ser and WPRWSD, their officers or employees. Fraser or WPRWSD's duty to perform under this Agreement is contingent on the foregoing ob- ligations and representations. Unless and until Developer has completed the foregoing, neither Fraser or nor WPRWSD has any obligation to perform under this Agreement except as expressly set forth herein. 3. Fraser's Obligations. Following completion of all of Developer's Obligations in the preceding paragraph, Fraser agrees to do the following: a. Vacate Easements on the Development Parcels. Fraser will execute and deliver to Developer the Quitclaim Deed attached to this Agreement as Exhibit B, effectively vacating all easements Fraser has in the Development Parcels. b. Deed Easement to WPRWSD. Fraser will execute and deliver to WPRWSD the Deed of Easement attached to this Agreement as Exhibit C. 4. WPRWSD's Obligation. Following completion of all of Developer's Obligations in paragraph 2, above, WPRWSD agrees to vacate the Express Easement execute and deliver to Developer the Quitclaim Deed attached to this Agreement as Exhibit D. 5. Default and Remedies. a. Events of Default. Developer will be in default under this Agreement if any of the following events ("Events of Default") occur: 5 i. Breach of Covenants. Developer fails to adhere to and perform each of the covenants and obligations made in this Agreement. ii. False Statements. Any statement of fact, representation or warranty Developer makes in this Agreement is false, inaccurate, or incomplete. b. The Town and WPRWSD Rights and Remedies. If an Event of Default occurs, (1) The Town will retain the $4,000 deposit required by paragraph 2(a), above, and will have no obligation to perform its obligations under paragraph 3, above, and (2) WPRWSD will have no obligation to perform its obligations under paragraph 4, above, and (3) in all other respects, this Agreement will be void 6. Return of Unused Amounts of the Legal Fee Reimbursement Fund. In the event that any amount remains in the Legal Fee Reimbursement Fund after this Agreement is fully per- formed by all Parties and after all legal fees incurred by the Town on account of this Agreement have been paid, the remaining amount will be promptly returned to Developer. 7. Independent Contractors. This Contract calls for the performance of the services of Developer as an independent contractor, and neither Developer nor any of Developer's agents or employees shall be considered employees of Fraser for any purpose. 8. Entire Agreement. This Agreement contains the entire understanding of the parties hereto with respect to the subject matter hereof, and no prior or contemporaneous written or oral agreement or understanding pertaining to any such matter shall be effective for any purpose. No provision of this Agreement may be amended or added to except by an agreement in writing signed by the parties hereto. 9. Time of Essence. Time is of the essence with this Agreement. 10. Binding Effect. The provisions of this Agreement shall inure to the benefit of and be binding upon parties and their respective successors and permitted assigns. 11. Assignment. None of the Parties may assign this Agreement or any of their rights hereunder for any purpose whatsoever without the written consent of the other party. 12. No Waiver. No waiver of any of the provisions of this Agreement shall be deemed, or shall constitute, a waiver of any other provision, whether or not similar, nor shall any waiver constitute a continuing waiver. No waiver shall be binding unless executed in writing by the party making the waiver. 13. Further Acts. Each party shall, at the request of the other, execute, acknowledge (if appropriate) and deliver whatever additional documents, and do such other acts, as may be reasonably required in order to accomplish the intent and purposes of this Agreement. 14. Prevailing Party. In the event of any litigation relating to or arising out of this Agreement, the court shall award to the prevailing party all reasonable costs and expenses incurred in connection with such litigation, including attorney fees. 6 15. Counterparts. This Agreement may be executed in counterparts, each of which so executed shall be deemed to be an original, and such counterparts shall together constitute but one and the same agreement. 16. Amendments. This Agreement may not be changed or modified, except by an instrument in writing executed by the party asserted to be bound thereby. 17. Notices. All communications, notices and demands of any kind which either party may be re- quired or may desire to give to or serve upon the other, shall be made in writing and delivered by personal service or certified mail to any officer of the other parties at the addresses listed above. 18. Headings. Any headings in this Agreement are solely for the convenience of the parties and are not part of this Agreement. 19. Governing Law. This Agreement and the transaction herein contemplated shall be construed in accordance with and governed by the laws of the State of Colorado. 20. Recording. The parties agree that this Agreement shall not be recorded in the real estate records of Grand County. Purpose. The Easement shall provide Grantee with access to and from the parking lot depicted on Exhibit A to and from the pumphouse depicted on Exhibit A. 3. Title. Grantor warrants Grantee's title to the Easement, free and clear of all liens. 4. Dimensions. The Easement shall be at least 12 feet wide, with a traveled surface of approximately four feet on each side of the centerline of the trail, with the remaining two feet on each side to be available for plowed snow, slopes, cuts, fills, culverts, utilities and drainage. 5. Grantor's Rights. Grantee's use of the Easement shall not be exclusive, and Grantor and Grantor's successors and assigns, guests and invitees shall have the right to use the Easement, but without interference with Grantee's use thereof, and subject to the proviso that any increased costs of repair and maintenance caused by Grantor's use shall be borne by Grantor. Improvement, repair, snow plowing or maintenance of the Easement, or any segment thereof, may be undertaken by any party hereto at such party's expense. In the event that washouts, erosion or other natural causes require a relocation of some portion of the trail, Grantee shall have the right to relocate the trail in a reasonable manner, at Grantee's expense, including, if necessary, a revised description of the Easement location, as set forth in Exhibit A. 7. Grantee's Use. Grantee, and Grantee's owners, managers, members, guests, employees, agents, tenants and contractors shall be permitted to use the Easement for vehicle access and utilities. 8. Successor Owners. The Easement may not be transferred by Grantee. 9. Indemnity. Grantee shall indemnify and save Grantor harmless from all claims for damages or liens arising from the operation, use, surveying, construction, repair, maintenance and snow plowing by Grantee on or over the Easement. 10. Easement in Gross. The Easement shall be an easement in gross. 11. Gates. Neither Grantee nor Grantor may erect gates across the Easement. 12. Enforcement.
