THIS ADDEND umber 1 to Contract No. 39-2019) is made and entered into this
day of �f'r' 2021, by and between Richmond, Indiana, a municipal
corporation acting through its Board of Public Works and Safety with its office at 50 North 5th Street,
Richmond, Indiana, 47374 (hereinafter referred to as "City"), and LWC, Inc., 712 E. Main Street,
Richmond,Indiana, 47374 (hereinafter referred to as"Contractor").
WHEREAS, City and Contractor entered into Contract No. 39-2019 on March 14, 2019, which
Agreement retains Contractor to provide construction administration services in
connection with the City of Richmond's Stellar Façade Restoration Project for certain
downtown Richmond properties, which services are in connection with the Stellar
Grant awarded to the City and to be performed in accordance with the Office of
Community and Rural Affair's ("OCRA")Main Street Revitalization Program; and
WHEREAS, The Parties wish to amend said Agreement to increase the total not to exceed
compensation amount estimated to be paid to Contractor pursuant to said Agreement
due to additional services needed for resolving transition measures necessary to be
taken and complete the grant closeout documentation.
NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained,
including the above stated recitals, City and Contractor hereby agree as follows:
1. The City and Contractor executed and entered into Contract No. 39-2019, on March
14, 2019, which Agreement is incorporated herein by reference. Pursuant to
Contract No. 39-2019, Section XI (Miscellaneous), the Parties may alter or amend
the Agreement in whole or in part at any time by filing with the Agreement a written
instrument setting forth such changes signed by both Parties. The Parties agree that
due to necessary transition measures that have been and will be performed and
resolved as well as grant documentation closeout services, the estimated total amount
to be paid to Contractor shall be increased by the amount of Thirty-five Thousand
Nine Hundred Eighty-seven Dollars and Ten Cents ($35,987.10). The term of the
Agreement shall also be extended until completion of the Project and additional
services herein, which is anticipated to be on or before June 30, 2021. Said
additional services are more fully described on Contractor's proposal, attached hereto
as Exhibit A, and said additional services shall be performed in a manner consistent
with Contract No. 39-2019 for the increased term of the Agreement,which is hereby
incorporated by reference and made a part hereof. The new total amount to be paid to
Contractor for services rendered under Contract No. 39-2019 and this Addendum
shall not exceed One Hundred Thirty-five Thousand Eight Hundred Eighty-
seven Dollars and Ten Cents ($135,887.10) for satisfactory completion of said
Agreement.

2. City and Contractor expressly agree that all other terms, conditions, and covenants
contained in Contract No. 39-2019 shall be applicable to this Addendum, unless
such term, condition or covenant conflicts with this Addendum Number 1, in which
case this Addendum Number 1 shall be controlling.
3. Both Parties hereby agree that with the exception of the extended term and the
increased amount payable to Contractor due to the additional services described
herein, Contract No. 39-2019 shall remain intact and unchanged and in full force and
effect.
4. Both Parties agree that any person executing this Contract in a representative capacity
hereby warrants that he or she has been duly authorized by his or her principal to
execute this Addendum.

Dear Ms.Fields:
As discussed on by phone on February 23,2021,this letter is being issued as a request to modify the
original contract amount for the above referenced project. As requested,this amount consolidates.
all previous requests for additional services and outstanding invoices.
The request for additional fees is:due to following reasons::
- Additional effort required due to transition of General Contractor
- Additional effort to resolve open SHPO documentation that was left incomplete by previous
Construction Administration.
- Additional effort to resolve unforeseen and unresolved conditions
- Additional effort due to extended project schedule beyond both the original Date of
Substantial Completion with the first General Contractor and the new Date of Substantial
Completion with the Second General Contractor
- Additional effort to complete grant closeout documentation
