ADDENDUM

ij ' day of j�� , 2021, by and between Richmond, Indiana, a municipal
corporation acting through its Board of Public Works and Safety with its office at 50 North 5th Street,
Richmond,Indiana, 47374 (hereinafter referred to as "City"), and Reddog Enterprises Inc., 1216 Elks
Country Club Road,Richmond,Indiana,47374 (hereinafter referred to as"Contractor").
WHEREAS, City and Contractor entered into Contract No. 34-2020 on March 5, 2020, which
Agreement retains Contractor to provide mowing services for the City-owned right-
of-way properties for the Department of Code Enforcement for the City of Richmond,
with the frequency of each location to be determined by the Director of the
Department of Code Enforcement; and
WHEREAS, The Parties included additional properties to be added to said Agreement by
approving Addendum No. 1 to said Agreement on May 7, 2020; and
WHEREAS, City wishes to retain Contractor to perform the right-of-way mowing for the 2021
calendar year, as set forth within the scope of Contract No. 34-2020.
NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained,
including the above stated recitals, City and Contractor hereby agree as follows:
1. The City and Contractor executed and entered into Contract No. 34-2020, on March
5, 2020, which Agreement is incorporated herein by reference. The City and
Contractor included additional properties for the right-of-way mowing by approving
Addendum No. 1 to said Agreement on May 7, 2020. Pursuant to Contract No. 34-
2020, Section IV (Term of Agreement), the City retains an option to renew the
Agreement for the 2021 calendar year, which option is exercised pursuant to this
Addendum. Contractor shall continue to provide right-of-way mowing services for
the properties referenced in Contract No. 34-2020 and as referenced in Addendum
No. 1. Said services shall be performed in a manner consistent with Contract No.
34-2020,which is hereby incorporated by reference and made a part hereof.
2. City and Contractor expressly agree that all other terms, conditions, and covenants
contained in Contract No. 34-2020 and Addendum No. 1 to said Agreement, shall
be applicable to this Addendum, unless such term, condition or covenant conflicts
with this Addendum Number 2, in which case this Addendum Number 2 shall be
controlling.

3. Both Parties hereby agree that with the exception of the extension of the contract date
of termination pursuant to the exercise of the option to renew the contract for the
2021 calendar year, Contract No. 34-2020 and Addendum No. 1 to said
Agreement shall remain intact and unchanged and in full force and effect.
4. Both Parties agree that any person executing this Addendum in a representative
capacity hereby warrants that he or she has been duly authorized by his or her
principal to execute this Addendum.
