zy6THIS ADD UM, (Number 1 to Contract No. 47-2020) is made and entered into this
day of , 2021, by and between Richmond, Indiana, a municipal corporation
acting through its Board of Public Works and Safety with its office at 50 North 5th Street, Richmond,
Indiana, 47374 (hereinafter referred to as "City"), and Barnhizer & Associates, Inc., P.O. Box 366,
Richmond,Indiana,47374(hereinafter referred to as "Contractor").
WHEREAS, City and Contractor entered into Contract No. 47-2020 on April 9, 2020, which
Agreement retains Contractor to provide services in connection with providing special
precautionary cleaning and sanitizing of the City Municipal Building located at 50 North
5th Street for the duration of the COVID19 prevention measures being taken by the City;
and
WHEREAS, The Parties have agreed to extend the special precautionary cleaning services through
May 31, 2022, and have agreed to an additional special call flat charge as quoted by
Contractor.
NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, including
the above stated recitals, City and Contractor hereby agree as follows:
1. The City and Contractor executed and entered into Contract No. 47-2020, on April 9,
2020, which Agreement is incorporated herein by reference. Pursuant to Contract No.
47-2020, Section XI (Miscellaneous), the Parties may alter or amend the Agreement in
whole or in part at any time by filing with the Agreement a written instrument setting
forth such changes signed by both Parties. The Parties agree Contractor shall continue to
provide services in connection with providing special precautionary cleaning and
sanitizing of the City Municipal Building located at 50 North 5th Street for the duration of
the COVID19 prevention measures being taken by the City and shall extend the
Agreement for the same through May 31, 2022, unless precautionary measures are
determined by the City at an earlier date to be no longer necessary. Said services shall be
completed in a manner consistent with Contract No. 47-2020, which is hereby
incorporated by reference and made a part hereof. Contractor's quote sheet containing
the updated quote for an included additional special call flat charge for high-touch clean
and disinfectant fog with full PPE, which updated quote is attached hereto as Exhibit A,
- consists-of one (1) page; and is incorporated herein by reference. Parties agree to abide
by the same.
2. City and Contractor expressly agree that all other terms, conditions, and covenants
contained in Contract No. 47-2020, shall be applicable to this Addendum, unless such
term, condition or covenant conflicts with this Addendum Number 1, in which case this
Addendum Number 1 shall be controlling.

3. Both Parties hereby agree that with the exception of extension of the services through
March 17, 2022, unless precautionary measures are determined by the City at an earlier
date to no longer be necessary, and with the exception of the additional special call flat
charge, Contract No. 47-2020 shall remain intact and unchanged and in full force and
effect.
4. Both Parties agree that any person executing this Contract in a representative capacity
hereby warrants that he or she has been duly authorized by his or her principal to execute
this Addendum.
