RESOLUTION#4-2021
A RESOLUTION OF THE BOARD OF DIRECTORS OF RICHMOND POWER AND LIGHT APPOINTING A NEW
COMMISSIONER TO THE INDIANA MUNICIPAL POWER AGENCY
WHEREAS,the City of Richmond, Indiana is a member of the Indiana Municipal Power Agency
(hereinafter referred to as"IMPA"), and Randall Baker,who was appointed by the Common Council of
the City of Richmond, Indiana ("hereinafter referred to as Council") is now serving as a Commissioner on
the Board of Commissioners of IMPA on behalf of Richmond Power and Light(hereinafter referred to as
RP&L") and;
WHEREAS,the Board of Directors of RP&L,wishes to appoint Anthony Foster II,to the Board of
Commissioners of IMPA.
NOW,THEREFORE BE IT RESOLVED by the Board of Directors of RP&L that:
Section 1. Said Randall Baker's tenure as a Commissioner on the Board of Commissioners of
IMPA should be terminated in order that Anthony Foster II be appointed to replace Randall Baker on the
IMPA Board.
Section 2. Anthony Foster II should be appointed by the RP&L Board of Directors as a
Commissioner on said Board of Commissioners of IMPA.
Seditin 3. This resolution shall be in full force and effect from and after its passage in
accordance with the law.
Passed and Adopted on this 3`d day of May, 2021, by the Board of Directors of Richmond Power and
Light.
