HomeMy Public PortalAboutAddendum No. 1 to Contract No. 12-2021 - I&D - MW Designs - Furniture and Renovations to Council Chambers ADDENDUM THIS ADDS UM, (Number 1 to Contract No. 12-2021) is made and entered into this/ day of , 2021, by and between Richmond, Indiana, a municipal corporation acting through its Boar of Public Works and Safety with its office at 50 North 5th Street, Richmond, Indiana, 47374 (hereinafter referred to as "City"), and MW Designs, P.O. Box 443, Richmond, Indiana, 47375 (hereinafter referred to as"Contractor"). WHEREAS, City and Contractor entered into Contract No. 12-2021 on February 4, 2021, which Agreement retains Contractor to provide services to renovate and upgrade the Common Council Chambers and associated areas located on the third floor of the City's municipal building for the City of Richmond,Indiana;and WHEREAS, The Parties have agreed the Contractor shall also remove wallpaper, paint the walls, and furnish and install an art track for the gallery wall display, all of which is to be performed on the second floor so that the paint color scheme coordinates with the third-floor updates. NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, including the above stated recitals, City and Contractor hereby agree as follows: 1. The City and Contractor executed and entered into Contract No. 12-2021, on February 4, 2021, which Agreement is incorporated herein by reference. Pursuant to Contract No. 12-2021, Section XI (Miscellaneous), the Parties may alter or amend the Agreement in whole or in part at any time by filing with the Agreement a written instrument setting forth such changes signed by both Parties. The Parties agree the Contractor shall also perform services to remove wallpaper, paint the walls, and furnish and install an art track for the gallery wall display, all of which is to be performed on the second floor so that the paint color scheme coordinates with the third-floor updates, all of which shall be completed in accordance with the scope of said Agreement. Said services shall be completed and provided in a manner consistent with Contract No. 12-2021, which is hereby incorporated by reference and made a part hereof. 2. Compensation paid to Contractor as originally described in accordance with Section III (Compensation) of said Agreement for said additional services shall be increased by an amount not to exceed Seven Thousand Four Hundred Seventy-five Dollars and Zero Cents ($7,475.00) which is the quote amount reflected within Contractor's quote, dated April 28, 2021, and attached hereto as Exhibit A to this Addendum, and which quote is incorporated herein by reference. The new total amount to be paid to Contractor under the Agreement shall be an amount not to exceed One Hundred Seventy-eight Thousand Three Hundred Eighty-five Dollars and Zero Cents ($178,385.00). The Parties expressly agree that the increased amount to be paid pursuant to this Addendum shall not be subject to the fifty percent (50%) pre-payment language described in Contractor's quote attached hereto as Exhibit A nor as described in Section III of the Agreement. City and Contractor expressly agree that all other terms, conditions, and covenants contained in Contract No. 12-2021, shall be applicable to this Addendum, unless such term, condition or covenant conflicts with this Addendum Number 1, in which case this Addendum Number 1 shall be controlling. 4. Both Parties hereby agree that with the exception of the additional services to also remove wallpaper and paint the walls on the second floor, and with the exception of the corresponding compensation increase, with the caveat that said increase shall not be subject to the fifty percent (50%) pre-payment language, Contract No. 12-2021 shall otherwise remain intact and unchanged and in full force and effect. 5. Both Parties agree that any person executing this Contract in a representative capacity hereby warrants that he or she has been duly authorized by his or her principal to execute this Addendum.
