RESOLUTION NO. 6-2021
A RESOLUTION TO ACCEPT ASSIGNMENT OF EASEMENT
WHEREAS, On February 27, 2020, the Board of Public Works and Safety ("Board") for the
City of Richmond, Indiana, through its Resolution Number 2-2020, authorized the
purchase of property from the Society for Preservation and Use of Resources, an
Indiana Corporation Not-for-profit, of Wayne County, Indiana, ("SPUR") which
property is located at 0 North 24th Street (Local Map No. 46-33-220-137.000-29,
containing 6.91 acres); and
WHEREAS Said acquisition was made for the Wayne County Heritage Trail Project and was
made in accordance with IC 36-9-6-4; and
WHEREAS, To the south of the property acquired by the City is adjacent property owned by J
Street Ventures LLC, an Indiana limited liability company; and
WHEREAS, On April 29, 2021, J Street Ventures LLC entered into an Easement Agreement
with SPUR for a permanent easement over a seventy-five (75) foot area of land
for the purpose of constructing and maintaining a nature trail, which Easement
Agreement is attached to this Resolution as Exhibit A and incorporated herein by
reference; and
WHEREAS, The Easement Agreement was recorded on April 29, 2021, and recorded in the
offices of the Recorder of Wayne County, Indiana, at Instrument Number
2021004249, and said Agreement contains an assignment clause permitting SPUR
to assign any and all easement rights contained within the Easement Agreement
provided that the assignment shall be subject to the terms of the Agreement; and
WHEREAS, The Indiana Department of Natural Resources had recently indicated to the
Director of the Division of Public Works and Engineering for the City that the
above-described easement would need to be in place for the City's use as well,
bringing about a need to have the easement assigned to the City by SPUR; and
WHEREAS, After careful consideration, it is the desire of the City of Richmond to proceed
with the acceptance of the assignment from SPUR so that the City can take an
assigned easement interest in the subject 75-foot easement area for purposes of
perpetual ingress and egress access upon the same in order to construct and

maintain a nature trail which will be part of the upcoming Wayne County Heritage
Trail Project.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF PUBLIC WORKS AND
SAFETY for the City of Richmond, Indiana, in accordance with and in consideration of the
above-stated recitals incorporated herein, that the City of Richmond, Indiana, agrees to accept the
assignment of the easement from the Society for Preservation and Use of Resources.
NOW, THEREFORE, BE IT ALSO RESOLVED BY THE BOARD OF PUBLIC WORKS
AND SAFETY for the City of Richmond, Indiana, that David M. Snow, Mayor, Vicki Robinson,
President of the Board of Works and Safety, Beth Felds, Director of the Department of
Tnfrastructure and Development, Greg Stiens, Director of the Division of Public Works and
Engineering, Andrew J. Sickmann, City Attorney, or Kimberly A. Vessels, Assistant City
Attorney, shall be authorized to execute any and all documents associated with the assignment of
the easement.

EASEMENT AGREEMENT
THIS EASEMENT AGREEMENT is entered into thisAaday ofaeft•+ 1„Q,

2017, by and between J Street Ventures LLC, an Indiana limited liability company(herein after
referred to as "Grantor(s)") and The Society for the Preservation and Use of Resources,Inc.
(SPUR), an Indiana corporation(hereinafter referred to as"Grantee(s)").
RECITALS:
WHEREAS, Grantor(s) is/are currently the owner(s)of certain real estate located
between North 24th Street and New Paris Pike,Richmond,Indiana,containing approximately
38.2944 acres,which property was acquired pursuant to the deed dated April 2,2003 and
recorded April 2, 2013 at Instrument No. 2003005060 in the Office of the Wayne County
Recorder attached hereto as Exhibit B and incorporated by reference herein; and
WHEREAS, Grantee(s) desires the use of a portion of Grantor(s) land for the purpose of
constructing and maintaining a nature trail thereon, which is a permanent easement 75 feet in
total width for the purpose of constructing and usage of the river side trail including the ingress
and egress on the land owned by J Street Ventures LLC and which property is more particularly

(Attached hereto as Exhibit A and incorporated by reference herein,which easement
Grantor(s)is/are willing to provide pursuant to the terms and conditions hereinafter referred to as
the"Easement Parcel"); and
WHEREAS, Grantor(s)is/are willing to grant the above easement to Grantee(s)pursuant
to the terms and conditions contained herein.
NOW, THEREFORE,in consideration of the terms and conditions contained herein,
including the above stated recitals,the parties hereby agree as follows:
l. EASEMENT. Grantor(s)hereby grants to Grantee(s)a perpetual
easement over the Easement Parcel for the purpose of constructing and maintaining a
nature trail which may be used by members of Grantee(s) and/or the general public at
large and the purpose of constructing and usage of the river side trail including the
ingress and egress on the land owned by Grantor(s).
2. RESERVATION OF RIGHTS. Grantor(s)hereby expressly reserves the
right,for itself and its agents,invitees and licensees,to use the Easement Parcel in a
manner not directly inconsistent with the foregoing grant. Grantor(s)further
expressly reserves the right to grant to other persons the right to use the Easement
Parcel provided that such use in not inconsistent with the rights granted hereunder.
3. MAIN1'hNANCE. Grantee(s) shall be responsible for all maintenance,
repair, and upkeep required upon the Easement Parcel for the purposes described
herein.
4. INSURANCE/INDEMNIFICATION. Grantee(s) shall continue to
maintain general liability insurance upon the Easement Parcel to cover any claim
associated with the use of the Easement Parcel, and shall indemnify and hold

Grantor(s)harmless from any and all claims which might result from any action
and/or inaction taken by Grantee(s) or its invitees or guests in conjunction with the
Easement Parcel.
5. COVENANTS RUN WITH LAND. All provisions of this Agreement,
including the benefits and burdens,run with the land and are binding upon and inure
to the benefit of the parties and their respective agents, successors and assigns.
6. ASSIGNABILITY. Each party shall have the right to assign any and all
rights contained herein,subject to the terms of this Agreement.
7. AUTHORITY. Both parties represent the undersigned representatives are
duly authorized to execute this instrument on behalf of such entity,which
authorization remains in full force and effect
8. QUIT-CLAIM NATURE. Given there will be no monetary consideration
required with the grant of the easement contained herein,there shall be no warranties
from Grantor(s)associated with the easement as to the existence or lack thereof
regarding any liens upon the described property.
9. MISCELLANEOUS. This Agreement shall be modified only by a writing
signed by both parties and shall be governed according to the laws of the State of
Indiana.
IN WITHNESS WHEREOF, Grantor(s) and Grantee(s),by their duly authorized
representatives,have executed this instrument this Agreement of the date set forth
above, although signatures may be affixed on different dates.

A permanent easement 75 feet in total width for the purpose of constructing and usage of the
river side trail including the ingress and egress on the land owned by J Street Ventures LLC

easement described as follows:
Being a part of the Northeast Quarter of Section 33,Township 14 North, Range 1 West,
Commencing at said northeast corner of said quarter section,thence south 0 degrees 22 minutes
1 second west 180.00 feet;thence north 87 degrees 55 minutes 25 seconds west 831.75 feet to
the intersection with the extended west line of Lot 215 in Morton Lake and Park Addition;
thence north 87 degrees 55 minutes 25 seconds west 308.00 feet to the southeast corner of Lot
224 in said Addition;thence north 82 degrees 48 minutes 35 seconds west 80.623 feet to the
