ADDENDUM

1 THIS ADDENDUM, (Number 1 to Contract No. 30-2021) is made and entered into this
/7 day of J,Ah�-• , 2021, by and between Richmond, Indiana, a municipal corporation
acting through its Board of Public Works and Safety with its office at 50 North 5th Street, Richmond,
Indiana, 47374 (hereinafter referred to as "City"), and Professional Consulting Associates, P.O. Box
9626, Columbus, Ohio,43209-9626 (hereinafter referred to as"Contractor").
WHEREAS, City and Contractor entered into Contract No. 30-2021 on April 29, 2021, which
Agreement retains Contractor to provide professional consultation advisory and training
services in connection with diversity and implicit bias coaching for various departments
and employees as needed and identified by the Mayor's Office and the Human Resources
Department; and
WHEREAS, The Parties have agreed to increase the amount payable to Contractor in order that in-
person classes and sessions can take place instead of the virtual sessions originally
determined by the Parties.
NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, including
the above stated recitals, City and Contractor hereby agree as follows:
1. The City and Contractor executed and entered into Contract No. 30-2021, on April 29,
2021, which Agreement is incorporated herein by reference. Pursuant to Contract No.
30-2021, Section XI (Miscellaneous),,the Parties may alter or amend the Agreement in
whole or in part at any time by filing with the Agreement a written instrument setting
forth such changes signed by both Parties. The Parties agree the Contractor shall be paid
an increased amount as reflected on its quote, attached hereto as Exhibit A, in order that
the services can be provided during in-person classes and sessions instead of virtually.
The in-person classes and sessions shall be completed in accordance with the scope of
said Agreement. Said services shall be completed and provided in a manner consistent
with Contract No. 30-2021, which is hereby incorporated by reference and made a part
hereof.
2. Compensation paid to Contractor as originally described in accordance with Section III
(Compensation) of said Agreement for said additional services shall be increased by an
amount not to exceed Two Thousand Seven Hundred Twenty Dollars and Zero Cents
($2,720.00) which is the quote amount reflected within Contractor's quote attached
hereto as Exhibit A to this Addendum, and which quote is incorporated herein by
reference. The new total amount to be paid to Contractor under the Agreement shall be
an amount not to exceed Thirty-five Thousand Seven Hundred Twenty Dollars and
Zero Cents ($35,720.00).

3. City and Contractor expressly agree that all other terms, conditions, and covenants
contained in Contract No. 30-2021, shall be applicable to this Addendum, unless such
term, condition or covenant conflicts with this Addendum Number 1, in which case this
Addendum Number 1 shall be controlling.
4. Both Parties hereby agree that with the exception of the classes and sessions being held in
person instead of virtually and with the exception of the corresponding compensation
increase, Contract No. 30-2021 shall otherwise remain intact and unchanged and in full
force and effect.
5. Both Parties agree that any person executing this Contract in a representative capacity
hereby warrants that he or she has been duly authorized by his or her principal to execute
this Addendum.

ADDENDUM CONTRACT NO. 30-2021
City of Richmond IN
Professional Consulting Associates, LLC (PCA) is requesting an Addendum to Contract No. 30-
2021 in the amount$2,720.00. The Addendum is being requested as an adjustment to account
for lodging, mileage, and per diem to cover the costs of a change from the original Statement of
Work which was quoted based on virtual facilitation.
PCA will work with the City of Richmond to keep associated travel costs within the range of GSA
rates.
PCA is requesting the Addendum reflect the following breakdown of costs:
$2,000 lodging$200 per night x2-5 nights
$120 mileage .56 per mile x 1 round trip- 105 +couple miles for hotel
$600 per diem @ 60 per day x2 for 5 days
Total =$2,720.00
Any additional cost associated with this agreement would be added based on a mutual decision
between PCA and the City of Richmond.
