THIS ADDENDUM is adopted this I day of June, 2021,by and between the
City of Richmond, Indiana, a municipal corporation acting by and through its Board of
Sanitary Commissioners (referred to as the "City"), and Commonwealth Engineers, Inc.,
7256 Company Drive, Indianapolis, Indiana 46237 (hereinafter referred to as the
"Contractor").
WHEREAS, on or about November 29, 2018,the City and Contractor entered
into an Agreement for services to be rendered by Contractor to City for good and
valuable consideration with said Agreement bearing Contract No. 172-2018.
WHEREAS, on or about May 21, 2019,the parties executed Addendum No. 1 to
effectuate the provision of additional services by Contractor,which increased the
consideration under the original Contract by a sum not to exceed Thirty-one Thousand
Five Hundred Seventy-three Dollars and 00/100($31,573.00).
WHEREAS, City is in need of additional services from Contractor consistent with
that which is set forth in Exhibit"A" attached hereto, inclusive of"Appendix A" of said
Exhibit; and as a result, this Addendum is necessary to provide for such services and the
increased consideration therefore.
NOW, THEREFORE, for valuable consideration and passage by majority vote of
City, the parties hereto now amend Contract No. 172-2018,to wit:
1. The City and Contractor executed and entered into Contract No. 172-2018 on
November 18,2018,which,pursuant to Section XI, the same may be altered or
amended in whole or in part at any time by filing with the Agreement a written
instrument setting forth such changes and signed by both parties.
2. Section I. Statement and Subject of Work
The parties agree that Contract No. 172-2018 should be amended for additional
professional services from Contractor consistent with that which is set forth on
Exhibit"A"attached hereto,which includes elevating the existing PER dated July
2020 to IFA SRF format for funding purposes.
3. Section III. Compensation
City shall pay now Contractor a total additional sum not to exceed Twenty-two
Thousand Four Hundred Three Dollars and 00/100 ($22,403.00) as set forth in
Exhibit"A" and as set forth below:
Elevate Existing PER to IFA SRF Format: $14,903.00 (lump sum)
IFA SRF Coordination Not to Exceed$7,500.00 (hourly)
The increases herein are in addition to, and supplemental to,the compensation as
set forth in Contract No. 172-2018 and in Addendum No. 1.

4. The parties agree that the remainder of the terms and provisions of the underlying
contract shall remain in full force and effect unless specifically modified herein.
5. The parties acknowledge and agree that any person executing this Addendum in a
representative capacity for Contractor hereby represents and warrants that he or
she has been duly authorized, in writing,by Contractor to execute this Addendum
on behalf of Contractor and his or her signature is binding upon Contractor and its
assigns, and that such authorization has not been rescinded or revoked.
IN WITNESS WHEREOF, the parties have executed this Amendment at Richmond,
Indiana, as of the day and year first written above, although signatures may be affixed on
different dates.

Combined Sewer Overflow Long Term Control Plan (CSO LTCP) Project
Dear Mr.Welch:
For your consideration, Commonwealth Engineers, Inc. requests an amendment of$22,403 to assist the Richmond
Sanitary District with elevating the existing preliminary engineering report (PER)to Indiana Finance Authority (IFA)
State Revolving Fund (SRF)format, along with IFA SRF coordination. The following is breakdown of costs.
o Professional Service Agreement 172-2018 dated 10/13/2018
Planning Services $215,598
o Amendment#1 to Contract 172-2018 dated 5/21/2019 $ 31,573
o Requested Amendment#2 to Contract 172-2018
Elevate Existing PER to IFA SRF Format $ 14,903 (Lump Sum)
IFA SRF Coordination $ 7,500 (Hourly)
Total Project Costs Including this Amendment $269,574
The scope associated with Amendment #2 is described in Appendix A to this letter. For purposes of this
Amendment, it is assumed that the Contractor will proceed on a lump sum basis for elevating the existing PER to
IFA SRF format in accordance with Contract Number 172-2018. It is assumed that the Contractor will proceed on a
standard hourly, reimbursable expense, and sub-consultant +15% administrative basis for the additional IFA SRF
coordination work in accordance with Contract Number 172-2018. Except to the extent modified herein, all terms
and conditions of the Professional Services Agreement shall continue in full force and effect.
