RE A/C Full Service Contract @ Village of Key Biscayne Police Department
Dear Mr Abbot
Our maintenance agreements are designed to provide the customer with an ongoing maintenance
program The program will be initiated, scheduled administered monitored and updated by our
company The service activities will be directed and scheduled on a regular basis by our
automated maintenance scheduling system based on the manufacturer s recommendation and our
own experience The customer is informed of the program's progress and results on a continuing
basis via a detailed service report presented after each service call for customer s review
approval signature and record
We will furnish an all labor maintenance and service agreement in accordance with the
manufacturer s instructions on the equipment listed below as required to maintain the equipment
in good operating condition according to the following terms
1 WE AGREE TO THE FOLLOWING
A INSPEC1ION — Provide all labor to perforru the following Maintenance Schedule
Routine inspections 3 times per year
Annual Inspection 1 time per year
B LABOR for other services as required between inspections included during normal
working hours
C PARTS — Any parts oil lubricants refrigerant materials and supplies will be included
as necessary to perform the service(s) indicated for each piece of equipment
D AIR FILTERS To be replaced by others and not part of contract

III THE CUSTOMER WILL
A Operate the system as instructed by the contractor
B Extend easy access to premises and all equipment
C Employ only the contractor or persons authorized by the contractor for work on
the equipment
D Promptly notify the contractor of any unusual operating conditions
IV THIS AGREEMENT DOES NOT INCLUDE
A Maintenance, repair or replacement of ductwork or cleaning of ductwork electrical
disconnect switches, lines or apparatus beyond equipment disconnect switches,
recording or portable instruments gauges and thermometers, water lines waste drain
lines underground water systems insulation or piping Trane EMS System vav
boxes
B Replacement of equipment or materials deteriorated by exposure of age beyond
noimal repair
C Repairs due to or from contaminated or corrosive water
D Moving or relocating equipment or altering the building structure
E Repairs or work occasioned by the enforcement of existing or future codes building
regulations ordinances, insurance requirements, or union regulations
F Repairs due to loses or damages as a result of fires, windstorms, vandalism thefts,
riots civil commotions Acts of God strikes lock -outs picket lines recognized by the
contractor s personnel and maintenance work required caused by inadequate or
fluctuating conditions of the utilities or anything beyond the noiiiial mechanical
maintenance power failures, and damages caused by water entering the refrigerant
system
G Evaporator coil cleaning and/or tube brushing
H Water treatment
I Cost in reference to any regulations on refrigerants or retrofits relating to it

J Removal and / or disposal of hazardous waste materials
K Any refrigerant needed for equipment
L Equipment / compressor overhaul / replacement
M Rigging and or Crane expenses
V THE CONTRACTOR WILL NOT BE HELD LIABLE FOR LOSS OR DAMAGE
consequential or direct, arising from the operation or failure of the equipment or its
controls or for work done on it or for material or labor delays
VI All bills are due net 10th prox except the contract price which is paid in advance
VII Revisions to the conditions of this Agreement, including monetary consideration may be
made annually by written request and acceptance from one party to the other 45 days
prior to the anniversary date of the Agreement
VIII The customer / buyer understands that the contractor makes no warranties or
representations expressed or implied regarding the condition or quality of the indoor air
circulating about the premises and the contractor assumes no responsibility for same
The contractor s liability if any, shall be solely for repair and / or installation of the
mechanical parts that the contractor has actually installed or repaired In the event the
customer has questions regarding the indoor air quality of the premises, the customer
should consult a qualified specialist
IX This agreement shall insure to the benefit of and shall bind the heirs administrators,
executors successors and assigns of the parties hereto and may be assigned by the
contractor without consent of the customer
X In the event any payment due to the contractor under the terms and conditions hereof is
not paid within 10 days from due date of such payment the customer agrees with the
contractor to pay interest upon said payment at the rate of 12 percent per annum
computed from the due date thereof If by reason of default in the payment of any sums
due the contractor under the terms and conditions of this agreement, the contractor
employs an attorney at law to enforce or collect any delinquent payments the customer
agrees to pay reasonable attorney s fees all court costs and expenditures incurred by the
contractor Contractor reserves the right to discontinue this agreement
XI The customer agrees with the contractor that title to any equipment parts, or
accessories furnished by the contractor shall remain in the contractor until all the
payments are made in full and all the terms of this agreement are perfoiiiied Such
equipment parts or accessories shall remain strictly personal property whether placed
upon a permanent foundation or howsoever the same may be made a part of any
equipment fixed or attached to any equipment building or structure
XII THIS AGREEMENT PRE -SUPPOSES that all the equipment listed is in
satisfactory working condition Any equipment found in need or repairs upon initial
inspection will be reported to the CUSTOMER in writing with an estimate stating the

cost of the repairs Should repairs not be authorized within 30 days the equipment will
be limited to maintenance only (no labor coverage) and the agreement price shall be
adjusted accordingly
XIII A Total cost is $16,800 00 per year payable at $1,400 00 per month in advance
B This agreement shall start on the approved and authorized start date shown and shall
continue in force from year to year thereafter until terminated Either party may
terminate this agreement by giving written notice by certified mail return receipt
requested to the other party at the above address 30 days prior to the anniversary of
the start date
C In the event we are required to make repairs or replacements for any items beyond our
scope of work it is agreed we shall be reimbursed at our prevailing labor rate If
outside consultants are brought in, rate will be on a cost plus twenty percent basis
D If service is required during other than regular working hours (Monday — Fnday 8 30
am — 5 00 pm except holidays) an overtime charge will apply
E This offer may be withdrawn by A & M if not accepted within a period of 30 days
F This agreement constitutes the entire agreement between us
