This Addendum to Contract No. 21-2020, executed on the 2°a day of February, 2020,by
and between the City of Richmond, Indiana,by and through its Board of Public Works and
Safety(hereinafter, "City"), and Help the Animals, Inc. (hereinafter"Contractor"), is hereby
entered into retroactively as of the 1st day of January, 2021 although signatures have been affixed
subsequent to that date.
WHEREAS, on or about February 2, 2020, the City and Contractor entered into an
Agreement for services to be rendered by Contractor to City for good and valuable consideration
with said Agreement bearing Contract No. 21-2020; and
WHEREAS, the original Agreement expired as of December 31, 2020 unless the parties
extended the same by a written and signed Addendum; and
WHEREAS, the parties failed to execute a written Addendum prior to the expiration of
the original Agreement; however, each party has operated pursuant to the terms and conditions
of the original Agreement throughout the entirety of the year 2021; and
WHEREAS, the parties now desire to formally extend the term of the original Agreement
by complying with the extension terms of the original Agreement through December 31, 2021.
NOW,THEREFORE, for valuable consideration and passage by majority vote of the
Board of Public Works and Safety,the parties now implement this Addendum to Contract No.
21-2020,to wit:
1. The parties agree that Contract No. 21-2020 shall continue in effect until and including
December 31, 2021,unless the parties extend the Agreement by a written and signed
Addendum.
2. The parties agree that the remainder of the terms and provisions of the underlying
Agreement shall remain in full force and effect unless specifically modified herein.
3. The parties acknowledge and agree that any person executing this Addendum in a
representative capacity for Contractor hereby represents and warrants that he or she has
been duly authorized, in writing, by Contractor to execute this Addendum on behalf of
Contractor and his or her signature is binding upon Contractor and its assigns, and that
such authorization has not been rescinded or revoked.
