PROCEEDINGS OF THE COMMON COUNCIL OF THE
CITY OF RICHMOND, INDIANA, MARCH 15, 1982
1 The Common Council of the City -of. Richmond,. Indiana, met in regular
2 session March-15, ,,1982 at the hour of. 7:30 p.m. in the Council Chambers
3 .in the Municipal Building in.,said City. President Mills presided with
4 the following members present: Messrs. Elstro, Williams, Ahaus,
5 Hankinson, Welch, Parker, Carter and Paust. Absent: None. , The
6 following business was had, to-wit:

12 APPROVAL OF MINUTES OF. MARCH'.1, . - 1982

14 Councilman Hankinson moved to approve the minutes of the previous
15 meeting, seconded by Councilman Welch and on unanimous voice vote
16 the motion was carried.

18 LETTERS TO AHAUS •

20 President Mills read the following letters to Councilman Ahaus:

24 • Your departure from the Richmond Common Council can most
25 . • certainly be .marked as. a loss to our.community; however,
26 we are pleased that you and your family will remain-_in..our
III 27 midst and continue to be a part of Richmond, through family .
28 business and your participation in various other community

31 You have been an excellent councilman for more than six years
32' of dedicated service as a member-of Council and as Director •
33 of Richmond Power & Light. Your interest in good government
34 was manifested in your comments and questions as you approached
35 the problems that confronted our community.

37 I wish for you and your fine family the best life has to offer.
38 I know you'll always be dedicated at .whatever you pursue and •
39 your good judgment will seldom fail.

50 This is a difficult resignation to accept. Your loyalty and
III 51 integrity cannot be questioned. It's really great with all
52 the problems we have in .the political arena as to credibility
53 to serve with someone that brings back the credibility 'to
54 government, whether it be local, state or federal makes it
55 all worthwhile.

57 The people in'.'the 3rd District and the City of Richmond
58 • should be proud of the effort and contributions put forth by
59 you the last six years. Your chairing of the RP&L for five .
60 years in a row is an achievement that will probably not be
61 surpassed._ With your move to the county, • I'm sure the county
62 government will be hearing_ from you. in some future endeavor.
63 This politics gets in your blood and, although it is hardly
64 ever rewarding, there's a deep satisfaction in knowing you did

35 Following the reading, President Mills presented Mr. Ahaus with a
36 plaque from the Council and various Councilmen offered words of praise.

38 BOARD OF'WORKS REPORT
39
40 Councilman Elstro inquired. if the company will be cleaning the gravel
41 from the streets where sewers have.been replaced. Mr. Meredith replied
42 that the street sweepers are not out yet either, but he will check with
43 Clark-Dietz regarding completed streets. Mr. Webb said that when the
44 weather breaks, there will be asphalt overlays curb' to curb in some
45 sections. In. some instances it is difficult to' tell the difference between
46 a water utility hole and a sewer hole, and we are not notified when a
47 utility patches. Councilman Parker suggested there be a contact. before
48 any utility repairs. City Controller Meredith replied that utilities
49 are required to get a permit from the Board of Works before cutting
50 except in emergencies.

56 ' The Clerk read on second reading Ordinance No. 12-1982 - AN ORDINANCE
57 OF THE CITY OF. RICHMOND, AUTHORIZING THE EXECUTION AND DELIVERY OF A
58 POWER SALES. CONTRACT AND CAPACITY, PURCHASE AGREEMENT BY AND BETWEEN
59 THE CITY OF RICHMOND AND THE INDIANA MUNICIPAL POWER AGENCY, AND OTHER
60 MATTERS CONNECTED THEREWITH.

62 President Mills announced- procedure would be. slightly different in that
63 there had to be amendments made, introductions and explanations. He
- 64 asked Mr. Huffman to address 'the Council. .

1 Irving Huffman, General Manager of -RP&L, introduced the following
2 guests: Buddy Downs, .legal counsel with Ice, Miller, Donadio and .
3 Ryan; Gary Cornish,, of the R. W. Beck Engineering Consultants;
4 James Norwood, of the Spiegel & McDiarmid legal firm; Jim McClarnon,
5 • legal counsel with the Smith,' Morgan ..& Ryan legal: ,firm.

7 Mr. Huffman stated that much effort had gone into this project and much
8 time. It began with permissive legislation being passed through the
9 Indiana, legislature. Joint Agency means cities can join together and
10 - :construct a plan for their future power. supply and join with cooperative-
11 and with private utility companies. Financing today is so expensive
12 that we must. find an alternative way to produce power at a cheaper •
13 • cost. : One way is the Joint Agency and to pool resources. . ' •

15 Buddy Downs explained that .page one in Schedule A has been changed to
16 . ' remove_ Whitewater Valley as a delivery point. Another change is to •
17 delete page 5,- a blank exhibit. at the end. Page 11 of the Capacity
18 Purchase Agreement allows the Municipal Power Agency and the City
19 • flexibility in determining •what type metering is .going to be used.
20 The language makes clearer that the Municipal .Power Agency cannot
21 adversely-affect the members generating operations if they install
22 , metering if they chose to do sa.

24 Gary Cornish explained.the first change on page l. as reading 138 kV
25 instead ,of 13.8 kV. The agency is now buying your power at 13.8 and
26 reselling it to you at 138 and you are not incurring a delivery charge.

28 Councilman Carter moved to adopt the amendments on Ordinance No. 12-1982,
29 seconded by Councilman Paust and on unanimous voice vote the motion
30 was carried. . _

32 James Horwood offered their legal opinion, stating that they cannot
33 advise on risks, but they believe it is a proper action to consider.

35 President Mills asked if anyone -wished to speak against Ordinance 12.
36 " There being no one, he called on the Councilmen for. questions.

38 .In response to a question from• Councilman Carter, Mr. Huffman stated .
39 that voting in the Joint Agency is weighted voting in that we have •
40 about 23% of the voting rights. •

42 Jim McClarnon responded to a question from Councilman. Parker by stating
43 that you are not precluded from constructing additional facilities but
44 it must be done with the consent of the Indiana Michigan Power Agency. -

46 Councilman- Ahaus questioned Mr. Horwood on one of the risks he mentioned
47 in his letter. Mr. Horwood. replied that it is an unlikely event, but,
48 that before any purchase of capacity could go forward, it would have
49 - to be approved by the Indiana Public Service Commission. The main
50 problem would be reaching an agreement between I&M and IMPA in a timely _
51 fashion.

53. • Mr. Cornish stated that as a wholesale purchaser from I&M, if you do
54 nothing more- than you are .doing today, you contract with I&M forever. •

• 56 Councilman Carter asked if IMPA owns 25% of the plant, to which
57 Mr. Huffman replied that is correct and there will, be an administrative
58 body to represent our interests.. .

60 Mr. Cornish, responding to Councilman. Welch, stated that figures in
61 Schedule B were based on the agency being.in operation today with
62 Gibson on line today and with I&M and PSI wholesale rates being what
63 they are today. He feels reasonably._ sure the .rates that will go into
64 the contract on the day the Agency starts serving you will be less

1 than the rates that you are at that time paying I&M.

3 Mr. Huffman stated that Mr. Jesse Tilton will be the new general
4' municipal manager. . .

. 6 Councilman Carter moved--for- engrossment as amended, seconded by
7 • Councilman .Ahaus. -. President Mills stated this also includes in
8 the Ordinance the .Indiana Municipal. Power Agency Power Sales Contract
9 and the Capacity Purchase Agreement. On unanimous voice vote the
10 motion was carried.

12 Councilman Williams moved ..to. read Amended Ordinance No. 12-1982 on
13 third and final reading by title only; seconded by Councilman •
14 Hankinson and on unanimous voice vote the motion was carried.

16 The Clerk read on.third and final reading by title only Amended
17 Ordinance No. 12-1982.

19 Councilman Ahaus expressed concern that no major utility users were
20 present.

22 Amended Ordinance No. 12-1982 was adopted by the following vote:
23 AYES: Elstro, Williams, Ahaus, Hankinson,
24 Welch, Parker, Carter, Paust, Mills (9)
