This Lease Agreement (hereinafter "Agreement") entered into between the City of
Richmond, Indiana, by and through its Board of Public Works and Safety (hereinafter
"Lessor"), and Morrison -Reeves Library, by and through its Board of Trustees
(hereinafter "Lessee"), in consideration of the reciprocal agreements of the parties,
specifically noted below, agree as follows:
WITNESSETH:
1. Premises: Lessor leases unto Lessee those parking spaces marked
"RESERVED" in the parking lot owned and operated by the City of Richmond, Indiana,
with said parking lot located due north of Morrison -Reeves Library across North 61h
Street, and bounded by North "A" Street to the North, North 7th Street to the East, Service
Drive to the South, and North 6th Street to the West.
2. Consideration: Lessor, in consideration of the Lessee's allowance for
public parking on its parking lot located due north and adjacent to its building located at
80 North 6th Street, Richmond, Indiana, and in further consideration of the agreements
contained herein, agrees to lease said premises described in paragraph Number 1, listed
above, to Lessee without further demand of Lessee.
3. Term: For a term commencing on the 1 st day of April, 2005, and
terminating on the 31 st day of March, 2010.

4. Term Renewal: Lessee shall notify Lessor in writing not later than ninety
(90) days prior to the expiration of said term identified in paragraph 3, listed above, its
desire to renew said Agreement for an additional five (5) year tenn. Upon notice from
Lessee, Lessor shall render a decision on said request for renewal not later than thirty
(30) days prior to the expiration of said term identified in paragraph 3, listed above.
5. Use: Lessee shall solely use the premises for parking for
Lessee's employees and Lessee's agents.
6. Lessor Liability: Lessor shall not be liable for any personal injury, death, or
property damage sustained by Lessee, any employee or agent of Lessee, or other person
on the premises as a result of, or in connection with, Lessor's operation of premises as a
parking lot, and Lessee shall indemnify Lessor against and hold Lessor harmless from
any such claim of such liability, where the injury or damage occurs during the term of
this Agreement or as a consequence of an occurrence during the teen of this Agreement.
7• Maintenance: Lessor shall maintain the premises in a reasonably clean
condition and in reasonably good order.
8. Utilities: Lessor shall bear the sole cost and expense of any utility
services provided to the premises.
9. Surrender of Premises: Upon termination of this Agreement, whether by
lapse of time or otherwise, Lessee shall surrender possession of the premises to Lessor.
Should Lessor determine that Lessee's continued use of the premises is no longer
compatible with the Lessor's public purpose, then and in that event, Lessor shall have the
right to terminate said Agreement by giving Lessee sixty (60) days advance notice.

10. Non -Assignability: This Agreement shall not be assigned in whole or in part by
Lessee, nor shall the premises or any part of the premises be sublet by the Lessee, nor
shall any of the rights or privileges granted to Lessee be sold, transferred, or assigned by
Lessee, without the consent of Lessor in writing first obtained, and any such sale,
transfer, or assignment, whether voluntary or involuntary, shall be void and terminate this
Agreement at the option of Lessor.
11. Binding Agreement: This Agreement shall be binding upon the parties hereto and
shall be construed in accordance with the laws of the State of Indiana.
IN WITNESS WHEREOF, the parties have executed this Agreement at
Richmond, Indiana, as of the day and year first written above, although signatures may be
affixed on different dates.
