This compensation is more favorable than provided under the City's previous arrangement, which granted the higher of $135 a month per bus shelter or 15% of gross advertising revenues less agency comm ission . All advertising placements generated by CBS/Decaux will comply with generally accepted industry principles with respe ct to good taste and all applicable laws and regulations including , but not limited to, truth in advertising , copyrights and trademarks . The City will have discretion on what is considered indecent or vulgar and in the event of such determination , CBS/Decaux will remove the ad within 24 hours of notification . Bus shelters will not be used for the placement of tobacco product advertisements. CBS/Decaux will voluntarily lim it its display of alcohol product advertisements to no more than six bus shelters at any given time; with those shelters to be located at least 500 feet from schools , parks and places of fa ith (Attachment "E"). From time to time and with City authorization , CBS/Decaux may install digital panels in lieu of printed advertising posters . The company may also display advertisements on the glass backside or roof of those bus shelters located along Rosemead Boulevard . Examples of these in -lieu advertising options are shown in Attachment "F". The City will be annually provided with advertising space on a maximum of 18 bus shelters at no cost for a four-week period . These displays shall be used for public service announcements or the publicity of City-sponsored events , with poster production at the City's sole responsibility and cost. All bus shelters will receive twice-weekly routine maintenance including sweeping, cleaning , graffiti removal and the emptying of trash receptacles; as well as the twice-yearly steam cl eaning of shelter contained and adjacent sidewalk surfaces. Where need dictates, CBS/Decaux shall increase the frequency of maintenance at no cost and at request by the City. Routine maintenance will be provided to the solar pane l system affixed to those bus shelters located a lon g Rosemead Boulevard. If the so lar panels and system parts are damaged or stole n, the City is respon sible for re placing the co mponents at its sole expense. City Council May 20 , 2014 Page 4 of 5 Glass: Damage : Replacement: CBS/Decaux will spend up to $3,000 annually to rep lace broken or vandalized back glass panels on those bus shelters lo cated along Rosemead Boulevard. Any costs exceeding that amount are at the City's expense with installation to be provided at no cost by CBS/Decaux. Damaged or defaced bus shelters will be repaired by CBS/Decaux within 24 hours of notification. Replacement parts are to be provided "like with like" from the manufacturer to ensure the shelter's visual and structural i ntegrity . Bus shelters damaged beyond repair will be removed within four hours of notification. CBS/Decaux shall install a replacement shelter within 30 days at those locations exclusive of Rosemead Boulevard , while the City is responsible for purchasing and installing the remaining shelters at its sole expense. Finally, the following two alternatives were co nsidered as part of staff's recommendation to enter into an agreement with CBS/Decaux. These alternatives are not recommended. Alternative 1 : Alternative 2: CONCLUSION: Reissu e the RFP for a better response. Considering the limited response received by the RFP and CBS/Decaux's position in the local market, the City is not likely to gain any additional choices for service or increased revenue at this time . Do not enter into a contract. Bus shelter maintenance would become a responsibility of the City, creating added expense and liability . Furthermore, this alternative does not yield the City a guaranteed revenue source as it has in the past. The proposed agreement with CBS/Decaux provides the City with a bus shelter program complete with advertis ing displays and regular maintenance. A best practice for municipalities, this type of program provides a number of benefits including: improved accommodations to bus patrons; reduced costs and higher service frequencies for shelter maintenance; and a consistent revenue source . Based upon similar services CBS/Decaux has provided the City in the past and pursuant to their proposed scope , staff recomm ends contract execution for shelter advertising and maintenance services for an initial f ive-year term effective on or around May 26 , 2014 . City Council May 20 , 2014 Page 5 of 5 FISCAL IMPACT: According to CBS/Decaux's proposal , the City wi l l receive a m 1mmum guaranteed compensation of $140 per bus shelter, which equates to nearly $32 ,000 annually or $160,000 over the five-year term . At the t ime of option renewals , staff may cons ider aligning the minimum guaranteed c ompensation to Consumer Price Index increases, thus ensuring future revenues are current with market conditions . The appropriation and use designation of City-received advertising revenues wil l require Council review and input as part of subsequent City Budget preparations . These discussions must also account for anticipated maintenance costs not covered under the proposed agreement, i .e . those shelters situated along Rosemead Boulevard . ATTACHMENTS: A. RFP : Bus Shel t er A dvertising and M a int e nance Se rvices Page 2 of 1 0 (i ncluding cover) INTRODUCTION The City of Temple City ("City") is soliciting proposals from qualified contractors to provide revenue-generating transit commercial advertising services. Advertising will take form on both City-owned and contractor-furnished bus shelters. The successful contractor shall take full responsibility for al l aspects of exterior advertising sales, advertising placement, and shelter maintenance and repair as generally set forth in this Request for Proposals ("RFP "). BACKGROUND Temple City i s centrally located in the west San Gabriel Valley, approximately fi ve m iles southeast of Pasadena and 13 miles east of downtown Los Angeles. Predom inately residential , the community is home t o 35,000 residents and surrounded by the municipalities of Arcadia , San Gabriel, El Monte, Rosemead and unincorporated Los Angeles. Metro bus lines primarily serve the community with a majority of boarding and alighting along Rosemead Boulevard-a major and regional thoroughfare that provides a 2.2-mile segment through Temple City and generates roughly 38,000 vehicle t r ips daily. O v er $20 million in capital improvements to the corridor wi l l be completed by May 10, 2014, allowing for California's first-ever "complete street" that serves cars, buses, b icycles and pedestrians equally. Among the amenities are eight new m iles of bike lanes and sidewalks, over 30 public art installations, thousands of new trees and other plantings, and sophisticated lighting fixtures and street furniture-including 15 new City-owned bus shelters with advertising panels and trash receptacles. Attachment A provides shelte r locations, specifications and photos. Additionally, the City is nearing its contract with an advertising company for the furnishment and maintenance of four bus shelters in the vicinities of Lower Azusa Road and Las Tunas Drive. Those shelters, installed in 2000, are located near key intersections that average 28,000 vehi cl e trips daily and service three Metro bus lines. The City wishes to retain the shelter locations, which are identified in Attachment B. As detailed in the following project scope, the C ity is seeking a more traditional print adv ertising model; however, proposals may provide for an added option of digital advertising, Wi-Fi and other enhancements. PROJECT SCOPE The City is seeking proposals f rom qualified contractors to provide bus shelter advertising and ma i ntenance services. The proposed contract is for five years with a fi ve-year option. T he successful cont ra ctor shall: • Have exclusive rights to market , lease and place commercial advertisement on all transit shelters. All advertising, except where noted below, will be obtained for the sole pu rpose of generating revenue. • Provide co mpensation to the City in the form o f monthly payments in return for said exclusive advertising rig hts. The compensation m ay be based on a minimum dollar amount or a percentage of revenue generat ed, whichever is g reater. • Give its best effort to sell advertising space and operate a fully staffed business office to manage this effort. The contractor must be famil iar with the greater Los Angeles area, and capable of acquiring both local and national advertising contracts. • Comply w it h g e n era l ly accepted industry princi p les with respect to good taste and all applicable laws and regulations including but not limited to truth in advertising, copyrights and trademarks. The contractor shall remove any advertising t he City deems inappropriate within 24 hours of written notice. • Produce and maintain all finished advertising material to be placed on the transit shelter; and remove damaged, stolen or defaced ads within 24 hours of written notice by t h e City. The contractor will also remove all dated advertising materials with in five d ays from their expi ration date.1 1 Dated materials refer to advertising mat erials that are relevant to a spectfic t ime period or relevant to an event that has been completed. RFP: Bus Shelte r Advertising and Maintenance Services Page 4 of 10 (including cover) • • • Avail to the City a minimum of 18 unsold advertising spaces per yea r for purposes of public service announcements and the publicity of other City activities. With at least a 2 4-hour notice, the successful contractor may remove these announcement s if the space is sold. The contractor may also place its own advertisements in empty spaces with the City's prior approval. Maintain the transit shelters at least twice weekly with such maintenance to incl ude sweeping, cleaning, emptying trash receptacles and keeping shelters free of graffiti , litter and debris. Steam clean sidewalks in and around the transit shelters at a minimum of twice yearly, or as need dictates. • At no cost, in crease the frequency of transit shelter maintenance-at the request of the City-where required maintenance is not sufficient. • Replace and rep air any and a ll damaged or defaced shelters or indivi dual parts within 24 hours after the C ity reports notification of such damage or defacement. If such damage or defacement renders the shelter dangerous, the contractor shall respond within four hours. SUBMITTAL REQUIREMENTS Prospective contrac t o rs interested in this RFP shall submit four copies (one unbound) of a proposal that includes the following: 1. A cover letter signed by an authorized official stating the proposal p resents a firm offer for a 120-day period. 2. An overview and statement of qualifications of the contractor's firm and proposed subcontractors, if any. 3. An organiz ationa l chart for the Project Team, identifyin g the Project Manager and key staff. 4. Resumes for th e Project Manager and key staff including education, relevant past project experi ence and a description of their assignment for their project. This information shall account for the maintenance and repair of both contractor-furnished and City-owned bus shelters. 6. A revenue sh aring proposal tha t includes basis for methodology, and a minimum monthly guarantee for each yea r of the contract's base and option terms. 7. A list of similar contracts tha t the contractor is currently servicing or has completed in the last five yea rs . If a subcontractor is proposed, two to three simil ar q ualifications and references must be p rov ided . The submitted proposal should be concise and shall not exceed 50 single-sided pages. The cover letter, tabs (if used), and front and back covers will not be counted against the page li mit. The City reserves the right to modify the scope of this RFP, to rej ect all submissions or to request and obtain from one or more contractors submitting proposals, supplementary information as may be necessa ry for the City to make a selection. The information may be requested from a contractor individually, or from all prospective contractors simu ltaneously. 3. Proposals may, at the City's option, be rejected if they are incomplete, or contain erasures or irregularities of any kind. The City reserves the rig ht to reject any and all proposals. The City expressively reserves the right to postpone submittal opening for its own convenience and to reject any and all submittals responding to this RFP . 4. The selected contractor will be required to comply with all existing Federal and State laws including equal opportunity employment provisions. 5. The City reserves the right to negotiate special requirements and proposed service levels u sing the selected proposal as a basis. Compensation for services will be negotiated with the selected contractor. 6. All responses to this RFP shall become the property of the City, and will be retained or disposed of accordingly. 7. No proposal amendments, additions or alternates shall be accepted after the submission date and time. 8. All documents, record s, designs, and specifications developed by the selected contractor i n the course of providing services for the City shall be property of the City. Anything considered to be proprietary should be so designated by the consultant. 9. Acceptance b y the City of any proposal submitted pursuant to this RFP shall not constitute any implied intent to enter into a contract for services. 10.
