STANDARD FORM OF AGREEMENT
BETWEEN
OWNER AND ENGINEER
FOR
STUDY AND REPORT
PROFESSIONAL SERVICES
This is an Agreement made as of
between the City of McCall, Valley County, Idaho
and J-U-B ENGINEERS, Inc. , Boise, Idaho
.1990
(OWNER)
(ENGINEER).
OWNER employs ENGINEER to perform professional engineering services, to serve as OWNER's profes-
sional engineering representative and to provide professional engineering consultation and advice for a professional
fee (as set forth below) in connection with preparation of an update to the Facilities Plan
for the City of McCall Wastewater Collection and Treatment Facilities
SECTION 1—BASIC SERVICES OF ENGINEER
1.1. After written authorization to proceed. ENGI-
NEER shall perform the following professional ser-
vices:
1.1.1. consult with OWNER to clarify and define
OWNER's requirements for the Assignment and review
available data:
1.1.2. advise OWNER as to the necessity ofOWNER's
providing or obtaining from others special services and
data required in connection with the Assignment and
assist OWNER in obtaining such data and services:
I.1.3. provide analyses of OWNER's needs with eval-
uations and comparative studies of prospective solu-
tions:
1.1.4. prepare a Report of ENGINEER's findings and
recommendations and furnish five copies of the Report
and review it in person with OWNER.
(the "Assignment").
1.2. The duties and responsibilities of ENGINEER
described above are supplemented and amended as
indicated in paragraph I of Exhibit SR -A "Further
Description of Basic Services. Duties of Owner. Method
of Payment and Related Matters" which is attached to
and made a part of this Agreement.
SECTION 2—ADDITIONAL SERVICES
2.1. If authorized in writing by OWNER. .Additional
Services related to the Assignment will be performed
by ENGINEER for an additional professional fee.
SECTION 3—OWNER'S RESPONSIBILITIES
OWNER shall do the following in a timely manner so
as not to delay the services of ENGINEER:
3.1. provide all criteria and full information as to OWN-
ER's requirements for the Assignment and designate

in writing a person with authority to act on OWNER's
behalf on all matters concerning the Assignment;
3.2. furnish to ENGINEER all existing studies, reports
and other available data pertinent to the Assignment,
obtain or authorize ENGINEER to obtain or provide
additional reports and data as required, and furnish to
ENGINEER services of others required for the per-
formance of ENGINEER's services hereunder, and
ENGINEER shall be entitled to use and rely upon all
such information and services provided by OWNER or
others in performing ENGINEER's services under this
Agreement;
3.3. arrange for access to and make all provisions for
ENGINEER to enter upon public and private property
as required for ENGINEER to perform services here-
under;
3.4. perform such other functions as are indicated in
paragraph 2 of Exhibit SR -A "Further Description of
Basic Services. Duties of Owner, Method of Payment
and Related Matters"; and
3.5. bear all costs incident to compliance with the
requirements of this Section 3.
SECTION 4—PERIOD OF SERVICE
4.1. ENGINEER's Basic Services will be performed
and the Report submitted within the time period or by
the date stipulated in paragraph 3 of Exhibit SR -A
"Further Description of Basic Services. Duties of Owner,
Method of Payment and Related Matters."
4.2. ENGINEER's Basic Services under this Agree-
ment will be considered complete at the earlier of (1)
the date when the Report is accepted by OWNER or
(2) thirty days after the date when the Report is sub-
mitted for final acceptance. plus in each case. if appli-
cable, such additional time as may be considered
reasonable for obtaining approval of governmental
authorities having jurisdiction to approve the Report.
4.3. ENGINEER's Additional Services will be per-
formed and completed within the time period agreed to
in writing by the parties at the time such services are
authorized.
4.4. If any time period within or date by which any of
ENGINEER's services are to be completed is exceeded
through no fault of ENGINEER. all rates. measures
and amounts of compensation and the time for com-
pletion of performance shall be subject to equitable
adjustment.
SECTION 5—PAYMENTS TO ENGINEER
5.1. Methods of Payment for Services of ENGINEER.
5.1.1. For Basic Services. OWNER shall pay ENGI-
NEER for all Basic Services rendered under Section 1
(as amended and supplemented by Exhibit SR -A "Fur-
ther Description of Basic Services, Duties of Owner,
Method of Payment and Related Matters") as follows:

5.1.2. For Additional Services. OWNER shall pay
ENGINEER for all Additional Services rendered under
Section 2 on the basis agreed to in writing by the parties
at the time such services are authorized.

5.2. ENGINEER shall submit monthly statements for
Basic and Additional Services rendered and for Reim-
bursable Expenses incurred. OWNER shall make prompt
monthly payments in response to ENGINEER's monthly
statements.
5.3. ENGINEER's above charges are on the basis of
prompt payment of bills rendered and continuous prog-
ress of the work on the Assignment until submission
of the Report.
5.4. If OWNER fails to make any payment due ENGI-
NEER for services and expenses within thirty days
after receipt of ENGINEER's statement therefor. the
amounts due ENGINEER will be increased at the rate

of 1% per month from said thirtieth day, and in addition,
ENGINEER may, after giving seven days' written notice
to OWNER, suspend services under this Agreement
until ENGINEER has been paid in full all amounts due
for services, expenses and charges.
SECTION 6—COST CONTROL
6.1. OWNER's budgetary requirements and consid-
erations in respect of the Assignment are set forth in
paragraph 5 of Exhibit SR -A "Further Description of
Basic Services, Duties of Owner, Method of Payment
and Related Matters".
6.2. Opinions of probable construction cost, financial
evaluations, feasibility studies, economic analyses of
alternate solutions and utilitarian considerations of
operations and maintenance costs prepared by ENGI-
NEER hereunder will be made on the basis of ENGI-
NEER's experience and qualifications and represent
ENGINEER's best judgment as an experienced and
qualified design professional. It is recognized, however,
that ENGINEER does not have control over the cost
of labor, material, equipment or services furnished by
others or over market conditions or contractors' meth-
ods of determining their prices, and that any utilitarian
evaluation of any facility to be constructed or work to
be performed on the basis of the Report must of neces-
sity be speculative until completion of its detailed design.
Accordingly, ENGINEER does not guarantee that pro-
posals, bids or actual costs will not vary from opinions,
evaluations or studies submitted by ENGINEER to
OWNER hereunder.
SECTION 7—GENERAL CONSIDERATIONS

7.2. The obligation to provide further services under
this Agreement may be terminated by either party upon
thirty days' written notice in the event of substantial
failure by the other party to perform in accordance with
the terms thereof through no fault of the terminating
party. In the event of any termination, ENGINEER
will be paid for all services rendered and reimbursable
expenses incurred to the date of termination and, in
addition, all reimbursable expenses directly attribut-
able to termination.
7.3.1. OWNER and ENGINEER each is hereby bound
and the partners, successors, executors, administrators
and legal representatives of OWNER and ENGINEER
(and to the extent permitted by paragraph 7.3.2 the
assigns of OWNER and ENGINEER) are hereby bound
to the other party to this Agreement and to the partners.

sentatives (and said assigns) of such other party, in
respect of all covenants, agreements and obligations of
this Agreement.
7.3.2. Neither OWNER nor ENGINEER shall assign,
sublet or transfer any rights under or interest in (includ-
ing, but without limitation. moneys that may become
due or moneys that are due) this Agreement without
the written consent of the other. except to the extent
that any assignment, subletting or transfer is mandated
by law or the effect of this limitation may be restricted
by law. Unless specifically stated to the contrary in any
written consent to an assignment. no assignment will
release or discharge the assignor from any duty or
responsibility under this Agreement. Nothing con-
tained in this paragraph shall prevent ENGINEER from
employing such independent professional associates
and consultants as ENGINEER may deem appropriate
to assist in the performance of services hereunder.
7.4. Nothing under this Agreement shall be construed
to give any rights or benefits in this Agreement to any-
one other than OWNER and ENGINEER. and all duties
and responsibilities undertaken pursuant to this Agree-
ment will be for the sole and exclusive benett of OWNER
and ENGINEER and not for the benefit of any other
party.
7.5. This Agreement (consisting of pages 1 to 4
inclusive) together with Exhibit SR -A constitute the
entire Agreement between OWNER and ENGINEER
and supersede all prior written or oral understandings.
This Agreement and said Exhibit SR -A may only be
amended, supplemented. modified or cancelled by a
duly executed written instrument.

Further Description of Basic Services, Duties of Owner,
Method of Payment and Related Matters
This is an exhibit attached to and made a part of the Agreement dated 4 o 0 , it( , / q ?2) ,
1990, between the City of McCall, Valley County, Idaho (OWNER) and J-U-B ENGINEERS,
Inc. (ENGINEER) for study and report professional services.
1. The Basic Services of ENGINEER as described in Section 1 of said Agreement are
amended and supplemented as follows:
The ENGINEER's basic duties shall be as described below:
I. EXISTING CONDITIONS
A. Prepare a description of existing conditions as determined by the ENGINEER
in the Study Area based on published literature and consultation with
appropriate Federal, State and local agencies. The Study Area is as shown
on Figure 1 of this Exhibit SR -A. Those conditions to be described shall be
limited to:
(1) Surface and groundwater hydrology (quality and quantity).
(2) Topography, geology and soils.
(3) Weather conditions, including precipitation, temperatures and prevailing
winds.
(4) Existing terrestrial and aquatic plants, animals and natural communities.
(5) Air quality and noise.
(6) Energy production and consumption.
(7) Land uses and development.
(8) Population.
(9) Socioeconomic conditions.
(10) Public facilities and services.

(11) Related Federal, State and other projects in planning area.
(12) Water quality and public health problems caused by inadequate
wastewater treatment and disposal practices.
B. Based on the descriptions prepared in Item 1.A., prepare an existing land use
map depicting residential areas, commercial and industrial areas, agricultural,
forest, airport influence areas, parks and recreational areas, and Federal and
State lands.
C. Based on the descriptions prepared by the ENGINEER in Item 1.A., identify
environmentally sensitive features and areas to be protected. Prepare a map
locating known or acknowledged areas and features including floodplains,
wetlands, recreational areas, archaeological/historical sites, endangered
species, areas susceptible to erosion, prime agricultural lands, wild and scenic
rivers, etc.
D. Existing wastewater collection pipelines and pumping facilities.
(1) Prepare a map depicting the location, size and invert elevations of
existing wastewater interceptor sewer lines and pumping facilities in the
planning area and define approximate service area limits for each major
collection line or network of lines.
(2) At selected locations within the collection system, collect flows during:
(a) low groundwater/no runoff conditions; (b) high groundwater/no
runoff conditions; and (c) high groundwater/high runoff conditions.
This task will involve flow measurements in the fall of 1990 and early
and late spring of 1991. Monitoring locations will be selected to isolate
areas of high infiltration/inflow.
(3)
In the spring of 1991 during runoff and high groundwater conditions,
beginning at the downstream end of each major existing sewer service
area, inspect flow conditions at manholes progressing upstream.
Identify pipeline runs and manholes where significant flow increases are
observed.
(4) As indicated by visual inspections and flow measurements, inspect for
sources of inflow into the network from such possible sources as
manhole lids and walls and from roof drains, storm drains, and any
known under drainage network.
(5)
As indicated by visual inspections, age of line and flow measurements,
sections of pipeline will be selected for television inspection as a further
means to identify infiltration sources.

(6) Evaluate whether it is cost-effective to remove or treat known quantities
of infiltration/inflow.
(7) Evaluate the capacity and reliability of existing pump stations to
include:
a. Establish the capacity of existing wastewater pumps;
b. Inspect and evaluate existing electrical and control systems at
pumping stations; and
c. Evaluate existing pump station alarm sequences and allowed
response time.
E. Existing plant capacity will be predicted given actual operational records since
start-up. The following factors will be considered:
(1) Aeration system efficiency.
(2) Lagoon kinetics and various organic loading, flow and temperature
scenarios.
(3) Slow sand filter capacity at various hydraulic, organic and suspended
solids loadings.
(4) Chlorine contact basin volume.
(5) Chlorine feed capability.
(6) Limitations in plant hydraulic capability due to pipeline and pump size.
(7) Outfall line and diffusion capacity.
(8) Age and condition of equipment.
F. Review plant capability and performance as compared to existing effluent
limitations.
G. Recommend "sewer service area" to City Council. The "sewer service area"
is that area programmed to be served by the planned facilities.
II. FUTURE CONDITIONS
A. Assist City in evaluation of new effluent limitations.
B. Prepare an ultimate land use map for the planning area. This map will reflect
what the ENGINEER determines to be the current consensus within the

community as to what the ultimate land use in the planning area will be. The
map will be used to project sewer line capacities and in the preparation of a
master plan for sewer service to developing areas. The ultimate land use map
will be prepared with consultation and input from:
(1) The City Council;
(2) City staff;
(3) City and Impact Area Planning and Zoning Commission; and
(4) Citizens Advisory groups, as required.
The ultimate land use map will be prepared with consideration of:
(1) Existing zoning and land use plans.
(2) Approved but not built developments within the planning area.
(3)
Development of vacant and under-utilized lands, both public and
private.
Sensitive environmental areas such as the shoreline environment of
Payette Lake and the Payette River.
The Airport impact area.
Location of existing or proposed highways and major arterial streets.
The City's program for parks and recreation.
Development of a convention center and City core area redevelopment.
The City's continued growth as a recreational community.
The proposed Valbois development.
C. Prepare 20-year population projections.
D. Prepare 20-year hydraulic flow and waste strength projections.
E. Prepare master plan for extension of sewer service into developing areas -
Preliminary design will be projected and prepared for sewer lines ten inches
and larger in diameter.
F. Prepare a recommended program for ongoing flow reduction and control of
future infiltration/inflow sources.

G. Evaluate alternatives for increasing lift station reliability, including additional
storage, parallel force mains, bypass pumping, and standby energy source.
H. Evaluation of possible wastewater treatment alternatives to include:
(1) No action.
(2) Expansion of existing facility.
(3)
Expansion of existing facility to accommodate increased flow and
organic loadings followed by mineral precipitation of phosphorus,
clarification and dechlorination, sludge storage and disposal.
(4) Utilize existing plant for BOD and suspended solids reduction, addition
of lagoon for storage of flows during non -growing season, and slow
rate land treatment during growing season.
(5) Utilize existing plant and high rate land treatment.
(6) Abandon existing facility and utilize biological treatment system capable
of nutrient removal.
(7)
Plant expansion using a combination of storage, high -rate land treatment
and slow -rate land treatment.
I. Each alternative will be evaluated and ranked by the following criteria:
(1) Environmental effects.
(2) Energy use.
(3) Present worth cost analysis.
a. Capital cost.
b. Operation and maintenance cost.
c. Salvage value.
(4) Reliability.
(5) Implementability.
(6) Public acceptance.
(7) Impact on drinking water supply.

J. Prepare plan for implementation of selected treatment option including
phasing, funding options, and impact on user fees.
K. Prepare plan for implementation of extension of sewer system pipeline
network to service areas of proposed new development.
L. Assist City in implementation of public participation program to include:
(1) Involvement of the Joint Powers Board of the Payette Lakes Water and
Sewer District and City, the City Planning and Zoning Commission, the
Impact Area Planning and Zoning Commission;
(2) A public workshop to comment on service area;
(3) A public workshop on treatment alternatives;
(4) Preparation of an executive summary for the study and publishing of
100 copies to be made available to the public prior to the public
hearing; and
(5) Public hearing.
III. ENVIRONMENTAL ASSESSMENT
A chapter of the Facilities Plan will be prepared which summarizes the environmen-
tal considerations associated with the project and how those considerations were
integrated into the facility planning process, anticipated development of the planning
area and evaluation of alternatives. The Environmental Assessment will address the
following topics:
A. General topography, geology and soils conditions in the planning area which
might be adversely affected by development of the proposed planning area or
implementation of a selected alternative.
B. Planning area climate as relates to feasibility of selected alternative including
possible creation of an air quality problem.
C. Population forecasts and an opinion of whether or not they are excessive.
D. Economic and social impacts of the project including an opinion of afforda-
bility of project, special benefits to certain landowners, and adverse effect on
land values.
E. Land use, including an analysis of whether projected growth and development
to be served by the project is compatible with local land use and community
plans, as well as the apparent compatibility of the recommended alternative
and project site with inhabited areas and adjacent land uses.

F. Does the project impact development in any designated 100-year floodplains?
G. Wetlands, including disruption of wetlands by the project or by other possible
development which will affect wetlands.
H. Wild and Scenic Rivers.
I. Cultural resources.
J. Flora and fauna including impact of project and development to be served by
project on endangered species, sensitive fish and wildlife habitat.
K. Recreation and open space.
L. Agricultural lands.
M. Air quality.
N. Water quality including direct and indirect impact of project and development
served by project on water quality, both surface and groundwater.
O. Public health.
P. Sludge management.
Q. Energy.
R. Land application including impacts on groundwater, air quality and risks
associated with application technique.
S. Regionalization, including the presence of jurisdictional disputes or controver-
sy over the project.
T. Public participation, including evidence of adequate public involvement.
U. Environmental laws.
2. The responsibilities of OWNER as described in Section 3 of said Agreement are amended
and supplemented as follows:
• Provide contour mapping with one -foot contour intervals for the sewer service area
as adopted by the City Council. The ENGINEER will assist the OWNER in
obtaining the services of a qualified surveyor and aerial mapping company to
perform the mapping work.

3. The time period for the performance of ENGINEER's Basic Services, based on receiving
"notice to proceed" by December 15, 1990, is as follows. The following schedule is dependent
upon the 1991 snowmelt/runoff event being average range for McCall.
A. Completion of SR -A Item 1 Tasks I.A., I.B., I.C., I.E., I.F. and I.G. by June 30,
1991.
B. Completion of SR -A Item 1 Tasks I.D., and II.A. through II.L. by October 31,
1991.
C. Completion of SR -A Item 1 Tasks III.A. through III.V. by November 30, 1991.
D. Submittal of Final Draft of the Report by December 31, 1991, to the OWNER.
E. Submittal of Final Draft Report to the Idaho Department of Health & Welfare
(IDHW) by February 1, 1992, reflecting OWNER's comments.
F. Submittal of Final Report to the OWNER and IDHW reflecting IDHW's comments
and requirements within sixty (60) days of completion of IDHW review.
4. Terms used in describing the applicable method of payment for services rendered and
Reimbursable Expenses incurred by ENGINEER shall have the meanings indicated below:

5. OWNER has established a budget of $274,000 for this Facility Planning Project.
6. The OWNER agrees to limit the ENGINEER's liability associated with this Assignment
to the amounts of insurance on the Certificate of Insurance submitted in conjunction with this
Agreement.
7. The ENGINEER's final work product shall consist of a Facility Plan prepared in
accordance with IDHW requirements in effect at the time of this Agreement.
8. Section 7.1 of said Agreement shall read as follows:
7.1 Ownership of Copyright. OWNER shall be the owner of all documents prepared
or furnished by ENGINEER (and ENGINEER's independent professional associates and
consultants) pursuant to this Agreement, and OWNER shall own all rights comprised in
the copyright therein. Any reuse without written verification or adaptation by the
ENGINEER for other than the specific purpose intended will be without liability or legal
exposure to ENGINEER. Any such verification or adaptation requested by the OWNER

will entitle ENGINEER to further compensation at rates to be agreed upon by OWNER
and ENGINEER.

PART III - ASSURANCES
1. The applicant hereby assures and certifies that he will comply
with the applicable regulations, policies, guidelines, and
requirements as they relate to this application and acceptance
and use of State funds for this project.
2. The applicant possesses legal authority to apply for the grant
and to finance and construct the proposed facilities, that a
resolution, motion or similar action has been duly adopted or
passed as an official act of the applicant's governing body
authorizing the.filing of the application, including all
understandings and assurances contained therein, and directing
and authorizing the person identified as the official
representative of the applicant to act in connection with the
application and to provide such additional information as may
be required.

3. The applicant will have sufficient funds available to meet the
local share of the cost for this project. Sufficient funds
will be available when construction is completed to assure
effective operation and maintenance of the facility for the
purposes constructed.
4. The applicant will give the grantor agency or its authorized
representative access to and the right to examine all records,
books, papers, or documents related to the grant.

RESOLUTION NO.
A RESOLUTION by the City Council of the City of McCall
authorizing Mayor John J. Allen, Jr., to sign all applications,
grant agreements and amendments, and other documents relating to
wastewater facilities planning and construction grants.
WHEREAS, the City Council intends to develop a plan for
wastewater collection, treatment and disposal for the City of
McCa11; such plan being necessary to determine the needs of the
area for health safety and well-being of the people; and
WHEREAS, the plan is to be developed in accordance with the
requirements of Public Law 92-500 and 95-217, and will set forth
facilities required to be constructed to serve the needs of the
area; and
WHEREAS, the costs of the planning, design and construction of
the wastewater facilities are eligible for federal funding.
NOW, THEREFORE, be it resolved by the City Council of the City
of McCa11 that Mayor John J. Allen, Jr., is duly authorized to
sign applications, grant agreements and amendments, and other
documents relating to wastewater facilities planning and
construction grants, including all understandings and assurances
required therein, and that Mayor Allen is further authorized to
provide such additional information as may be required.
