ADDENDUM
THIS ADDENDUM, (Number 1 to Contract No. 135-2019) is made and entered into
this 10 day of Jul arch , 2022, by and between the City of Richmond, Indiana, a
municipal corporation acting by and through its Board of Parks and Recreation, with its office at
50 North 5th Street, Richmond, Indiana, 47374 (hereinafter referred to as "City"), and Specialized
HVAC &Mechanical LLC, P.O. Box 1294, Richmond, Indiana, 47375 (hereinafter referred to as
"Contractor").
WHEREAS, City and Contractor previously entered into Contract No. 135-2019 on December
16, 2019, which contract was for services in connection with the installation of
roof-top air handling units at the Senior Center building for the Richmond Parks
Department; and
WHEREAS, The parties wish to amend said Agreement to include the installation of five (5)
additional identical units for the Senior Center building for the Parks Department
as set forth within the scope of Contract No. 135-2019. Said units are procured
in part to maintain adequate ventilation due to the impact of COVID-19
restrictions upon the community.
NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained,
including the above stated recitals, City and Contractor hereby agree as follows:
1. The City and Contractor executed and entered into Contract No. 135-2019, on
December 16, 2019. Pursuant to Contract No. 135-2019, Section XI
(Miscellaneous), the Agreement may be altered or amended in whole or in part at
any time by filing with the Agreement a written instrument setting forth such
changes signed by both parties. The parties agree that Contractor shall be retained
to install five (5) additional identical roof-top air handling units at the Senior
Center building for the Parks Department, with said services to be within the
scope of Contract No. 135-2019 and as identified in Exhibit A to this Addendum.
Such services shall be performed in a manner consistent with Contract No. 135-
2019, which is hereby incorporated by reference and made a part hereof. The
contract amount shall be increased to an amount not to exceed Thirty-four
Thousand Four Hundred Dollars and Zero Cents ($34,400.00) during the 2022
calendar year.
2. City and Contractor expressly agree that all other terms, conditions, and
covenants contained in Contract No. 135-2019, shall be applicable to the work
performed pursuant to this Addendum, unless such term, condition or covenant
conflicts with this Addendum Number 1, in which case this Addendum Number 1
shall be controlling.

3. Both parties hereby agree that with the exception of the increased contract amount
and the installation of the five (5) additional identical roof-top air handling units
at the Senior Center to be performed by Contractor as set forth in Exhibit A to this
Addendum, Contract No. 135-2019 shall remain intact and unchanged and in full
force and effect.
4. Both parties agree that any person executing this Contract in a representative
capacity hereby warrants that he or she has been duly authorized by his or her
principal to execute this Addendum.
IN WITNESS WHEREOF, this Addendum is executed and approved by the undersigned

Work to be performed during normal business hours unless otherwise specified. Labor&material will not exceed the quoted price for
this scope of work.Additional labor&material charges for any unforeseen work will be charged at our current labor rates upon •
