HomeMy Public PortalAboutAddendum No. 1 to Contract No. 21-2021 - Stamper's Wrecker Service - Impound ADDENDUM THIS ADDE Ntuber 1 to Contract No. 21-2021) is made and entered into this day of ,/ it , 2022, by and between Richmond, Indiana, a municipal corporation acting through its Board of Public Works and Safety with its office at 50 North 5th Street, Richmond, Indiana, (hereinafter referred to as "City"), and Stampers Wrecker Service, 2516 Union Pike,Richmond,Indiana,47374 (hereinafter referred to as "Contractor"). ' WHEREAS, City and Contractor entered into Contract No. 21-2021 on March 24,2021; and WHEREAS, The Parties wish to clarify the scope of the services to include any vehicles otherwise required to be towed by the City where vehicles are to be towed as part of an Unsafe Building Commission order and contract, as set forth within the scope of Contract No.21-2021. NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, including the above stated recitals, City and Contractor hereby agree as follows: 1. The City and Contractor executed and entered into Contract No. 21-2021, on March 24, 2021, which Contract is incorporated herein by reference. Pursuant to Contract No. 21-2021, Section XI (Miscellaneous), the Parties may alter or amend said Agreement in whole or in part by filing with the Agreement a written instrument setting forth such changes signed by both parties. Contractor shall accept any vehicles towed or transported to Contractor in accordance with an affirmed order issued by the Unsafe Building Commission pursuant to IC 36-7-9-1 et seq. in addition to the impounded or abandoned vehicles received by Contractor. Such services shall be performed in a manner consistent with Contract No. 21-2021, which is hereby incorporated by reference and made a part hereof. City agrees that City, by and through its Enforcement Authority, will provide Contractor with YIN numbers for each vehicle which is being towed or transported pursuant to an Unsafe Building Commission order. City also agrees that City shall require any person or entity retained to deliver the vehicles pursuant to an Unsafe Building Order to only deliver the vehicles during Contractor's regular posted impound business hours. 2. City and Contractor expressly agree that all other terms, conditions, and covenants contained in Contract No. 21-2021, shall be applicable to the work performed pursuant to this Addendum, unless such term, condition or covenant conflicts with this Addendum Number 1, in which case this Addendum Number 1 shall be controlling. Both parties hereby agree that with the exception of the clarification permitting vehicles to be accepted by Contractor in the event an Unsafe Building Commission order and with the exception of providing VIN numbers and requiring vehicle deliveries to be performed during Contractor's business hours as described above, Contract No.21-2021 shall remain intact and unchanged and in full force and effect. 4. Both parties agree that any person executing this Contract in a representative capacity hereby warrants that he or she has been duly authorized by his or her principal to execute this Addendum.
