B200 Saint George, UT 84770 Terms of Service US v1.1.7 Credit Card will be charged between the 1st and the 5th of the following month in which broadcasting service was rendered. At the end of each month, all customers will print their own invoice from TCN's website. By signing below, each customer agrees to pay for the usage of the software broadcasting minutes used and for software minutes used when customers connect back when choosing the "connect -back" feature and agrees to any minimums contained in the addenda attached hereto. TCN will pay for Local, State, and Federal taxes as well as the cost of maintaining toll numbers and other misc. telecommunication charges. The foregoing costs will include and be part of the attached software minute rate. TCN reserves the right to change the pricing and or the nature or scope of the product from time to time. TCN agrees that no change in pricing can occur without a prior written 30-day notice. TCN reserves the right to discontinue service if in the opinion of TCN the voice -broadcasting product is being used in an unacceptable or inappropriate manner. The account information and phone numbers uploaded to TCN from any customer is the exclusive property of said customer and cannot be shared by TCN in any form with any other person or entity, except as required by law or court authority. TCN highly recommends backing up important Data and alerts the customer that Data older than 30 days may not be accessible. In no event shall TCN be liable for any incidental, indirect, special, consequential or punitive damages including loss of use, profits. revenue or goodwill. TCN's total liability shall be limited to the amount of payment for product or services received from customer during the calendar month such liability arose and TCN will not be liable for any incidental or consequential damages. TCN liability is limited to Negligence only. TCN shall not be liable for any failure of performance due to causes or circumstances beyond TCN's control; nor shall TCN be liable for any act or omission of any other person or company furnishing any portion of a product or service. TCN will expend every reasonable effort to maintain its area code and time zone database current: however, Customer recognizes that area codes can change time zone affiliation and that customers can port numbers, and agrees to not hold TCN liable for any incidental or direct liability resulting from inaccurate TCN time zone programming that is not a result of Negligence in expending every reasonable effort. TCN implies no warranties not contained expressly in this agreement. This Agreement is subject to laws in the great state of Utah and supersedes all prior agreements, representations and understandings of the parties. TCN and the Customer can terminate this Agreement at any time; however, the Customer remains liable for all outstanding fees for services rendered. The indemnification provisions of this Agreement also survive termination, regardless of which party terminated and the reason for termination. TCN, although software based, functions like a hardware auto dialer. It is the Customer's responsibility to comply with all International, Canadian, Federal, State, local, and other laws governing the Customer's business and purpose(s) in using TCN. TCN is in no way liable for any breach in International, Canadian, Federal, State, or other laws caused in whole or in part by the Customer, and the Customer agrees to indemnify TCN if such a breach results in damages to TCN, whether through court costs, court -ordered damages, or loss of reputation. All numbers provided to TCN must be in compliance with the TCPA, FDCPA, and any other relevant Federal and State laws. In the U.S., the FCC has restrictions for prospecting people with whom you have never had a previous business relationship. If you use TCN's product for that specific restricted purpose, you the TCN customer agree to take full responsibility. In the U.S., Federal regulation prohibits sending messages before 8 AM or after 9 PM, but each State has its own restrictions. In Canada, each Province has its own restrictions. It is the duty of the customer to comply with all of these restrictions. Customer shall not upload to or use the software provided by TCN to store any sensitive personal information or sensitive payment information. Customer should thus pause recording activities if or when collecting payment information or other sensitive information from Customers' clients. If TCN agrees, in writing. to store, process, or hold any sensitive payment information from Customer, TCN will maintain applicable PCI DSS security requirements for that data. Any trial minutes offered expire within 30 days of account creation. I agree to the above details and agree to purchase services from TCN.
