HomeMy Public PortalAboutAddendum No. 1 to Contract No. 31-2021 - Finance- Centerstone Solutions - EAP Services *, - - ADDENDUM THIS ADD DUN, (Number 1 to Contract No. 31-2021) is made and entered into this ;i day of /''// , 2022, by and between Richmond, Indiana, a municipal corporation acting through its oard of Public Works and Safety with its office at 50 North 5th Street, Richmond, Indiana,47374 (hereinafter referred to as"City"), and Centerstone Solutions,Inc., 601 Washington, Suite 102,Columbus,Indiana,47201 (hereinafter referred to as"Contractor"). WHEREAS, City and Contractor entered into Contract No. 31-2021 on April 12, 2021, which Agreement retains Contractor to provide professional consultation advisory services for the Employee Assistance Program ("EAP") for the Human Resources Department of the City of Richmond,Indiana; and WHEREAS, The Parties have agreed that the compensation amount originally listed in said Agreement needs to be clarified and corrected in order that the compensation amount may be based upon the number of employees calculated at the $1.50 "per employee, per month" rate ("pepm") and be clarified that the same is also payable for each calendar year of the effective term of the Agreement, which corrections more accurately reflect the services provided by Contractor as described within the scope of said Agreement. NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, including the above stated recitals, City and Contractor hereby agree as follows: 1. The City and Contractor executed and entered into Contract No. 31-2021, on April 12, • 2021, which Agreement is incorporated herein by reference and which Agreement contains a blanket"not to exceed"flat amount. 2. Pursuant to Contract No. 31-2021, Section X (Miscellaneous), the Parties may alter or amend the Agreement in whole or in part at any time by filing with the Agreement a written instrument setting forth such changes signed by both Parties. The Parties agree the Compensation to be paid to Contractor as described in accordance with Section III (Compensation) of said Agreement shall*be increased by the additional amount of Two Hundred Thirty Six Dollars and Zero Cents ($236.00) :due to the clarification and correction of basing the payment upon the number of employees calculated at the $1.50 ",pepm" rate which more accurately reflects the number of employees as shown on Contractor's updated service projection quote provided by Contractor and attached hereto as Exhibit A to this Addendum, which Exhibit is incorporated herein by reference. The new total amount to be paid to Contractor is estimated not to exceed Seven Thousand Two;Hundred Thirty Six Dollars and Zero Cents ($7,236.00) and is also corrected,to `\ be payable per each calendar year for each effective year of the Agreement. 3. City and Contractor expressly agree that all other terms, conditions, and covenants contained in Contract No. 31-2021, shall be applicable to this Addendum, unless such • term, condition or covenant conflicts with this Addendum Number 1, in which case this Addendum Number 1 shall be controlling. • Addendum No. 1 to Contract No.31-2021 Page 1 of 2 1 4. Both Parties hereby agree that with the exception of the clarification and correction to the yearly compensation amount as based on the number of employees calculated at the $150.00 "pepm" rate, Contract No. 31-2021 shall remain intact and unchanged and in full force and effect. 5. Both Parties agree that any person executing this Contract in a representative capacity hereby warrants that he or she has been duly authorized by his or her principal to execute this Addendum.
