Home My Public Portal AboutAddendum No. 1 to Contract No. 120-2021 - Power Plant Services Inc - New boiler tubes ADDENDUM 4 THIS ADDENDUM, (Number 1 to Contract No. 120-2021) is made and entered into this day of M , 2022, by and between Richmond, Indiana, a municipal corporation acting through its Board of Sanitary Commissioners with its office at 50 North 5th Street, Richmond, Indiana, 47374 (hereinafter referred to as "City"), and Power Plant Services, Inc., 2500 West Jefferson Blvd.,Fort Wayne,Indiana,46802(hereinafter referred to as"Contractor"). WHEREAS, City and Contractor entered into Contract No. 120-2021 on September 29, 2021, for the Contractor to provide sole-source services of the installation of new boiler tubes for the City's Number 2 Sludge Heater for the Richmond Sanitary District; and WHEREAS, The City wishes to retain Contractor to perform emergency services to install new boiler tubes in the City's Number 1 Sludge Heater which is leaking and must be repaired on an emergency basis. WHEREAS, The parties have agreed on the terms of the repair services and wish to set forth their Agreement as an addendum to the above-described Agreement in order that said services are ultimately completed as set forth within the terms of Contract No. 120-2021. NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, including the above stated recitals, City and Contractor hereby agree as follows: 1. The City and Contractor executed and entered into Contract No. 120-2021, on September 29, 2021. Pursuant to Contract No. .120-2021, Section XI (Miscellaneous), the Agreement may be altered or amended in whole or in part at any time by filing with the Agreement a written instrument setting forth such changes and signed by both parties. 2. Contractor has submitted its quote for an additional amount not to exceed Thirty Thousand Dollars and Zero Cents ($30,000.00) which is quoted on a time and material basis due to unknown factors which may impact the performance of the emergency installation services, and upon satisfactory completion of the emergency services Contractor shall be paid in an amount not to exceed the same to perform the above- described services for the emergency installation. Contractor's quote is attached hereto as Exhibit A and Contractor agrees to abide by the same. The remainder of the terms set forth in the Agreement shall remain unaltered and shall continue to apply. The Agreement shall continue to be performed in a manner consistent with Contract No. 120-2021,which is hereby incorporated by reference and made a part hereof. 3. City and Contractor expressly agree that all other terms, conditions, and covenants contained in Contract No. 120-2021, shall be applicable to the work performed pursuant to this Addendum, unless such term, condition or covenant conflicts with this Addendum Number 1, in which case this Addendum Number 1 shall be controlling. Both parties hereby agree that with the exception of the increase to the scope of work to allow the Contractor to perform the emergency installation services as described above and herein and to allow for the corresponding increase to the compensation amount as described above and herein, Contract No. 120-2021 shall remain intact and unchanged and in full force and effect. 5. Both parties agree that any person executing this Contract in a representative capacity hereby warrants that he or she has been duly authorized by his or her principal to execute this Addendum.
