MOAB ("CITY") AND THE GRAND COUNTY PUBLIC LIBRARY ("LIBRARY") WHEREAS, the hiterlocal Agreement as to the Joint Funding of a Geothermal System by and between the City of Moab and the Grand County Public Library has been presented to this meetmg of the Moab City Council, and is attached to this resolution NOW, THEREFORE, we, the Governing Body of the City of Moab do hereby approve the attached agreerent in substantially the form presented to this meeting of the Moab City Council, and authonze the appropnate officials to sign and execute said agreement This resolution shall take effect ("CITY") AND THE GRAND COUNTY PUBLIC LIBRARY ("LIBRARY") RECITALS WHEREAS, the Interlocal Cooperation Act (Sections 11-13-1 et seq Utah Code Annotated) allows local governmental agencies to enter into agreements that benefit the constituencies of the agencies entering mto said agreements, and WHEREAS, the City will renovate the city -owned building located at 217 East Center Street into a new municipal building, and WHEREAS, the Library will construct a new library on the library -owned property adjacent to said city -owned buildmg, and WHEREAS, the City and the Library intend to construct buildings with energy efficient features, and WHEREAS, the City and Library have analyzed the options for providing heating and cooling systems for the new Library buildmg and the new municipal buildmg and have determined that a shared hybnd ground loop geothermal system with fluid cooler would be a cost effective and efficient method of providing heatmg and cooling to the new city municipal building and the new Library, and the City's adjacent gym building, and WHEREAS, the total cost for installing the shared components of said system is not yet known but is estimated to be approximately $260,000, and WHEREAS, an appropriate methodology to allocate costs for the shared portion of the heatmg and cooling system is on the basis of the square footage of the buildings to be served by the heating and cooling system WHEREAS, the Library will comprise approximately 25% of the total square footage of the buildings to be served by the shared system, and WHEREAS, the Library had anticipated contributing $65,000 to the City to pay for the Library's portion of the shared system AGREEMENT 1 Financial Responsibilities The parties hereto agree to jointly fund the installation of a hybrid ground loop geothermal system with fluid cooler that will serve the newly renovated municipal building located at 217 East Center Street, the newly constructed Library building to be located on East Center Street east of the municipal building, and the Center Street Gym located to the west of the municipal building The Library agrees to pay the City 25% of the total cost of the shared components of said system, or $75,000, whichever is less The Library agrees to pay the City within 30 days of receiving an invoice and supporting documentation from the City The total cost of the shared components of the system shall be defined as the actual cost of performing the work, substantiated by the City's paid invoices for said work The parties agree that neither party shall be responsible for the cost of any components of the other party's heating and cooling system that are not shared with the other party The parties agree that should the City elect not to proceed with construction of a shared hybrid ground loop geothermal system with fluid cooler, the Library shall not pay the City the contribution provided for herein 2 Provision of Services The City agrees to coordinate the design and construction of said system, to be complete before Apnl 30, 2005 The City agrees to provide information to and involve Library building committee and professional representatives in the design and construction of said system 3 Administration of Agreement The parties agree that the City Manager and the Library Director will administer this agreement 4 Control of Property Pursuant to Section 11-13-7, Utah Code Annotated, each party to this agreement shall exercise control over its respective property that is provided in fulfilling its obligations under this agreement 5 Maintenance Agreement The parties agree that a separate agreement providing for the maintenance of said system shall be executed prior to the issuance of a Certificate of Occupancy for the Library building 6 Effective and Duration of Agreement This agreement shall become effective immediately upon its approval by resolutions of the parties' governing bodies and by execution of the agreement by the appropriate officials This agreement shall remain in effect until the satisfaction of the obligations provided for herein, or written notification by the City to the Library that the
