A RESOLUTION AUTHORIZING THE PURCHASE OF APPROXIMATELY 10
ACRES OF THE WELCH FARM PURSUANT TO PURCHASE AGREEMENT AS
PREVIOUSLY APPROVED
WHEREAS, the Council of the City of Riverdale, Iowa, approved and authorized the Mayor to
execute a Purchase and Sale Agreement for the purchase of real estate, particularly described in
the Agreement and Plat of Survey, from members of the Welch Family, as defined in the
Agreement, for a purchase price of $171,115.00;
WHEREAS, the Mayor and the Welch Family entered into a Purchase and Sale Agreement
effective as of the 27th day of January, 2012 (the "Purchase Agreement");
WHEREAS, the terms and conditions set out in the Purchase Agreement have been substantially
performed and any remaining contingencies are expected to be fully performed at the Closing;
NOW, THEREFORE BE IT RESOLVED by the Council of the City of Riverdale, Iowa, that
Riverdale is authorized to pay the purchase price of $171,115.00 at the Closing to purchase the
real estate pursuant to the Purchase Agreement, as described in the Plat of Survey.
BE IT FURTHER RESOLVED that upon final approval of the City Attorney at Closing, the
Mayor and City Clerk are authorized to perform such acts as necessary to close the transaction
described in the Purchase Agreement and complete the purchase of the real estate.
BE IT FURTHER RESOLVED that all prior actions of the Council of the City of Riverdale,
Iowa, the Mayor ProTem or the Mayor and the City Clerk in connection with the Purchase
Agreement, including, but not limited to, the approval and execution of agreements required by
and contained within the Purchase Agreement, are hereby approved and ratified.
