ANDERSON, AS TAX COLLECTOR FOR OKALOOSA COUNTY, FLORIDA, a Political Subdivision of the State of Florida ("GRANTOR"), and CITY OF CRESTVIEW, FLORIDA, a municipal corporation ("GRANTEE"). WITNESSETH: WHEREAS, GRANTOR is the owner of certain real property located in Okaloosa County, Florida, as described in Exhibit "A" attached hereto and made a part hereof; and WHEREAS, GRANTOR and GRANTEE desire to establish certain rights and servitudes over the area depicted on the attached Exhibit "B" Proposed Utility Easement (hereinafter referred to as "Utility Easement Area"); and WHEREAS, GRANTOR and GRANTEE desire to set forth herein the terms of their agreement concerning the Utility Easement Area, and access and maintenance of the same. NOW, THEREFORE, in consideration of good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged by each party, they do hereby agree as follows: The recitals set forth above are incorporated herein by reference. ARTICLE I - EASEMENT SECTION 1.1 GRANTOR hereby grants to GRANTEE a non-exclusive underground easement in the Utility Easement Area, in order to permit unobstructed access by all parties and their agents, contractors, employees, tenants, licensees and invitees, for the placement, construction, reconstruction, maintaining, and repairing underground utility service lines together with all necessary rights of access, ingress and egress thereto and therefrom and under along ONLY that property described on the attached Exhibit "B" and depicted on the attached Exhibit "C" as 20' Proposed Utility Easement. In the event GRANTEE is required to maintain, repair and/or replace said utilities, GRANTEE shall, at its expense, return the Utility Easement Area to the condition prior to said work. SECTION 1.2 Nothing herein shall create a gift or dedication of any portion of the Utility Easement Area to the general public. SECTION 1.3 Each parcel owner shall be solely responsible for the cost of repair and upkeep for utility lines that are solely used for their purpose. If either party desires to modify an existing utility, said modification shall be done at the expense of the party causing such a modification. Said expense includes upgrades, updates, engineering, pennitting, and any other cost associated with the modification. ARTICLE II - MISCELLANEOUS PROVISIONS SECTION 2.1 No part of this Agreement may be terminated or modified without the prior consent of each Parcel owner. SECTION 2.2 This Agreement shall not create an association, partnership, joint venture or a principal and agency relationship between the owners of the Parcels or their tenants or licensees. SECTION 2.3 No waiver of any provision hereof shall be deemed to imply or constitute a further waiver thereof of any other provision set forth herein. SECTION 2.4 Should any provision hereof be declared invalid by a legislative, administrative or judicial body of competent jurisdiction, the other provisions hereof shall remain in full force and effect and shall be unaffected by same. SECTION 2.5 Wherever consent is required by either party to this Agreement, it shall not be unreasonably withheld or delayed. SECTION 2.6 All notices and approvals required or permitted under this Agreement shall be served by certified mail, return receipt requested, to a party at the last known address of its principal place of business. Date of service of notice or approval shall be the date on which such notice or approval is delivered to a recognized overnight courier or deposited in a Post Office of the United States Postal Service or any successor governmental agency. Should a Parcel be subdivided by separate ownership, the party who owns the largest portion thereof is irrevocably appointed attorney -in -fact for all parties who may own an interest in the Parcel to receive all notices and to render all approvals hereunder, which receipt of notices and delivery of approvals shall be binding on all such parties. SECTION 2.7 All of the provisions hereof shall run with the land in perpetuity. SECTION 2.8 This Agreement contains the entire agreement between the parties and there are no other terms, expressed or implied, except as contained herein. Any statement, representation or promise made by either party or any agent or employee thereof which is not contained herein shall be null and void. SECTION 2.9 In the event of litigation by reason of this Agreement, the prevailing party in such litigation shall be entitled to recover reasonable attorney's fees in addition to all other expenses incurred by such litigation. 2 STATE OF FLORIDA COUNTY OF OKALOOSA IN WITNESS WHEREOF, the parties have executed this Agreement in counterparts, each of which constitutes an original agreement.
