(the "Vendor"): WHEREAS, Vendor provided to the City quote Q-479467-45044.845GM (the "Quote"), which is incorporated into this Addendum; and WHEREAS, the Quote contains provisions denominated as "Axon's Sales Terms and Conditions"; and WHEREAS, the Quote further specifies that the Quote is limited to and conditional upon the City's acceptance of the provisions of the Quote and the Vendor's "Master Services and Purchasing Agreement" (the "MSPA"); and WHEREAS, the City desires to amend certain terms of the Quote and MSPA which are potentially in conflict with Florida law and contrary to the City's purchasing policies and strategies; and WHEREAS, this Addendum is intended to and does modify the Quote and MSPA and this Addendum shall supersede and replace any contrary or conflicting terms of the Quote or MSPA. NOW, THEREFORE, the parties agree as follows: 1. This Addendum shall supersede and replace any contrary or conflicting terms of the Quote or MSPA. 2. Regardless of any provision in the Quote or MSPA, Vendor agrees that it shall comply with the requirements of Florida's public records law as set forth in Exhibit A. Vendor may not delete or destroy any public records contrary to law. 3. Paragraph 3 of the MSPA is deleted in its entirety and replaced as follows: Payment. Payment from Agency is due net 30 days from the invoice date. Payment obligations are non -cancelable except in accordance with this Agreement. 4. Paragraph 16.2 of the MSPA is deleted in its entirety and replaced as follows: By Agency. If sufficient funds are not appropriated to pay the fees, Agency may terminate this Agreement. Agency will deliver notice of termination under this section as soon as reasonably practicable. 5. This Agreement, including the Controlling Addendum to Contract, Appendices and any SOW(s), represents the entire agreement between the Parties. This Agreement supersedes all prior agreements or understandings, whether written or verbal, regarding the subject matter of this Agreement. This Agreement may only be modified or amended in a writing signed by the Parties. In the event of any conflict, the terms of the Controlling Addendum to Contract shall supersede and replace any contrary or conflicting terms within any other contract document. In accordance with Section 119.0701, Florida Statutes, Contractor shall: a. Keep and maintain public records required by the public agency in order to perform the service. b. Upon request from the public agency's custodian of public records, provide the public agency with a copy of the requested records or allow the records to be inspected or copied within a reasonable time at a cost that does not exceed the cost provided under Florida's Public Records Law or as otherwise provided by law. c. If Contractor transfers all public records to the public agency upon completion of the contract, Contractor shall destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements. If Contractor keeps and maintains public records upon completion of this contract, the Contractor shall meet all applicable requirements for retaining public records. All records stored electronically must be provided to the public agency, upon request from public agency's custodian of public records, in a format that is compatible with the information technology systems of the public agency. e.
