This Second Amendment to Continuing Services Contract and Renewal is between the
City of Crestview, Florida (the "City") and Seaside Engineering and Surveying, LLC (SEAS)
("Consultant"), for the purpose of aligning the terms of such documents to existing law and
renewing the term of the existing contract between the parties.
WHEREAS, on or about May 3, 2021, the City and Consultant entered into a
Professional Services Continuing Services Contract (the "CSC"); and
WHEREAS, on or about May 1, 2022, the City and Consultant entered into a Continuing
Services Contract (the "First Renewal") which was an extension or renewal of the CSC; and
WHEREAS, on or about November 13, 2023 the City and Consultant entered into a
subsequent renewal of the CSC (the "Second Renewal"); and
WHEREAS, the parties desire to amend the CSC, First Renewal and Second Renewal to
align the terms thereof with current law, to the extent not already modified accordingly, and to
extend the term of the CSC for an additional one-year term.
NOW, THEREFORE, the parties agree as follows:
1. Section 20 of the CSC between the parties is deleted in its entirety.
2. Section 8 of the Renewal between the parties is deleted in its entirety.
3. In place of the deleted Section 20 and Section 8, the foregoing replacement
section shall be inserted if not already inserted by prior amendment:
Indemnification: Consultant shall indemnify and hold the Ciit. its officers and
emnlovees. harmless from and avainst any lossesdamagescosts. and liabilities.
including attornev's fees (including regulaton . and aimellate tees). to the extent
caused by the negligence. recklessness. or intentional wront!hil conduct of
Consultant. its a€ eats. servants. or emnlovees in the r.ierformance o1 services
under this Aereement.
4. The CSC and Renewal term is extended to November 13, 2024.
5. All other terms of the CSC and Renewal remain in effect.
