Suniva Product Warranty Effective Date September 27, 2011 Suniva is committed to offering the highest quality Products available in the marketplace for solar modules. As part of this commitment, Suniva offers its customers a Limited Warranty that the Products will maintain their functional capability—their ability to produce electricity and perform reliably as detailed in Paragraph A below. Suniva backs Product reliability by granting the ultimate end user of the unaltered Products a Ten Year Limited Product Warranty and Twenty-Five Year Limited Service Warranty as detailed below: A. Ten Year Limited Product Warranty: 1. Suniva warrants that for ten years beyond the purchase of the Products (the "Product Warranty Term"), the Products will: • experience no mechanical adverse effects limiting solar module stability so long as the Product is correctly installed and used in accordance with the official Suniva maintenance and installation instructions • • contain cable and connector plugs that remain safe and operational so long as the Product is professionally installed and not permanently positioned in water. This warranty does not cover damage to the cable caused by (a) abrasion on a rough lower surface caused by insufficient fixing or running of the cable unprotected over sharp edges, or(b) animals or insects. The above Product warranty does not cover scratches, stains, mechanical wear, rust, mold, optical deterioration, discoloration and other cosmetic changes occurring after delivery to the extent such cosmetic changes do not result in deterioration in the Product's functional capability. Glass breakage is covered by the above warranty only so long as such damage was not caused by any cause external to the Product itself. 2. If the Products fail to conform to the above warranty during the Product Warranty Term and this has an effect on the functional capability of the Product, Suniva or its Supplier will remedy the failure by choosing one of the following options: (a) repair of the defective Product, (b) supply of replacement products, or(c) provide a financial remedy to the end user in the form of an appropriate residual value of the Products. B.Twenty-Five Year Limited Service Warranty: 1. The effective power output of the Products will remain within a certain tolerance range of 3% within year one. The actual effective power output for each Product is identified by the factory power measurement at STC indicated in the Product invoice. End users can expect that the actual effective power output for the Products will decline by a small percentage annually over 25 years of usage (the "Service Warranty Term"). 2. Suniva represents and warrants that the Products effective power output (a) will remain at or above 97% during the first year of operation, and (b) starting with the second year of Product operation will decline annually by no more than 0.7% through the end of the Service Warranty Term so that by the end of the Service Warranty Term the Product will achieve an effective power output of at least 80.2%. In the event the Product's effective power output fails to achieve the foregoing benchmarks, Suniva or its Supplier will remedy such failure by choosing to either (i) supply the end user with replacement products that comply with the foregoing performance benchmarks, (ii) repair the Products so that they comply with the foregoing benchmarks, or(iii) provide a financial remedy to the end user to compensate for the reduced Product performance. At Suniva's discretion, following the initial fifteen (15) years of the Service Warranty Term, Suniva may also remedy the failure of the Limited Service Warranty by choosing to grant a financial remedy under option (iii) above. 3. Suniva does not warrant that any replacement products supplied under paragraph 2 above will be new products or products that are as good as new. End user acknowledges that Suniva may satisfy the replacement remedy in paragraph 2 above by supplying used and/or repaired products as replacements so long as the replacement products comply with the performance benchmarks set forth in paragraph 2. C. Additional Warranty Conditions: 1. The Limited Service Warranty Term will not be extended even in the event of Product repair or replacement. 2. The Limited Service Warranty is subject to Suniva's confirmation of effective power output and actual power output using IEC 60904 standard test conditions. Final performance measurements shall be determined by a recognized measuring institute, a Nationally Recognized Test Lab (NRTL) such as Intertek ETL, or through Suniva's own measurements (assessment of measurement tolerances will be undertaken in accordance with EN 50380). The warranty does not include shipping costs to return Products, shipping costs for delivery of repaired or replacement products, costs of the installation or re-installation of products, or other expenses incurred by the end-customer or distributor. 3. All right, title, and ownership in and to Products that have been replaced pursuant to the above warranties revert to Suniva. 4. The warranty terms set forth in Paragraphs A and B above start on the date of original purchase of the Products. D. Assertion of Warranty Claim: You may assert a warranty claim under paragraphs A and B above only by (i) informing Suniva authorized Product distributor/dealer of the alleged defect in writing, or(ii) sending written notification of a warranty claim directly to Suniva at the address mentioned in paragraph G below if the distributor/dealer who sold you the Products is no longer in business. Any written notification of defect must include the date of purchase of the Products and be accompanied by the original sales receipt as evidence of the purchase. For a warranty claim to be valid, the written claim must be provided within six weeks of the occurrence of the defect. In the case of Product Warranty claims under paragraph A above, the occurrence of a defect is the first date upon which end user had knowledge of material and/or workmanship errors. Events beyond Suniva's reasonable control (commonly known as "Force Majeure" events), such as fire, floods, explosions, rock-falls, direct or indirect lightning strikes, or other extreme weather conditions such as hail, hurricanes, whirlwinds, or sandstorms. 2. Suniva is under no obligation to provide the remedies set forth in paragraphs A and B above if the manufacturer's labels or serial numbers on the Products have been changed, deleted, peeled off or caused to be unrecognizable. F. Exclusion of liability: The remedies set forth in this Limited Warranty are the exclusive remedies available to the end user. Lead received via email or designated Solarize Tybee phone number. All lead information should contain the prospect's name, email address, phone number, and property address. If the prospect's property address is missing, please request this information from the prospect so the prequalification process can begin. 2. The prequalification process begins by evaluating the property using satellite imagery obtained via Google Earth or other satellite imagery program like Bing Maps. 3. If the prospect's property shows adequate unshaded roof space oriented in a way that captures and maximizes available solar resource specific to that property, a preliminary system size can be approximated as well as an approximate cost for complete turnkey installation. 4. The prospect is notified via phone call or email with approximate system size and cost information. If the prospect maintains interest after reviewing preliminary design and approximate cost, a site survey of the property will be scheduled at a time convenient for the prospect. 5. All prospects should be notified within 48hrs of lead reception. Proposal/Contract Procedure 1. A OneWorld Sustainable (OWS) system design and proposal package is assembled based on information obtained during the site survey. 2. All OWS proposal packages will contain the following information: Cover Letter Itemized proposal page showing individual components and cost with payment terms Site layout showing system location in relationship to the property One-line electrical diagram w/annual kWh production and avoided emission estimates Spec sheets of major components 3. The completed proposal is sent to team members for review. 4. The finalized proposal is sent to the prospect by the appropriate team member. 5. Upon review of the proposal and if the prospect wishes to proceed, a contract and down payment invoice is created and sent to the prospect for execution. 6. When a signed contract and down payment is received at the OWS corporate office, the contract is considered fully executed and the prospect becomes a client. When payment posts to the OWS corporate checking account, the Materials Procurement Process begins. 2. The Materials Procurement Process begins when OneWorld Sustainable Chief Technology Officer (CTO) prepares a Purchase Requisition for materials and components specific to the project. Upon receipt of the signed Purchase Requisition, the Operations Assistant prepares either a Purchase Order (PO) or Request for Sales Quote (depending on the requirement of the supplier). 3. When all POs are submitted to the appropriate supplier, we should receive shipment confirmation or tracking number from the supplier when components are shipped. 4. If material is shipped to the OWS Savannah warehouse, the product needs to be received and recorded for inventory purposes (all shipments should be checked for damage prior to signing the shipping order). Client shipments should be labeled with the client's name and location. System components are placed within the warehouse based on tentative installation date to ensure correct materials are delivered to or are received on site. 5. If the shipment goes straight to the install site, the appropriate OWS team member is responsible for receiving the shipment and making sure all components are accounted for. 6. When a system delivery date is determined, a tentative install date is logged in to the OneWorld Sustainable Google Calendar. "Tentative" since the permitting process can be rather lengthy at times. Permitting Procedure 1. System design package is submitted to the team structural engineer by OWS CTO so appropriate mounting specs can be determined. Local jurisdiction for permitting is identified (county or city, etc.), and jurisdiction requirements (structural, electrical, or neither) are determined. Legal description of the property (parcel, subdivision, etc.), utility provider contact person, and, if possible, a copy of the utility provider Interconnection Agreement should also be provided to the OWS CTO. 2. When the engineered system is stamped and returned, the permitting process can commence with the local building department. Appropriate documents are submitted to the county, city, or municipality including licenses, copies of insurances, and stamped drawings or the engineered system package. All permitting processes are different and can take either a few days or up to a few weeks to complete. 3. When our design and installation method is approved by the local building department, installation can be scheduled or the tentative install date can be confirmed and approved by the client. Scheduling/Mobilization Procedure SCHEDULING 1. When an installation date is determined, details are recorded on the OWS Google Calendar. Install details should contain the following: name of the client, location, date of install, names of the installation crew, accommodation details. MOBILIZATION 1. Before crews are mobilized to the site, the Admin Assistant arranges accommodations. Each installer will receive confirmation of accommodations via email. If it becomes necessary for an installer to arrange his or her own accommodations while in the field,the Admin Assistant should be notified first with details (hotel and number of rooms required). All installers are expected to share hotel rooms with at least one other crew member. 2. If it becomes necessary to rent a van or other vehicle to transport system components, other alternatives for transport should be considered. OneWorld Sustainable has a national account with FedEx. We may be able to ship components via FedEx cheaper than transporting ourselves. 3. All crew members are expected to car pool whenever possible. 4. Arrival to the site should be no later than 2pm. If arrival time is expected to be later, the install crew should mobilize to the install location the night prior to install. System Installation Procedure System installation shall always be performed in a professional, workmanlike manner with attention paid to quality of installation, worker safety, and respect for the client's property. Detailed installation guidelines are available to all OneWorld Sustainable employees. This information should be kept in each employee vehicle for quick accessibility and reference. At minimum, one copy should be on every jobsite. The installation crew should arrive to the jobsite no earlier than 8am for residential installs; 7am for commercial installs. System components should be inspected to make sure none are damaged and all pieces are accounted for. If pieces are missing or damaged, the crew leader will immediately notify Keith or Tim of the situation. The module installation crew is responsible for: 1. Making sure all modules are accounted for, undamaged, and the voltage of each is tested prior to installation. 2. Interconnecting all modules and wiring to the appropriate termination point (typically, the combiner box). 3. Following best installation guidelines for attaching to the roof, pole, or ground mount. System Installation Procedure (cont.) 4. Mounting DAS weatherization components to the PV system, if necessary. 5. Making sure ALL recyclable material is separated from trash and recycled. 6. Keeping the jobsite clean and uncluttered at all times. The electrical subcontractor is typically responsible for: 1. Pulling the electrical permit if required of him to do so. 2. Mounting the inverter, AC and DC disconnects, and other BOS electrical components. 3. Commissioning the system with a OneWorid Sustainable representative present. Jobsite Safety During installation, the Field Supervisor is responsible for the safety of all crew members if the Safety Manager is not present. All crew members are expected to be familiar with and follow all recommended safety guidelines. Any crew member found guilty of not following safety guidelines will be subject to immediate suspension or termination. The OneWorld Sustainable Health and Safety Manual is available to all OWS employees. A copy should be kept in each employee vehicle for quick accessibility and reference. At minimum, one copy should be available on every jobsite. Project Commissioning and Wrap Up Upon completion, the jobsite should be thoroughly cleaned of all materials packaging and debris. If the home or business owner is present, they should be notified of completion and invited to tour the site. The site supervisor will inform OWS corporate of completion so an inspection can be scheduled. OWS CTO should be present for all inspections. A final invoice will be prepared and emailed to the client. When the final payment is received by corporate, the client will be email a receipt of payment. When the final payment posts to the OWS corporate checking account,the project will then be considered completed.
