ADDENDUM
THIS ADDEND (Number 1 to Contract No. 73-2022) is made and entered into this
day of , , 2022, by and between Richmond, Indiana, a municipal
corporation acting ough its Board of Public Works and Safety with its office at 50 North 5th Street,
Richmond, Indiana, 47374 (hereinafter referred to as "City"), and D5 Technology Solutions,20 High
Street,Hamilton, Ohio,45011 (hereinafter referred to as "Contractor").
WHEREAS, City and Contractor entered into Contract No. 73-2022 on May 4, 2022, which
Agreement retains Contractor to provide services in connection with consulting and
professional services which included, but had not been limited to, information
technology support of the City's network infrastructure, security of the City's
network infrastructure, and day-to-day support of the information technology needs
and goals (hereinafter the "Project) for the Mayor's office, the Human Resources
Department, the Information Technology (IT) Department, and the City
administration, as overseen by the Mayor's office.
WHEREAS, The Parties have agreed the above-described Agreement shall include an extension of
the currently contracted block of hours in order that Contractor can assist the City
with the transition of the City's new IT Director at the rates payable to Contractor as
set forth in said Agreement and in accordance with the scope of said Agreement.
NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained,
including the above stated recitals, City and Contractor hereby agree as follows:
1. The City and Contractor executed and entered into Contract No. 73-2022, on May 4,
2022, which Agreement is incorporated herein by reference. Pursuant to Contract
No. 73-2022, Section XI (Miscellaneous), the Parties may alter or amend the
Agreement in whole or in part at any time by filing with the Agreement a written
instrument setting forth such changes signed by both Parties. The Parties agree that
an additional block of hours, not to exceed a total of fifty (50) additional hours shall
be added to said Agreement at the rate of One Hundred Dollars and Zero Cents
($100.00) per hour as described on Contractor's Proposal for regular business hours
and at the rate of One Hundred Fifty Dollars and Zero Cents ($150.00) per hour as
described on Contractor's Proposal for weekend and non-business hours.
2. City and Contractor expressly agree that all other terms, conditions, and covenants
contained in Contract No. 73-2022, shall be applicable to this Addendum, unless.
such term, condition or covenant conflicts with this Addendum Number 1, in which
case this Addendum Number 1 shall be controlling.

3. Both Parties hereby agree that with the exception of the additional block of hours
capped at up to an additional fifty (50) hours and with the exception of the
corresponding compensation increase based on the rates described in said Agreement,
Contract No. 73-2022 shall remain intact and unchanged and in full force and effect.
4. Both Parties agree that any person executing this Contract in a representative capacity
hereby warrants that he or she has been duly authorized by his or her principal to
execute this Addendum.
