ADDENDUM NO. 1 •
THIS ADDENDUM, (Adde dum Number 1 to Contract No. 138-2022) is made and
entered into this 69 day of/1(//r , 2022, by and between Richmond, Indiana, a
municipal corporation acting through its Board of Public Works and Safety with its office at 50
North 5th Street, Richmond, Indiana, (hereinafter referred to as "City"), and TouchPhrase
Development, LLC, d/b/a/ Julota, 102 S. Tejon Street, Ste. 1100, Colorado Springs, Colorado,
80903 (hereinafter referred to as"Contractor").
WHEREAS, City and Contractor entered into Contract No. 138-2022 on or about
September 7,2022; and
WHEREAS, Contractor has issued an address correction or update which was also
submitted to the City's Purchasing Office; and
WHEREAS, Parties wish to update the Agreement to include Contractor's current
business address.
NOW, THEREFORE, in consideration of the mutual promises and covenants herein
contained,including the above stated recitals, City and Contractor hereby agree as follows:
1. The City and Contractor executed and entered into Contract No. 138-2022 on or
about June 7, 2022.
2. Both Parties agree that Contract No. 138-2022 shall remain in full force and
effect.
3. Both Parties agree that Parties shall continue to fulfill the obligations and duties
listed within Contract No. 138-2022.
4. Both parties acknowledge that Contractor has submitted a New Vendor
Information form to the City Purchasing Department.
5. Both parties agree that with the exception of the address change which is listed in
the above Preamble,Contract No. 138-2022 shall remain intact and unchanged.

6. Both parties agree that any person executing this Contract in a representative
capacity hereby warrants that he or she has been duly authorized by his or her
principal to execute this Contract.
IN WITNESS WHEREOF, this Addendum No. 1 to Contract No. 138-2022 is ecuted
and approved by the undersigned representatives of the City and Contractor this / day of
