THIS ADDENDUM is adopted this -90 Ilk-day of IV D v , 2022,
by and between the City of Richmond, Indiana, a municipal corporation acting by and
through its Board of Sanitary Commissioners (referred to as the "City"), and Gripp,
Incorporated, 17322 Westfield Park Road, Westfield, Indiana 46074 (hereinafter referred
to as the "Contractor").
WHEREAS, on or about January 1, 2022, the City and Contractor entered into an
Agreement for services to be rendered by Contractor to City for good and valuable
consideration with said Agreement bearing Contract No. 44-2022.
WHEREAS, City is in need of additional services from Contractor consistent with
that which is set forth in the exhibits attached to Contract 44-2022; and as a result, this
Addendum is necessary to provide for such services and the increased consideration
therefore.
NOW, THEREFORE, for valuable consideration and passage by majority vote of
City, the parties hereto now amend Contract No. 44-2022, to wit:
1. The City and Contractor executed and entered into Contract No. 44-2022 on
January 1, 2022, which, pursuant to Section XI, the same may be altered or
amended in whole or in part at any time by filing with the Agreement a written
instrument setting forth such changes and signed by both parties.
2. Section I. Statement and Subject of Work
The parties agree that Contract No. 44-2022 should be amended for additional
services from Contractor consistent with that which is set forth in the exhibits
attached to the same.
3. Section III. Compensation
City shall pay a total annual sum not to exceed Ninety-Nine Thousand Nine
Hundred Thirty-Eight Dollars and 00/100 ($99,938.00) for serviced described
within Contract 44-2022 and the exhibits attached thereto.
4. The parties agree that the remainder of the terms and provisions of the underlying
contract shall remain in full force and effect unless specifically modified herein.
5. The parties acknowledge and agree that any person executing this Addendum in a
representative capacity for Contractor hereby represents and warrants that he or
she has been duly authorized, in writing,by Contractor to execute this Addendum
on behalf of Contractor and his or her signature is binding upon Contractor and its
assigns, and that such authorization has not been rescinded or revoked.
IN WITNESS WHEREOF, the parties have executed this Amendment at Richmond,
Indiana, as of the day and year first written above, although signatures may be affixed on
different dates.
