HomeMy Public PortalAboutResolution No. 23-016 - Conveyance of the Water Distribution System at the Ironwood Commerce CenterSponsored by: Interim City Manager RESOLUTION NO. 23-016 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF OPA-LOCKA, FLORIDA, AUTHORIZING THE INTERIM CITY MANAGER TO ACCEPT THE CONVEYANCE OF THE WATER DISTRIBUTION SYSTEM AT THE IRONWOOD COMMERCE CENTER AT 12700 NW 42ND AVENUE, OPA-LOCKA, FROM THE DEVELOPER, GPT NW 42ND AVENUE, LLC. AND ENTER INTO AN AGREEMENT WITH DEVELOPER, ATTACHED HERETO AS EXHIBIT "A", FOR SAME; PROVIDING FOR INCORPORATION OF RECITALS; PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the developer, GPT NW 42ND Avenue, LLC ("Developer"), has completed the Ironwood Commerce Center (offices and warehouses) at 12700 NW 42nd Avenue, the City of Opa-Locka, Florida ("City"), and now desires to enter into an agreement with City to convey the constructed water distribution system, excluding the service lines from the water mains to the individual buildings to the City; and WHEREAS, the Agreement does not include wastewater facilities since the City has insufficient wastewater transmission facilities and the County providing the wastewater services for this property; and WHEREAS, Developer will retain responsibility for the maintenance of this infrastructure for the next five years, after which time the City will assume that responsibility; and WHEREAS, the City desires to accept ownership and subsequent operation and maintenance of a water distribution system built as part of a recently completed development; and WHEREAS, the City Commission of the City of Opa-Locka desires to authorize the Interim City Manager to accept the conveyance of the water distribution system at the Ironwood Commerce Center at 12700 NW 42nd Avenue, Opa-Locka, from the developer, GPT NW 42ND Avenue, LLC and enter into an agreement with Developer, attached hereto as Exhibit "A", for same. NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF OPA LOCKA, FLORIDA: Section 1. RECITALS ADOPTED. The recitals to the preamble herein are incorporated by reference. Resolution No. 23-016 Section 2. AUTHORIZATION The City Commission of the City of Opa-Locka hereby authorizes the Interim City Manager to accept the conveyance of the water distribution system at the Ironwood Commerce Center at 12700 NW 42nd Avenue, Opa-Locka, from the developer, GPT NW 42ND Avenue, LLC and enter into an agreement with Developer, attached hereto as Exhibit "A." SECTION 3. SCRIVENER'S ERRORS. Sections of this Resolution may be renumbered or re -lettered and corrections of typographical errors, which do not affect the intent of this Resolution may be authorized by the Interim City Manager, following review by the City Attorney, without need of public hearing, by filing a corrected copy of same with the City Clerk. SECTION 4. EFFECTIVE DATE This Resolution shall take effect upon the adoption and is subject to the approval of the Governor or Governor's Designee. Staff recommends approval of the conveyance of this water distribution system to the City. History: It is normal in the development of major projects for the developer to build an internal water distribution system within the property and then subsequently convey it to the agency providing water DocuSign Envelope ID: 65B988FE-9D21-4BCC-BFC7-6A9485762452 services, at no cost, to allow metering at each location within the development receiving water services. This construction is part of the standard permitting process overseen by the City to ensure that it is constructed in full compliance with all City and other requirements. Current Activity: The developer, GPT NW 42 Avenue, LLC, has completed the Ironwood Commerce Center (offices and warehouses) at 12700 NW 42nd Avenue and now wishes to convey the water distribution system, excluding the service lines from the water mains to the individual buildings, to the City. This agreement doesn't include wastewater facilities since the City has insufficient wastewater transmission facilities in this area, resulting in the County providing the wastewater services for this property. Financial Impact: The developer retains responsibility for the maintenance of this infrastructure for the next five years, after which time the City will assume that responsibility. This Affidavit is given as an inducement to the City Commission of the City of Opa- locka, Florida, as the governing body of City of Opa-locka, to accept the dedication or conveyance of all of the potable water, mains, pumps, connection, pipes, valves, meters and equipment installed within granted easements and rights -of -way thereof located within or upon the real property described in the attached Exhibit "A", which is incorporated herein by reference, said land being located in Miami -Dade County, Florida. 4. The Affiant has examined the Commitment for Title Insurance issued by Chicago Title Insurance Company, covering the period from the beginning through the 16th day of November, 2020, at the hour of 11:00 p.m., together with a Property Information Report issued by Chicago Title Insurance Company, covering the period from the 16th day of November, 2020, at the hour of 11:00 p.m. through the 7th day of July, 2022, at the hour of 11:00 p.m. and a Property Information Report issued by Chicago Title Insurance Company, covering the period from the 7th day of July, 2022, at the hour of 11:00 p.m. through the 23th day of August, 2022, at the hour of 11:00 p.m., and a Property Information Report issued by Chicago Title Insurance Company, covering the period from the 23rd day of August, 2022, at the hour of 11:00 p.m. through the 28th day of September, 2022, at the hour of 11:00 p.m. (collectively referred to as, the "Title Evidence"), in each case with respect to the real 1 property described in the attached Exhibit "A". 5. Based solely on my review of the Title Evidence, the record owner of the underlying real property described herein is GPT NW 42ND AVENUE OWNER LLC, a Delaware limited liability company (hereinafter "Owner"). Based solely on my review of the Title Evidence, the Owner acquired record title to the subject real property by instrument recorded at Official Records Book 30625, Page 3815, rerecorded at Official Records Book 30652, Page 728, Public Records, Miami -Dade County, Florida. Pursuant to a Secretary's Certificate from the Company's Assistant Secretary, dated August 19, 2022 (the "Secretary's Certificate"), attached hereto as Exhibit "B", Britton Winterer is authorized to sign on behalf of Owner as an authorized signatory. Based solely on the good standing certificate from the Secretary of State of Delaware attached hereto as Exhibit "C" and the Secretary's Certificate, Owner is a limited liability company organized under Delaware law, and its limited liability company status is active. Based solely on the certificate of authority from the Secretary of State of Florida attached hereto as Exhibit "D", Owner is qualified to transact business as a foreign limited liability company in the State of Florida. Exhibit "B", Exhibit "C" and Exhibit "D" are collectively, the "Corporate Documents". 6. Based on the Title Evidence and the Corporate Documents and subject to obtaining the release or subordination detailed in the last sentence of this Section 6, the Affiant attests that the record owner(s) together with the joinder of the Lenders (as defined below), have the ability and right to convey, to the City of Opa-locka and its successors and assigns by good and sufficient utility easement, all pumping facilities or other utility facilities thereof located within or upon the real property described in the attached Exhibit "A". Said easement shall grant the City of Opa-locka a perpetual right, easement and privilege to operate, maintain, repair and replace potable water, and wastewater sewer service mains, connections, pumps and meters within granted easements. Owner shall also secure from each mortgagee and lienor a release or subordination of mortgagee's and lienor's interest in the deed or easement and fixtures thereon. 7. Based on the Title Evidence and the Corporate Documents and subject to obtaining the release or subordination detailed in the last sentence of Section 6 of this Affidavit, the Affiant attests that the record owner(s) has the ability and right to transfer in fee simple to the City of Opa- locka by Bill of Sale, all Owner's right, title and interest in and to all of the potable water, and wastewater sewer service facilities, mains, pumps, connection, pipes, valves, meters and equipment installed within granted easements and rights -of -way thereof located within or upon the real property described in the attached Exhibit "A", for the purpose of supplying potable water, and 2 wastewater sewer service within the real property described in the attached Exhibit "A". The Bill of Sale shall include the contractor's certifications stating the cost of the installations due under this Agreement. 8. Based solely on the Title Evidence, title to the utility system(s) or portion(s) thereof and/or easement(s) being conveyed to the City is encumbered by the following instruments of record: a. Mortgage, Assignment of Leases and Rents, Security Agreement and Fixture Filing by GPT NW 42nd Avenue Owner LLC in favor of CITIBANK, N.A., Bank of America, N.A., and Barclays Bank PLC, dated October 10, 2018, and recorded on October 19, 2018 in Official Records Book 31189, Page 641 of the Public Records of Miami -Dade County, Florida, as assigned by that certain Assignment of Mortgage, executed by CITIBANK, N.A., as assignee, in favor of MORGAN STANLEY BANK, N.A., BANK OF AMERICA, N.A., BARCLAYS CAPITAL REAL ESTATE INC., DEUTSCSHE BANK AG, NEW YORK BRANCH, GOLDMAN SACHS BANK USA, and NATIXIS REAL ESTATE CAPITAL LLC (collectively, "Lenders"), as assignee, dated March 30, 2022, and recorded on April 23, 2022 in Official Records Book 33151, Page 1662 of the Public Records of Miami -Dade County, Florida, as amended and restated by that certain Amended and Restated Mortgage, Assignment of Leases and Rents, Security Agreement and Fixture Filing, by GPT NW 42nd Avenue Owner LLC in favor of Lenders dated March 30, 2022, and recorded on April 23, 2022 in Official Records Book 33151, Page 1666 of the Public Records of Miami -Dade County, Florida. b. Defects, liens, encumbrances, adverse claims or other matters, if any, created, first appearing in the public records or attaching subsequent to the effective date hereof but prior to the date the proposed insured acquires for value of record the estate or interest or mortgage thereon covered by this form. c. Taxes and assessments for the year 2021 and subsequent years, which are not yet due and payable. d. Standard Exceptions: 1. Any encroachment, encumbrance, violation, variation, or adverse circumstance affecting the Title that would be disclosed by an accurate and complete land survey of the Land. 2. Rights or claims of parties in possession not shown by the public records. 3. Any lien, or right to a lien, for services, labor, or materials heretofore or hereafter furnished, imposed by law and not shown by the public records. 4. Taxes or assessments which are not shown as existing liens in the public records. e. Any lien provided by County Ordinance or by Chapter 159, Florida Statutes, in favor of any city, town, village or port authority for unpaid service charges for service by any 3 water, sewer or gas system supplying the insured land. f. Reservations in favor of the State of Florida, as set forth in the Deed No. 16,571 from the Trustees of the Internal Improvement Fund of the State of Florida recorded under Deed Book 176, Page 339, and partially released in Official Records Book 12165, Page 1029, Official Records Book 12165, Page 1030, Official Records Book 12288, Page 2349, and Official Records Book 14477, Page 1787, Public Records of Miami -Dade County, Florida; however, the right of entry and exploration associated with the oil and mineral reservation has been released pursuant to Sec. 270.11, F.S. g. Grantee shall bear any and all costs of maintenance, utilities, replacements, repairs, taxes, insurance, and any and all other costs and expenses involved in its operation and use of the water facilities (the "Operating Costs"). NOW, THEREFORE, in consideration of the sum of Ten Dollars ($10.00) and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows: Recitals. The above recitals are true and correct and by this reference are incorporated as if fully set forth herein. Easement. Grantor hereby grants to Grantee, for the use and benefit of Grantee, its successors and assigns and its agents and employees, a non-exclusive easement over, across, through and under the Easement Area solely for the use, installation, operation, maintenance, replacement and repair of the water facilities located on the Easement Area. Hereafter, unless specified to the contrary; use of the term "water facilities" shall include transmission mains, distribution mains, supply pipes, manholes, valves, connections, pumps, all other physical facilities and property installations that are required for water facilities. 1 Maintenance. Grantee agrees to install, maintain, repair and replace (as necessary) the water facilities, or necessary portions thereof, so that same is at all times in good working order and condition and free of material defects, subject only to occasional interruption of service due to (i) ordinary wear and tear and use thereof; (ii) routine or extraordinary maintenance, repair or replacement; or (iii) events beyond Grantee's reasonable control. Grantee shall have the right to select the contractor(s) of its choice in connection with all aspects of installation, maintenance, repair, and replacement of the water facility. Grantee shall only be obligated to restore pavement, curb -gutter, sidewalk and/or sod, to restore the surface of the Easement Area to the condition in which it existed immediately prior to the performance of such work (the cost of which shall be included in Operating Costs). Any other landscaping, encroachments, structures or other materials on the surface of the Easement Area will not be restored or maintained by the G rantee. The Grantor shall, at all times, have full and unrestricted access to the Easement Area in order to maintain, repair and replace necessary portions of the surface of the Easement Area. In the event that the water facilities are damaged by the Grantor during any such maintenance, repair or replacement, the Grantor shall make all necessary repairs to the water facilities at Grantor's sole expense. Encroachments. Grantor agrees to keep Easement Area easily accessible, with no structures to be placed within or immediately adjacent to the Easement Area impeding access to the Easement area. Grantor will immediately remove, at its own expense, any encroachment, or structure located within the Easement Area. Third Party Agreements. Grantor agrees to immediately notify Grantee of any third parties intending to use, install, or otherwise encroach on the Easement Area. Noise Controls. Grantee shall use best efforts and, at a minimum, shall comply with industry standards, with respect to controlling noise emanating from the water facilities. Payment Covenants. Grantee shall be responsible for the Operating Costs of the water facilities. Grantor shall be responsible for any costs associated with damage to the water facilities resulting from Grantor's maintenance, repair or replacement related to the surface portion of the Easement Area. Term. The term of this Easement shall be perpetual unless terminated by the parties in a writing executed by both. This Easement shall not merge with any deed to the Subject Property or any part thereof but shall survive for the Term described herein. Successors and Assigns. This Easement shall bind, and the benefit thereof shall inure to the respective successors and assigns of Grantee. Limitation. It is the intention of the parties hereto that this Easement shall be limited to and utilized solely for the purposes expressed herein. 2 Indemnification and Hold Harmless. The Grantee will assume and defend all liability of Grantor, with respect to the Grantee's activities within the Easement Area, except for liability arising in whole or in part from the negligence or willful acts of the Grantor, its officers, owners, residents, guests, employees, or any other third party permitted by the Grantor to be within the Easement Area. Nothing contained in this paragraph or elsewhere in this Grant of Easement Agreement is intended to be a waiver of limitations on the Grantee's liability to third parties as set forth in Section 768.28, Florida Statutes. Default by Grantee. In the event of a default by Grantee in the maintenance, operation or repair of the water facilities, Grantor shall give written notice to Grantee, specifying the nature of such default. Grantee shall have a period of ten (10) days following receipt of said notice in which to remedy the default (or such longer time as may be necessary and reasonable, provided Grantee shall have commenced a cure within said ten (10) day period and is diligently and continuously prosecuting same); failing which Grantor shall have the right to access the water facilities, for the limited purpose of effecting the required repair or maintenance. Notwithstanding the foregoing, if the default is of such a nature that an emergency situation arises constituting an unsafe or unsanitary condition, the period for cure of such default shall be accelerated to be a period of time determined by Grantor in its sole discretion, but which is reasonable in light of the nature of the emergency. All costs incident to curing a default by Grantee under this subsection shall be the sole responsibility and obligation of and, accordingly, shall be borne by, the Grantee. Default by Grantor. In the event of a default by Grantor in the repair of the water facilities resulting from damage caused by Grantor to the water facilities pursuant to Grantors activities provided for herein, Grantee shall give written notice to Grantor, specifying the nature of such default. Grantor shall have a period of ten (10) days following receipt of said notice in which to remedy the default (or such longer time as may be necessary and reasonable, provided Grantor shall have commenced a cure within said ten (10) day period and is diligently and continuously prosecuting same); failing which Grantee shall have the right to effect the required repair of the water facilities. All costs incident to repair of the water facilities shall be borne by the Grantor. Enforcement. In the event it becomes necessary for any party to defend or institute legal proceedings as a result of the material failure of either party to comply with the terms, covenants and conditions of this Easement, the prevailing party in such litigation shall recover from the other party all costs and expenses incurred or expended in connection therewith, including, without limitation, reasonable attorneys' fees and costs, at all levels. Venue; Jurisdiction. This Easement shall be governed and construed in all respects in accordance with the laws of the State of Florida, without regard to its conflict of laws provisions. Further, all parties hereto agree to avail themselves of and submit to the personal jurisdiction of the Courts of the State of Florida in Miami -Dade County. 3 Interpretation. No provision of this Easement will be interpreted in favor of, or against, any of the parties hereto by reason of the extent to which any such party or its counsel participated in the drafting thereof or by reason of the extent to which any such provision is inconsistent with any prior draft hereof or thereof. Counterparts. This Easement may be executed in any number of counterparts, each of which shall be deemed an original and all of which, taken together, shall constitute a single document. Notices. All notices, demands, requests or other communications required or permitted to be given hereunder shall be deemed delivered and received upon actual receipt or refusal to receive same, and shall be made by United States certified or registered mail, return receipt requested or by hand delivery. Based on our field observations and as -built review associated with the above mentioned project, the water system was installed in substantial conformance with Country Ordinances and Regulations and are located within the proper easements. Langan observed the installation of the water main throughout the construction of the system, and was present for the flushing and pressure test of the entire system.
