day of J9'-C6Mer, 20 ,2 2-,,by and between Richmond, Indiana, a municipal corporation acting
through its Board of Public Works and Safety with its office at 50 North 5th Street, Richmond, Indiana,
(hereinafter referred to as "City"), and Bio-Care, Inc., 1778 Holloway Drive, Suite A, Holt, Michigan,
48842(hereinafter referred to as "Contractor").
WHEREAS, City and Contractor entered into Contract No.9-2021 on January 28,2021; and
WHEREAS, City wishes to continue to retain Contractor to continue to provide services of physical
examinations to the City of Richmond Firefighters, including, but not limited to, general
physical examinations, blood draws, pulmonary function tests, vision and hearing tests,
and other standard medical testing, for the City of Richmond Fire Department, as set
forth within the scope of Contract No.9-2021.
NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, including
the above stated recitals, City and Contractor hereby agree as follows:
1. The City and Contractor executed and entered into Contract No. 9-2021, on January 28,
2021, which Contract is incorporated herein by reference. The City and Contractor
executed and entered into Addendum No. 1 to said Agreement on January 19, 2022,
which prior Addendum is also incorporated herein by reference and which prior
Addendum contained the agreed-upon pricing increase rates and annual amount increase
along with the option to renew said Agreement through the 2022 calendar year. Pursuant
to Contract No.9-2021, Section IV Term of Agreement, the City has an option to renew
the Agreement for the 2023 calendar year, which option is exercised pursuant to this
Addendum. Pursuant to Contract No. 9-2021, Section XI (Miscellaneous), the Parties
may alter or amend the Agreement in whole or in part at any time by filing with the
Agreement a written instrument setting forth such changes signed by both Parties.
2. Contractor shall continue to provide services of physical examinations to the City of
Richmond Firefighters, including, but not limited to, general physical examinations,
blood draws, pulmonary function tests, vision and hearing tests, and other standard
medical testing for the City of Richmond Fire Department as identified within Contract
No. 9-2021 for the 2023 calendar year, provided that the blood draws and physicals are
expected to be completed by the first week of February, 2023. Such services shall be
performed in a manner consistent with Contract No. 9-2021, which is hereby
incorporated by reference and made a part hereof.
3. City and Contractor expressly agree that all other terms, conditions, and covenants
contained in Contract No. 9-2021, and Addendum No. 1 to said Agreement shall be
applicable to the work performed pursuant to this Addendum,unless such term, condition
or covenant conflicts with this Addendum Number 2, in which case this Addendum
Number 2 shall be controlling.

4. Both parties.hereby agree that with the exception of the extension of the contract date of
termination pursuant to the exercise of the option to renew the contract for the 2023
calendar year, Contract No. 9-2021 and the prior Addendum No. 1 to said Agreement
shall remain intact and unchanged and in full force and effect for the 2023 calendar year.
5. Both parties agree that any person executing this Contract in a representative capacity
hereby warrants that he or she has been duly authorized by his or her principal to execute
this Addendum.
