As indicated in Ms. Klein's correspondence, both the Town property and the WSH property are experiencing issues with the accumulation of water. WSH has agreed to construct, at its sole cost and expense, and in accordance with plans and specifications approved by the Town Engineer, on or before November 15, 2016,three (3) subsurface infiltration chamber systems on the Town property. Two of these systems will be for the benefit of the Town, and the third will be for the use of, and maintained and operated by, WSH. In exchange, the Town will grant a permanent easement to WSH for the infiltration system it will use for drainage, and to install and maintain pipes and conduits across Spring Street from the WSH property to the Town property. Kopehnan and Paige,P.0 101 Arch Street, 12'h Floor Boston,MA 02110 GRANT OFEASEMENT This GRANT OF EASEMENT ("Grant") is entered into as of the_day of . 2016 by and between the CITY KNOWN AS THE TOWN OF WATERTOWN, a municipal association ("Town"), having its usual place of business at 149 Main Street, Watertown, Massachusetts 02472, and WATERTOWN SENIOR HOUSING LLC, a Delaware limited liability company ("Grantee"), having a mailing address of 3 Edgewater Drive, Suite 101,Norwood, Massachusetts 02062. WITNESSETH: Reference is made to the following facts which constitute the background to this instrument: A. Town is the owner of five (5) contiguous parcels of land located in the Town of Watertown, Middlesex County, Massachusetts and shown as WatertownAssessor's Parcels 302 10, 302 2 0, 302 3 0, 302 4 0, and30215 0 (collectively,the "Town Parcel"). B. Grantee is the owner of a certain parcel of land containing approximately 30,088 square feet located in the Town of Watertown, Middlesex County, Massachusetts and more particularly described in that certain Quitclaim Deed dated December 3,2012 and recorded with the Middlesex South Registry of Deeds (the "Registry") in Book 60646, Page 442 (the "Grantee Parcel"). C. Both the Town Parcel and the Grantee Parcel are experiencing problems with the accumulation of stormwater. The Grantee is willing to construct, at its sole cost and expense, three (3) subsurface infiltration chamber systems, identified as Subsurface Infiltration Chamber Systems 1, 2 and 3, on the Town Parcel to address the accumulation of stormwater on both parcels provided the Town grants to the Grantee a perpetual easement, appurtenant to the Grantee Parcel, to construct and to use one of the three (3) subsurface infiltration chamber systems on the Town Parcel for the purpose of drainage of stormwater from the Grantee Parcel. D. The Town is willing to grant to the Grantee a perpetual easement, appurtenant to the Grantee Parcel, to construct and to use one of the three (3) subsurface infiltration chamber systems on the Town Parcel forthe purpose of drainage of stormwater on the Grantee Parcel provided the Grantee agrees to construct, at its sole cost and expense,the three (3) subsurface infiltration systems on the Town Parcel. NOW THEREFORE, for and in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Town and Grantee hereby agree as follows: I. Easement from the Town to Grantee. The Town hereby grants to the Grantee, appurtenant to the Grantee Parcel, subject to the terms hereof, the perpetual exclusive right and easement (the 'Basement") to construct, install, maintain, use, inspect, operate, repair, and replace Subsurface Infiltration Chamber System 2, being an underground holding area for receipt, storage and drainage of stormwater, consisting of a holding chamber or vault filled with gravel, together with pipes, lines, manholes, observation wells, together with associated fixtures and appurtenance thereto, in, under, 2 over, through, upon, and along that certain easement area (the "Chamber Easement Area") located on the Town Parcel as shown on the Easement Plan (as that term is defined hereinafter) for drainage of stormwater from the Grantee Parcel, together with a non-exclusive,perpetual right and easement to install, lay, construct,operate, maintain, use, inspect, repair, and replace underground pipes and lines,together with fixtures and appurtenances (collectively, the "Street Pipes"), in Spring Street, a public way (the "Spring Street Easement Area," together with the Chamber Easement Area, the"Easement Area"), as shown on the Easement Plan (as that term is defined hereinafter), running from the Grantee Parcel to Subsurface Infiltration Chamber System 2 in the Easement Area, together with the attendant customary uses, including, without limitation, discharging stormwater into such pipes and lines, and performing all other acts incidental thereto, and further together with the perpetual non-exclusive right and easement of pedestrian and vehicular access over, in,under, through, upon and along the Town Parcel, for the purposes of constructing, installing, operating, repairing,maintaining, inspecting, and replacing Subsurface Infiltration Chamber System 2 (collectively, the "Stormwater Drainage Right"), The Grantee has the obligation, at its sole cost and expense, to construct, install, operate, inspect, maintain, repair and replace Subsurface Infiltration Chamber System 2. Grantee shall complete the construction and installation of Subsurface Infiltration Chamber System 2 on or before November 15, 2016. The Grantee's rights hereunder expressly shall be deemed to include the perpetual right and easement to enter upon the Town Parcel for the purpose of construction, installation, maintenance, operation,inspection,repair, and replacement of Subsurface Infiltration Chamber System 2, and shall further include the perpetual right and easement to place construction-related equipment upon the Town Parcel in connection with and during 3 the period(s) of such construction, installation, operation, inspection, maintenance, repair, and replacement. The Grantee's exercise of the Stormwater Drainage Right shall not interfere with the Town's use of the Town Parcel,as set forth in Paragraph 2 below. The Grantee shall be the owner of the improvements comprising Subsurface Infiltration Chamber System 2 and the Street Pipes. The term"Easement Plan" means that certain plan entitled "Subsurface Drainage System Easement (Assesssor's Parcels 302 1 0, 302 2 0, 302 3 0, 302 4 0 and 302 15 0) Spring Street Watertown, Massachusetts," dated November 20, 2015, consisting of 2 sheets, prepared by McKenzie Engineering Group, Inc., which plan is attached hereto as Exhibit A. 2. Reserved Rights. The Stormwater Drainage Right hereby conveyed does not grant to the Grantee any rights on, across or over any portion of the Town Parcel other than the Easement Area, except for pedestrian and vehicular access over other portions of the Town Parcel,together with placing construction-related equipment thereon, during the period(s) of the construction, installation, maintenance, operation,inspection,repair, and replacement of Subsurface Infiltration C h amber System 2, The Town reserves the right to continue to use the Easement Area in a manner that does not unreasonably interfere with the Stormwater Drainage Right, including, without limitation: (a)to continue to use the Easement Area as a municipal parking lot; (b) to use part of the Easement Area for Subsurface Infiltration Chamber System 1, together with the construction, repair, replacement, improvement, maintenance, and use of said system; (c) to repair,replace,improve, maintain and use the Easement Area; and (d)to use, or to grant to others the right to use, the Easement Area for any and all purposes, provided only that such use shall not materially interfere with the exercise of the Stormwater Drainage Right. Notwithstanding the foregoing, no structures which unreasonably interfere with the Stormwater Drainage Right shall be constructed or installed in the Easement Area. 3. Subsurface Infiltration Chamber Svstem land Subsurface Infiltration Chamb er Svstem 3. The Grantee, at its sole cost and expense, on or before November 15, 2016, shall construct and install Subsurface Infiltration Chamber System 1 and Subsurface Infiltration Chamber System 3 (singly, the "Town System"; collectively, the "Town Systems"), both located on the Town Parcel as shown on the Easement Plan, for the purpose of draining and storing stormwater from the Town Parcel. The Town System shall be constructed in accordance with plans and specifications approved by the Town Engineer, The Town hereby grants to the Grantee, subject to the terms hereof, the temporary non-exclusive right and easement to construct and install the Town Systems in, under, over, through, upon, and along the Town Parcel for drainage of stormwater from the Town Parcel, together with the temporary non-exclusive right and easement of pedestrian and vehicular access over, in, under, through, upon and along the Town Parcel, for the purposes of constructing and installing the Town Systems, and further together with the temporary right and easement to place construction-related equipment upon the Town Parcel in connection with and during the period(s) of the construction and installation of the Town Systems. Upon the Grantee's completion of the construction of the Town Systems,the Town shall own, for all purposes, the Town Systems. The Town has the obligation, at its sole cost and expense, to maintain, repair, operate, and replace the Town Systems. Upon 5 such completion,the Grantee shall have no responsibility whatsoever with respect to the Town Systems, with the exception of defects arising from the construction of the Town Systems by Grantee. 4. Performance of Work. Whenever any construction, installation, maintenance or replacement work is to be performed by the Grantee (i) within the Easement Area, other portions of the Town Parcel or Spring Street pursuant to the Stormwater Drainage Right, or (ii) within other portions of the Town Parcel or Spring Street pursuant to Paragraph 3, with respect solely to the construction and installation of the Town Systems, such work (a) shall not be undertaken until the Grantee shall have procured all authorizations and all consents for any activity proposed to be performed from the Town, including approval of the Town Engineer (which consents shall not be unreasonably withheld), (b) shall be performed in a safe, diligent and workmanlike manner and in compliance with all applicable laws, ordinances, orders,rules, and regulations, and (c)shall be performed to the extent practicable in a manner that causes the minimum of interference with the use and enjoyment of the Town Parcel by the Town. 5. Restoration. To the extent that the exercise of the Grantee's rights under this Grant involves construction or other work within the Easement Area, or within other portions of the Town Parcel or within Spring Street, the Grantee shall, at its sole cost and expense, promptly restore said land or area to the condition said land or area was in immediately prior to such exercise (including any landscaping or similar improvements) to the extent consistent with the Grantee's exercise of its rights hereunder. If the Grantee, or any person claiming by, through,or under the Grantee causes any 6 damage to the Town Parcel or Spring Street, the Grantee shall promptly restore the same, at its sole cost and expense, to the condition the Town Parcel or Spring Street, as the case may be, was in prior to such damage. 6. Permissible Delay. Whenever performance is required of any party hereunder, such party shall use all due diligence to perform and take all necessary measures in good faith to perform,provided, however that if completion of performance shall be delayed at any time by reason of acts of God,war,civil commotion, riots,work stoppages arising out of collective bargaining strikes, unavailability of materials or damage to work in progress by reason of fire or other casualty or causes beyond the reasonable control of a party (other than financial reasons) (collectively, "Force Majeure"), then the time for performance as herein specified shall be appropriately extended by the time of the delay actually caused. 7. Bind and Inure. The rights created hereby shall run with the land and shall be binding upon and inure to the benefit of the parties, and their respective successors and assigns, provided, however,that the Grantee shall only be responsible hereunder for matters occurring and claims arising during its period of ownership of the Grantee Parcel. No partner,member, shareholder,trustee,beneficiary, director,officer, manager, or employee of Grantee,or any partner of Grantee,or any affiliate of Grantee, shall have any personal liability under this Grant. In addition, no party to this Grant shall have personal liability under this Grant. In the event any person obtains a judgment against Grantee in connection with this Grant, such person's sole recourse shall be to the estate and interest of Grantee in and to the Grantee Parcel. Notwithstanding anything to the contrary contained in this Grant,in the event of any breach of any term, condition, or 7 obligation hereof,the sole remedy of any party shall be an action at law for money damages or a suit in equity for specific performance or other equitable relief, but no such breach shall operate as a forfeiture, reversion,or termination of any rights granted or arising hereunder. 8. Notice, Any notice hereunder shall be given in writing to the party for whom it is intended, in person, by certified mail-return receipt requested, or by a recognized expedited overnight delivery service, at the following address, or such future address as may be designated by notice in writing: If to Grantee, addressed to: Watertown Senior Housing LLC 3 Edgewater Drive, Suite 101 Norwood,MA 02062 If to the Town, addressed to: Town of Watertown 149 Main Street Watertown, MA 02472 Attention: Town Manager 9. Estoppel. Each party shall, without charge and from time to time, deliver within twenty (20) days of written request by the other party, a certificate (addressed to the requesting party and/or its potential lenders, tenants and purchasers) with respect to the status of this Grant and each party's obligations thereunder. 10. Permitted Encumbrances. The rights granted herein are subject to all restrictions, covenants, easements and other encumbrances of record, whether now or hereafter existing, to the extent in force and applicable. 8 11. Governina Law. This Grant shall be governed by the laws of the Commonwealth of Massachusetts, as the same may now exist or as may be hereinafter enacted. If any provision of this Grant, or portions thereof, or the application thereof to any person or circumstance shall, to any extent, be invalid or unenforceable,the remainder of this Grant, or the application of such provision, or portion thereof, to any other person or circumstances shall not be affected thereby, and such provision of this Grant shall be valid and enforceable to the fullest extent permitted by law. 12. Counterparts. This Grant may be executed in several counterparts, each of which shall be deemed an original and all such counterparts shall constitute one and the same instrument. Several copies of this Grant shall be executed and each shall be deemed an original. 13. Authority. Each of the parties represent that such party has all requisite power and authority to execute and deliver this instrument and to carry out the obligations hereunder, Each of the parties further represents that this agreement has been duly executed and delivered by such party and constitutes the legal, valid and binding obligation of such party, enforceable against it in accordance with its terms.
