i9y4 THIS ADD N UM, (Number 2 to Contract No. 151-2020) is made and entered into this
7 day of 2023, by and between Richmond, Indiana, a municipal corporation
acting through its Board of Bulic Works and Safety with its office at 50 North 5th Street, Richmond,
Indiana, (hereinafter referred to as"City"), and Lexipol, LLC,2611 Internet Boulevard, Suite 100, Frisco,
Texas, 75034(hereinafter referred to as"Contractor").
WHEREAS, City and Contractor entered into Contract No. 151-2020 on November 12, 2020; and
WHEREAS, City wishes to continue to retain Contractor to continue to provide ongoing licensing and
software support services for the administrative training software for the City of
Richmond Fire Department, as set forth within the scope of Contract No. 151-2020.
NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained,including
the above stated recitals, City and Contractor hereby agree as follows:
1. The City and Contractor executed and entered into Contract No. 151-2020, on
November 12, 2020, which Contract is incorporated herein by reference. Addendum No.
1 to said Agreement was entered into on March 8, 2022. Pursuant to Contract No. 151-
2020, Section IV Term of Agreement, the City has an option to renew the Agreement for
the 2023 calendar year, which option is exercised pursuant to this Addendum. Pursuant
to Contract No. 151-2020, Section X Miscellaneous, the Agreement may be amended in
whole or in part by the Parties by filing with the Agreement a written instrument setting
forth such changes signed by both parties. Contractor shall continue to provide ongoing
licensing and software support services for the administrative training software for the
City of Richmond Fire Department as identified within Contract No. 151-2020 for the
2023 calendar year. Such services shall be performed in a manner consistent with
Contract No. 151-2020, which is hereby incorporated by reference and made a part
hereof. Parties agree that the Section III Compensation amount for the 2023 calendar
year shall be increased and the amount payable to Contractor for satisfactory performance
of the services for the 2023 calendar year shall not exceed Eleven Thousand Six
Hundred Sixty-three Dollars and Fifty-seven Cents ($11,663.57).
2. City and Contractor expressly agree that all other terms, conditions, and covenants
contained in Contract No. 151-2020, shall be applicable to the work performed pursuant
to this Addendum, unless such term, condition or covenant conflicts with this Addendum
Number 2, in which case this Addendum Number 2 shall be controlling.

3. Both parties hereby agree that with the exception of the extension of the contract date of
termination pursuant to the exercise of the option to renew the contract for the 2023
calendar year, and with the exception of the agreed-upon increased compensation
amount, Contract No. 151-2020 shall remain intact and unchanged and in full force and
effect.
4. Both parties agree that any person executing this Contract in a representative capacity
hereby warrants that he or she has been duly authorized by his or her principal to execute
this Addendum.
