AUTHORIZING A PROFESSIONAL SERVICES CONTRACT
NAJARIAN ASSOCIATES
WHEREAS, the Borough of Carteret is in need of planning/engineering consulting
services in connection with the Design/Permitting Services with regard to Block 102, Lot
5.01 and 5.02, Public Walkway; and
WHEREAS, Najarian Associates, One Industrial Way West, Eatontown, New Jersey
07724, possess the requisite skill and expertise to provide said services; and
WHEREAS, Najarian Associates has submitted a proposal to provide said engineering
services at a total cost not to exceed $50,000.00; and
WHEREAS, the Mayor and Council have reviewed said proposal; and
WHEREAS, the Chief Financial Officer has certified that funds are or will be available
for said purpose. kct: T -25-56 -817 -201
NOW, THEREFORE, BE IT RESOLVED by the Mayor and the Council of the
Borough of Carteret, County of Middlesex, State of New Jersey, as follows:
1. That the proposal from Najarian Associates for
planning/engineering consulting services with regard to the
Design/Permitting Services for Block 102, Lot 5.01 and 5.02,
Public Walkway, in a total amount of $50,000.00 billable in
accordance with Najarian's existing contract with the Borough
is hereby approved.
2. This action is approved as an award of a professional services
contract pursuant to N.J.S.A 40A:11- 5(1)(a) in accordance with
the Borough's Fair and Open Process as authorized by law.
3. A copy of this Resolution be forwarded to the Borough's
Purchasing Department, the Director of Engineering and
Najarian Associates.

Dear Mayor Reiman:
T.O. Najarian Associates, Inc. ( "Najarian Associates ") is pleased to submit this proposal for engineering
and environmental services to continue to support the Carteret Public Walkway project.
To date Najarian Associates has completed preparation of base maps, concept designs, hazardous waste
investigation, geotechnical / structural investigations, final design, and prepared permit applications for
the NJDEP and ACOE. Additionally, in 2016 Najarian Associates identified prepared and secured 6.7
million dollars for waterfront improvements on behalf of Carteret through an ONRR Grant. Throughout
this process continuous communication, coordination and meetings have occurred with the Borough of
Carteret personnel, US Metals and their consultants, Mellilo and Baur and others.
Najarian Associates proposes to continue to support this project by coordinating the ONRR Grant and to
continue to support the permit applications. But due to the complexity of this project and the continuous
communication and coordination additional funds are required.
In order to achieve these.objectives, we propose the,following sub - tasks:
1. Permit Application Support
Najarian Associates proposes to coordinate and solicit required items that have been requested from the
NJDEP. Najarian will continue to communicate with the Borough of Carteret, USMR and their
representatives and others as required toward obtaining NJDEP and ACOE approvals of the proposed
Public Walkway.
This task does not include additional application fees or other direct expenses that result from the permit
application or conditions of the permit approval.
2. ONRR Grant Administration
On December 14, 2016 the Borough of Carteret was awarded a grant from the NJDEP Office of Natural
Resource Restoration (ONRR) in the amount of $6,676,000. The award letter identifies pre- disbursement
conditions that must be met before the grant agreement can be formally executed. These conditions
include:

1. Provide formal documentation of approval for project construction from the property owners
within the proposed project location.
2. Provide an updated and current detailed construction budget prior to authorization to expend
grant funds.
3. Provide a detailed construction schedule.
4. Obtain any and all necessary permits.
5. Submit 100% design plans and specifications.
6. Provide documentation of matching funds at a minimum of 50% of projected construction costs
or land acquisition costs.
7. Provide a project timeline / schedule via a diagram (i.e. Gantt chart) that clearly illustrate when
project tasks and milestones will occur within the defined work period for this grant. Significant
project milestones must be indicated. Milestones for design can include, but are not limited to
issuing an RFP for work, awarding a contract, obtaining permits, interim design, final design and
construction specifications. By way of illustration, milestones for construction include events
such as land acquisition, starting and end work, and submitting required grant reports. This
schedule shall be updated on an as needed basis and will be used to ensure compliance with the
work period defined above.
In addition to meeting the pre- disbursement conditions listed above the grant also requires that semi-
annual interim reports be prepared. As you are aware, the grant award included funds towards both a
northern and southern project. Najarian Associates is performing the design and permitting on the
southern project while Maser Consulting is preparing the design for the northern project. To maintain
continuity and clear communication with the grant administrators, Najarian Associates will make all
submissions required by the grant.
Najarian Associates proposes to perform the proposed work on a Time and Material basis. Both of the
tasks are time sensitive and indeterminate. There are many items required to obtain the required permits
and secure and administer the grant that are beyond our control. Every effort will be made to obtain the
required permits and secure the grant funding in a cost effective fashion.
The proposed fees for the above - mentioned work are as follows:
FEES
1. Permit Application Support $25,000.00
2. ONRR Grant Administration $25,000.00
TOTAL $50,000.00
Permit application fees and reimbursable expenses are not included in the above price and will be billed
as direct -cost items.
Our billing policy is to present costs for services rendered on a monthly basis. Such bills are due and
payable within 30 days of the date of issuance. Interest at 1.5 percent per month will be added to all
invoices that remain overdue beyond this 30 -day grace period.
The above tasks will be initiated upon the signing of this proposal. We look forward to working with you
on this project. If this proposal is satisfactory to you, please sign and date both the original and the
enclosed copy. Please return the executed original to us. Our receipt of the signed proposal will constitute
approval of the proposed work.
