BOARD OF DIRECTORS OF RICHMOND POWER AND LIGHT
FEBRUARY 27, 2012
A special meeting of Richmond Power& Light Board of Directors was held Monday, February 27, 2012 at
7 p.m. Those present included: Jack Elstro, Kelly Cruse-Nicholson, Clay Miller, Don Winget, Bruce
Wissel, Larry Parker, Misty Hollis, Ron Oler and Phil Quinn.
Bruce called the meeting to order at 7:01 p.m.
Mr. Wissel explained to the public that at the last RP&L Board meeting, the board vote 8-0 to not renew a
five year contract with General Manager Steve Saum. Tonight's meeting has been called to decide if the
RP&L Board will maintain a relationship with Steve past his contract date of May 21, 2012.
Mr. Quinn made a motion to terminate the employment of Steve Saum with Richmond Power& Light
effective the end of the business day, May 21, 2012, subject to any applicable policies and procedures.
Larry Parker seconded the motion. A roll call was given with the following votes:

Kelly Cruse Nicholson-No
Clay Miller-No
Don Winget-Yes
Larry Parker-Yes
Misty Hollis-Yes
Ron Oler-Yes
Phil Quinn-Yes
Bruce Wissel-Yes
The motion passed 7 to 2.
Mr. Wissel made a statement on behalf of the Board. With this vote,the RP&L Board has voted to end
Mr. Saum's employment with Richmond Power and Light effective on May 21, 2012. The Board
appreciates Mr. Saum's years of service and wishes him the best in the future. RP&L does not otherwise
comment on employee matters.
Mr. Wissel announced that the Board is dedicated to working on the Gasification project and the future of
RP&L. He announced that members of the Employee Relations Committee will be meeting with RP&L
employees starting at 7 a.m. on Tuesday morning.
Mr.Wissel asked if there was any further business to come before the board. Hearing none, Phil Quinn
made a motion to adjourn. Clay Miller seconded the motion, and by a unanimous voice vote the motion
passed.
Meeting adjourned at 7:08 p.m.
