HomeMy Public PortalAbout01-03-2012 PROCEEDINGS OF THE BOARD OF DIRECTORS FOR RICHMOND POWER & LIGHT JANUARY 3, 2012 The Board of Directors for Richmond Power & Light Plant met in regular session at 7 p.m. January 3, 2012 in the Council Chambers in the Municipal Building in said City. Chairperson Wissel presided. ROLL CALL: Present were: Howard "Jack" Elstro, Kelley Cruse-Nicholson, Bruce Wissel, Clayton Miller, Larry Parker, Misty Hollis, Ron Oler and Phil Quinn. Also present were: Jeff Plasterer & Gary Saunders, Wayne County Council; Steve Saum, General Manager; Walt Chidester, City Attorney; and, Karen Chasteen, City Clerk. APPROVAL OF MINUTES: Mr. Parker moved to approve the minutes of the meeting held December 19, 2011, supported by Mr. Miller. Upon a vote viva voce,the motion passed. ELECTION OF OFFICERS: Mr. Parker nominated Mr._Wissel to serve as Chair, supported by Mr. Miller. Mr. Miller moved to close the nominations. Mr. Wissel was elected by acclamation. Ms. Hollis nominated Mr. Parker to serve as Vice Chair, supported by Mr. Oler. Mr. Miller moved to close the nominations. Mr. Parker was elected by acclamation. APPROVAL OF BILLS, INVESTMENTS AND TRANSFERS: Upon recommendation of the Finance Committee, Mr. Parker moved to approve the following bills for payment, supported by Ms. Hollis. Upon a vote viva voce,the motion passed. Bills Already Paid: Payroll and Deductions $ 316,161.50 Transfers from Cash Operating to: Miscellaneous Prepaid Invoices 301,887.77 Telecom. Div. Misc. Pre Paid Invoices: 56,059.29 EFT/Direct Deposit of Payroll: 178,472.05 EFT Transfers: 102,529.63 Total Bills Not Paid: 203,837.58 Grand Total: $ 802,003.72 STREET LIGHT COMMITTEE: A petition for street lights to be installed on Sutton Place was presented. Mr. Elstro accepted the petition and stated no lights are being installed at this time due to budget constraints. OLD BUSINESS: Mr. Chidester addressed the Board and stated that the November 7, 2011 minutes of the RP&L Board of Directors inadvertently did not include language that reflected that the RP&L Board had voted to rescind the award of the bid to Smarrelli General Contractors, Inc., for the remodeling of RP&L's building and offices. Mr. Chidester pointed out that the Board in fact had voted to rescind the award to Smarrelli by a vote viva voce. Eight RP&L Board members were present at the November 7, 2011 meeting. Mr. Miller moved to amend the Minutes of the regular meeting of the RP&L Board of Directors on November 7, 2011 to add, after "Mr. Parker moved to revoke the bid award to Smarelli General Contractor, Inc. for the remodeling of RP&L's building and offices, supported by Mr. Miller." Upon a vote viva voce, the motion passed. Mr. Parker supported the motion. The motion carried with a roll call vote of 6-0. Mr. Chidester, legal counsel for the RP&L Board and also the Parliamentarian, stated that Ms. Hollis and Mr. Oler, current RP&L Board members but who were not Board members on November 7, 2011,. were ineligible to vote. Neither Ms. Hollis nor Mr. Oler voted on the Motion. NEW BUSINESS: Committee assignments will be announced at the January 17 meeting. REPORT BY GENERAL MANAGER: • RE: Environmental Protection Agency— Cross State Air Pollution Regulations (CSAPR) have been stayed by a Federal Court. Clean Air Interstate Regulations (CAIR) are in effect until further notice. • There is no generation at this time. RP&L—Board of Directors Minutes January 3,2012 Page 2 • Indiana Utility Regulatory Commission (IURC) mandates have been increasingly burdensome. All but eight municipalities have opted out of IURC jurisdiction. Mike Craycraft, Esq. will be invited to meet with the RP&L Board to discuss pros and cons of remaining affiliated with the IURC. • The annual Chamber of Commerce Dinner will be January 20. Please RSVP. • The Legislative Rally in Washington, D.C. is scheduled for March. MISCELLANEOUS BUSINESS: None ADJOURNMENT: There being no further business and a motion duly made,the meeting was adjourned.
