HomeMy Public PortalAboutResolution No. 23 - 189 - Resolution terminating Roar MediaSponsored by: Commissioner Kelley RESOLUTION NO. 23-189 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF OPA- LOCKA, FLORIDA, TERMINATING THE PUBLIC RELATIONS AND MARKETING CONSULTANT SERVICES AGREEMENT WITH ROAR MEDIA, LLC. FOR CONVENIENCE; PROVIDING FOR A THIRTY DAY NOTICE OF TERMINATION; PROVIDING FOR AN EFFECTIVE DATE WHEREAS, the City of Opa-Locka ("City") issued RFP 22-0614100 ("RFP"), seeking a professional company for the provision of public relations and marketing consultant services for the City; and WHEREAS, at the City Commission meeting of November 14, 2022, the City Commission selected Roar Media, LLC to perform public relations and marketing consultant services, consistent with the scope of services set forth in the RFP for an amount not to exceed One Hundred Forty -Four Thousand Dollars ($144,000); and WHEREAS, pursuant to Article 11, Paragraph 11.1 of the Agreement entered into between the parties on or about March 10, 2023, the Agreement was to be effective for one (1) fiscal year, with two renewable options for one year, subject to negotiations; and WHEREAS, pursuant to Article 11, Paragraph 11.2 the Agreement, the Agreement "may be terminated by either party for cause, or the City for convenience, upon thirty (30) days written notice by the City to Contractor in which event the Contractor shall be paid its compensation for services performed to termination date"; and WHEREAS, the City Commission desires to authorize and require termination with a thirty (30) day notice letter to be provided by the City Manager to Roar Media, LLC within twenty-four hours from passage of this resolution; and WHEREAS, the City Commission of the City of Opa-Locka finds that it is in the best interest of the City and its residents to terminate the public relations and marketing consultant services agreement with Roar Media, LLC. NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF OPA LOCKA, FLORIDA: SECTION 1. RECITALS ADOPTED. The recitals to the preamble herein are incorporated by reference. SECTION 2. AUTHORIZATION The City Commission of the City of Opa-Locka hereby terminates the public Resolution No. 23-189 relations and marketing consultant services agreement with Roar Media, LLC. SECTION 3. SCRIVENER'S ERRORS. Sections of this Resolution may be renumbered or re -lettered and corrections of typographical errors, which do not affect the intent of this Resolution may be authorized by the Interim City Manager, following review by the City Attorney, without need of public hearing, by filing a corrected copy of same with the City Clerk. SECTION 4. EFFECTIVE DATE This Resolution shall take effect upon the adoption and is subject to the approval of the Governor or Governor's Designee. PASSED and ADOPTED this 13th day of Decemb r 2023. Staff Summary: On November 14, 2022, the City Commission passed Resolution No. 22-061, to enter into an agreement with Roar Media, LLC for Public Relations and Marketing services. The terms of this agreement were for "one fiscal year with a two (1) year renewable clause subject to negotiation of terms with the contractor and the concurrence of the City of Opa-locka City Commission": At the completion of one year, the City Commission is seeking to exercise its right to decline to renew the City's contract with Roar Media as outlined in the terms of the agreement. Financial Impact: The FY 24 Adopted includes $200,000 for various Public Relations and Marketing Services. Under the current contract through December 31, 2023, Roar Media charges will be approximately $37,000 of this budget. Roar Media has started from scratch to implement a comprehensive program of responding to media requests, preparing City officials for media events, media placement to increase public awareness of City events, development of flyers in support of City events and a significant social media presence. Roar Media relies on a comprehensive measurement system to assess the effectiveness of its communications and assist in refining its approach to address the reality that a substantial portion of the community doesn't possess the skills necessary to be receptive to social media and other forms of electronic communications. The termination of Roar Media would require a new RFP and the likelihood that the City would be without effective Public Relations and Marketing Services for a four to five month period while a new firm was selected and then developed their own plan for addressing the City's needs. This would not only adversely impact near -term day-to-day events but would also adversely impact future major events such the Arabian Nights Festivals which requires extensive long-term planning and involvement of public information and marketing skills.
