Vice Mayor Stanley called attention to the dates. VII. Communication from the Public (3 min. maximum) Kristine de Haseth, Mayor of Ocean Ridge, commended Assistant Town Attorney Nazzaro for his professionalism and passion and being pro- active and articulate. VIII. Public Hearing. A. Declaration of Ex-Parte Communications There was none. Minutes of Town Commission Regular Meeting & Public Hearing Held April 9, 2021 @ 9:00 A.M. B. Administer Oaths Town Clerk Taylor swore in Mr. Mark Marsh. C. Applications for Development Approval 1. Application Submitted by Mark Marsh of Bridges, Marsh & Associates, as Agent for Mr. & Mrs. Christopher Ruth, the owners of property located at 3212 Gulf Stream Road, Gulf Stream, Florida, which is legally described as the north 75 feet of lot 24 and the south 50 feet of lot 25, at page 27 of the public records of Palm Beach County, Florida. a. Special Exception to permit additions to a single- family dwelling with existing nonconforming setbacks. b. Level 3 Architectural/Site Plan Review to permit the addition of a 2-car garage, a guest suite, loggia, and a minor addition to the west side of the master bedroom. Mr. Mark Marsh, Architect, made a presentation regarding the Ruth home. He stated it was built in 1951 and he considered it a country cottage and instead of tearing it down, the Ruth's had decided to do some expansion and renovations to preserve the character of the house. Mr. Marsh stated they were asking for a special exception for the additions due to nonconforming setbacks and that lines probably were not drawn when the house was built that you could see in the skew of the house. He added they were going to change the circular driveway to a single-entry driveway and adding a two -car garage with a side -entry not facing the street. Mr. Marsh stated they were going to enclose an open area in the rear and add a bedroom as well as a minor addition to the master bedroom with a covered loggia on the west side. He pointed out the elevations and showed how they would marry and match the existing roof to unify everything seamlessly. Mr. Marsh stated there would be minor landscaping modifications as the property was well established with landscaping. Commissioner Lyons commended Mr. Marsh on a job well done and Vice Mayor Stanley expressed his appreciation in keeping the house as a one-story, which is what the Town promotes. Commissioner White expressed her thanks in preserving the home and adding charm while making it more functional. Commissioner Orthwein made a motion to approve a Special Exception to permit additions to a single-family dwelling with existing nonconforming setbacks. Commissioner White seconded the motion with all voting AYE at roll call. Commissioner Orthwein made a motion to approve a Level III Architectural/Site Plan Review to permit the addition of a two -car garage, a guest suite, and a minor addition to the west side of the master bedroom based on a finding that the construction of a two -car 2 Minutes of Town Commission Regular Meeting & Public Hearing Held April 9, 2021 @ 9:00 A.M. garage, a guest suite, and a minor addition to the west side of the master bedroom meets the minimum intent of the Design Manual and applicable review standards. Commissioner White seconded the motion with all voting AYE at roll call. IX. Reports. A. Town Manager 1. Utility Undergrounding Town Manager Dunham stated that AT&T was finished wrecking their old services, but they found two places that they still needed to fix, at their own expense. Mr. Dunham stated that Comcast had now switched over to fiber optic and was beginning their wreck out and thought they would be finished by the end of April. He added that he had been in contact with FP&L, and they had walked the Town to see exactly where the new streetlights would be going to be installed. Vice Mayor Stanley asked if there was a project manager assigned from FP&L to which Town Manager Dunham answered in the affirmative. Commissioner Lyons wanted to know if there was a schedule to which Mr. Dunham stated there was not and Commissioner Lyons asked if a representative could come to a meeting. Town Manager Dunham stated he could ask them to attend a meeting, but he thought his communication with them was more important than them giving an update at a meeting. Commissioner Lyons was satisfied with that answer. Cuppy Kraft, a resident of Gulf Stream asked if the poles on Little Club Road would be down by September to which Town Manager Dunham answered in the affirmative. Mrs. Kraft then asked about the street signs for Little Club Road to which Mr. Dunham explained that it had been difficult getting a sign and that they asked The Little Club if it could be attached to their sign, to which The Little Club did not agree to. Mrs. Kraft was not happy with that answer and stated they wanted a pole like everyone else. Town Manager Dunham explained that where the sign would normally go was too far back, so they were going to place it on the other side. 2. Building Design Legislation Update Assistant Town Attorney Nazzaro brought everyone up to date on where the legislation was concerning building design. He added there were amendments being pursued by the League, the Town and some other smaller municipalities that have design review boards. Mr. Nazzaro stated that if the amendment were included, Gulf Stream would not be affected, but in the current form, the bill did not have any exemptions that would apply to Gulf Stream without the Town taking some legislative action. He explained that he had spoken to the Town's planner, Marty Minor, and they believed the first exemption in the bill could be used by the Town due to the historic nature of the core, beachfront, and ocean west districts. Mr. Nazzaro stated they were working on ordinance language to create these historic districts and 3 Minutes of Town Commission Regular Meeting & Public Hearing Held April 9, 2021 @ 9:00 A.M. would be presenting them to the Commission for first reading at the May meeting. He added that another approach the staff was pursuing was incentive zoning, which would apply to the entire Town. Mr. Nazzaro stated as part of an incentive to construct homes consistent with the building design elements contained in the Town Code, the Town would modify its Floor Area Ratio calculation. He added that our planner agreed that this would work and is a common practice and this incentive would help maintain the prevalence of Gulf Stream Bermuda and Spanish Mediterranean homes throughout the Town. Vice Mayor Stanley stated it was good to have options and thanked Mr. Nazzaro for his hard work. 3. Reverse Osmosis Water Plant -Golf Stream Golf Club Town Manager Dunham explained that this item on the agenda was to be informative to the Commission so they could have discussion before making an amendment to the Zoning Code. He added that the Town was approached in early March by the Gulf Stream Golf Club incoming and outgoing presidents, as well as the golf course superintendent. Mr. Dunham stated after that initial meeting, they met at the proposed RO plant site on the north side of the Club's property just south of the Golfview Road and Polo Drive intersection. He stated they were concerned with noise and odor, so they went and toured the Everglades Club RO Plant in the Town of Palm Beach as well as the Manalapan RO plant, which were two totally different plants regarding odor and noise. Mr. Dunham stated that a water plant is not currently permitted in the Gulf Stream Outdoor Recreational Zoning District, so the Commission would need to amend the Code. Assistant Town Attorney Nazzaro explained that relative to the Code, it would need to be special exception criteria the GSGC would need to meet regarding the Outdoor Recreational Zoning District involving noise and odor and other impacts it may have on residents. He added that the Town had retained a specialized outside legal counsel to handle the change to the Town Code and those costs would be incorporated as part of the Club's application fee as a 1000 pass through. Mr. Ryan Swilley, the Gulf Stream Golf Club Superintendent, gave a detailed PowerPoint presentation showing specifications of the plant, where they would like to put the well, storage tank, etc. Mrs. Cuppy Kraft, Town resident, wanted to know who determined what a bad odor was, and referred to her home that is next door to the Little Club's kitchen and how horrible the odors were there. She also wanted to know if the GSGC was given the special exception, then why wouldn't the Little Club one day want it. Town Manager Dunham stated if the Little Club wanted to put in an application, they would be allowed to do so. Vice Mayor Stanley stated that to get a special exception you had to meet eight criteria, but each application was on its own merit and not compared to another application. Commissioner Lyons had some questions regarding watching remotely and not being able to hear clearly to which CFO Tew explained that the new system would have an integrated presentation software and the Town was trying to move towards a more digital presentation experience. Commissioner Lyons asked what Town Clerk Taylor's thoughts were. Town Clerk Taylor stated that the present system had served the Town well, but it had become obsolete and could not get parts for it any longer and that her main objection would be that they do not cut holes in the wood. This report is being written per your request. My assignment is to assess the condition of the subject trees and the impacts of proposed construction near the trees My assessment is limited to the condition of the trees as observed on April 5, 2021 The purpose of this report is intended as a tool to allow the tree owner or manager to make an educated nee management decision. My assessment was performed from the ground. I did not climb any trees or use any aerial lift equipment. No tree risk assessment was performed as this was outside the scope ofthe assignment The property is a historic residence that is situated on approximately two and a half acres on the barrier island in South Florida. The main residence and the out buildings are situated towards the east end of the property. There is an expansive lawn and a deep water canal on the west end of the property. The owner would like to construct a new seawall, as the existing seawall is in disrepair. There is a handful of existing trees situated near this area. A tree survey was prepared for this property in June 2020. All trees and palms on this site have an aluminum tree tag affixed to the trunks. Each tag has a unique number. Tree numbers on this report reflect the numbers on the tree tags. A total of three trees were assessed. My observations and recommendations are expressed below TrLv#76 Tree# 76 is a tropical almond (Termnw is cetrappa) with a diameter at breast height of 25 inches. I have assigned this tree a condition rating of 40° u This tree is in poor condition The ttce has a low live crown ratio and there is storm damage present in the crown. this species is considered to be an invasive exotic species. Frank Tnilf7n Treed 77 is an Indian laurel (Ficus nhida) that measures 60 inches diameter at breast height. I have assigned this tree a 501e condition rating. This tree is in fair condition. The tree is situated on the southwest property corner. This tree po= a conflict with the seawall, both above ground and below ground. 'free roots can be observed growing along the sutwall and there is concern that this will cause damage (See Appendix A- Photo 1). TlVt# 78 lreeO 78 is known w a council tree (Ficus uhirTima). This tree measures 77 inches diameter at breast height. I have assigned a condition rating of 40°r5 for this tree. This tree is in poor condition. There are old topping cuts found in the crown from either previous storm damage or improper pruning. There are excessive sprouts found within the crown. These sprouts arc very weakly attached. There is also decay present in the branches as well as the root Bare (See Photo 2). the two fig trees arc in poor condition. The tropical almond is an undesirable species. It seems that if the owner were to remove the subject trees and replant with new trees, the new trees would he in better condition that the existing tires. If the owner is to remove the subject trees, I recommend planting a quantity of new trees that would replace the square footage of the canopy of the removed trees. ("Golf Club") and the Florida Inland Navigation District ("F.I.N.D."), the property owners of approximately 14.72 acres of land directly north of the Place Au Soleil neighborhood and east of U.S. Highway One ("U.S. 1"), have requested, through their agent, Cary Glickstein of Ironwood Development, Inc., five development applications for their properties. As the result of these applications, a total of 14 new single-family lots are proposed to be created on 7.64 acres to be known as Place Au Soleil Addition No. 2, (the "Bluewater Cove subdivision"). These development applications are: 1. Comprehensive Plan amendment to convert the site's existing Future Land Use Designation from P (Public) and REC (Recreation) to SF (Single -Family Residential) and P (Public); 2. Rezoning from P (Public Facilities) and OR (Outdoor Recreational) districts to RS-P (Single - Family Residential — Place Au Soleil); 3. Text Amendment to the RS-P-(Single-Family Residential — Place Au Soleil) regulations to allow for a 10-foot rear setback for pools in the Bluewater Cove subdivision. The code currently has a 15-foot setback requirement for minor accessory structures, such as pools; 4. Level 3 Site Plan/Subdivision approval for a 14-lot subdivision on 7.64 acres; and 5. Concurrency Certification to confirm municipal services are available for the proposed 14 units. Concurrent with these development applications, a proposed partial land swap between the Golf Club and F.I.N.D. is proposed. As indicated in the aerial photo, the two parcels currently have an east/west orientation. The Golf Club parcel is 7.65 acres in size and is located directly adjacent to U.S. 1. With the swap, both parcels will have frontage on U.S. 1 and the Intracoastal Waterway. The northern parcel will be 7.08 acres owned by F.I.N.D. and will be reserved for dredging activities needed for the Intracoastal Waterway maintenance, consistent with the current zoning designation of the existing F.I.N.D. parcel. The southern parcel will be 7.64 acres owned by the Golf Club, which will then become the Bluewater Cove subdivision of Place Au Soleil. The following are a summary and analysis of each of the development application requests. Figure Error! No teat of specified style in document.2 - Comprehensive Plan Amendment Proposed Parcel on uership With the proposed land swap, the Future Land Use Designation for each of the parcels is requested by the Applicant to change. The current 7.07-acre F.I.N.D. parcel, which currently has a P (Public) Future Land Use Designation, will keep its P (Public) designation on the newly created northern parcel and request that the southern 4.154 acres be designated as SF (Single -Family Residential). This 4.154 acres is proposed to be swapped with the Golf Club. The Golf Club parcel, which currently has a REC (Recreation) Future Land Use Designation, is proposed to be split into two Future Land Use Designations. The Applicant is requesting that the southern 3.489 acres of the current Golf Club parcel be designated SF (Single -Family Residential) category on the newly created southern parcel.' The northern 4.158 acres of the Golf Club site, which is planned to be swapped with F.I.N.D., is proposed be changed from REC (Recreation) to P (Public). With the requested changes, the Town's Future Land Use map would have a net loss of 7.647 acres of REC (Recreation), a small net gain of 0.004 acres of P (Public), and an increase of 7.643 acres to the SF (Single -Family Residential). The SF (Single -Family Residential) Future Land Use Designation allows for a maximum residential density of 2.64 dwelling units per acre and up to 2.9 units per acre within the Town's RS-P (Single - Family Residential -Place Au Soleil) zoning district. For the requested change, the proposed uses' compatibility with the surrounding neighborhoods and consistency with the other policies of the Town's Comprehensive Plan were reviewed. The two parcels are located on the east side of a mixed -use section of U.S. 1. West of the site are commercial parcels within the City of Boynton Beach. Single family subdivisions are located to the north and south of the subject parcels. The proposed amendment and the development of single-family homes are consistent with the Town's development policies and will increase the estimated annual tax revenue from the parcel by approximately $140,000. Rezoning In addition to the proposed land swap and requested Future Land Use Comprehensive Plan amendment, the Applicant is seeking to rezone these parcels to be consistent with the Single Family and Public future land use designations sought in the amendment. Currently, the western parcel (Golf Club) has an OR (Outdoor Recreational) zoning designation and the eastern parcel (F.I.N.D.) has a P (Public Facilities) zoning designation. With the proposed changes to the parcel boundaries, the southern 7.64 acres would be rezoned to RS-P (Residential Single Family - Place Au Soleil). With this zoning designation, the proposed Bluewater Cove subdivision will have the same development regulations and limitations as the adjacent Place Au Soleil neighborhood. The proposed rezoning of undeveloped parcels to RS-P (Single -Family Residential -Place Au Soleil) and P (Public Facilities) is consistent with the existing development patterns of the surrounding area. The proposed intensity and density of requested zoning districts is consistent with the Town's Comprehensive Plan and Future Land Use element. Text Amendment As indicated above, the Applicant is requesting that the 7.64 acre Bluewater Cove site plan be rezoned to RS-P (Single -Family Residential -Place Au Soleil). This rezoning would create the same development regulations for Bluewater Cove that apply to the adjacent Place Au Soleil neighborhood. The Applicant has stated that because of the linear layout of the site plan and 120-foot lot depths, additional area is needed for the provision of backyard pool amenities. Lot depths within the Place Au Soleil neighborhood are typically 125 to 140 feet in depth. Level 3 Site Plan Review/Subdivision The Applicant has requested site plan/subdivision approval for 14 single family lots on 7.64 acres of land, located directly north of the Place Au Soleil neighborhood. The proposed plat will be Place Au Soleil Addition No. 2. The proposed lot sizes range from a minimum of 16,560 square feet in size to a maximum of 25,737 square feet, which is the northeast corner lot overlooking the Intracoastal Waterway. The lots will be accessed by a new public street, Bluewater Cove, with a 34-foot-wide right-of-way which will be connected to Avenue Au Soleil at the Place Au Soleil entrance. Potable water and sanitary sewer service will be provided through an agreement with the Town and City of Delray Beach. Drainage for the site plan will be accommodated by on -site exfiltration trenches. Landscape buffers have been provided along the northern, southern and U.S. 1 boundaries. Street trees have been provided along the public street. Along the U.S. 1 boundary, a six-foot high masonry wall with clusia, bougainvillea, palm and live oak trees are proposed. Along the southern boundary, green buttonwood trees, hedges and a dark bronze, six-foot high, aluminum fence will be provided. On the site plan's northern boundary, adjacent to the F.I.N.D. site, a landscape buffer is proposed to help screen any future dredging activities. Live Oaks, Green Buttonwood, clusia hedge and six-foot, black vinyl -coated, chain link fence will be provided along the northern property line of the Bluewater Cove site plan. Also, the Applicant has committed to working with F.I.N.D. to install an additional 10 feet of landscaping on the F.I.N.D. site for more buffering. Concurrence The creation of new residential lots within the Town requires the availability and reservation of municipal services to address the impact of the new homes. The Applicant has provided letters of availability from the City of Delray Beach for water and sewer services and fire protection, the Town Police Department for police patrols, and the Solid Waste Authority for trash disposal. The Applicant has also provided signed and sealed engineering statements that the project's drainage system and traffic circulation meets all Town requirements. Please note that the proposed site plan does not trigger any off -site improvements, such as an additional lane of roadway on U.S. 1 or enhancements to the Delray Beach water and wastewater treatment systems, pursuant to the Town's and Palm Beach County's concurrency regulations. The Town and Applicant will enter into a Developer's Agreement to address improvements to the project entrance. The proposed amendment to the Town's Future Land Use Map can be summarized as: • 4.154 acres are proposed to be re -designated from P (Public Facilities) to SF (Single Family); • 4.158 acres are proposed to be re -designated from REC (Recreation) to P (Public Facilities); • 3.489 acres from REC (Recreation) to SF (Single Family). A total of 11.801 acres is involved with this Future Land Use Amendment request, which will facilitate the development of 14 single family homes on 7.6 acres, north of the Place Au Soleil neighborhood, east of U. S. 1. The Florida Department of Economic Opportunity received the Town's transmittal package on March 22, 2021. WHEREAS, Developer owns and/or is acquiring certain land (the "Property") located within the municipal limits of the Town, as more particularly described in Exhibit "A" attached hereto; WHEREAS, the Developer wishes to proceed with development of the Property as a single family residential subdivision, inclusive of a spine roadway (the "Roadway"), water and sewer utilities to be stubbed out to each residential lot (the "Utilities"), landscape improvements (the "Landscaping"), and other subdivision improvements thereon (collectively, the "Project"), all as shown on the proposed Civil Site Improvements Plan for Bluewater Cove, as modified from time to time and as approved by the Town (the "Civil Engineering Plans"). Copies of the Civil Engineering Plans are attached hereto as Exhibit "B". The proposed landscape plans, as modified from time to time and as approved by the Town (the "Landscape Plans") are attached hereto as Exhibit "C." The proposed plat of the Project entitled "Place Au Soleil Addition No. 2" is attached hereto as Exhibit "D" (the "Plat"); WHEREAS, the Roadway will become a public right of way maintained by the Town upon (i) recording of the Plat, and (ii) Developer's completion of the Roadway Improvements, (hereinafter defined) as certified by the civil engineer of record; WHEREAS, Developer will also (i) construct the underground Utilities for the Project, at Developer's expense, and (ii) transfer ownership of the Utilities to the Town (or other utility service provider as directed by the Town) upon completion and final inspection and approval of the civil engineer of record; and WHEREAS, in accordance with the provisions of this Agreement and the Town's code of ordinances, the Town will accept ownership rights of the Roadway and Utilities upon lien free completion. Recitals. The foregoing recitals are hereby incorporated by reference and serve as a factual stipulation upon which the parties agree is the basis of this Developer's Agreement. 2. Roadway Improvements. Developer hereby agrees to construct, at its sole expense, all Roadway related improvements, shown on the Civil Engineering Plans. Specifically, and in addition to the primary spine roadway that will connect the new single-family homes to the existing public right-of-way, Avenue au Soleil, Developer, at its sole cost and expense, will make certain improvements to Avenue au Soleil at the entrance to the Place au Soleil community as shown on the Civil Engineering Plans (collectively referred to herein, as the "Roadway Improvements.") 3. Utility Improvements. Developer hereby agrees to construct, at its sole expense, all Utilities shown on the Civil Engineering Plans, as may be modified from time to time, with any such modifications approved by the Town, including the proposed connection of the Town's existing guard house (the "Guard House") (located within Avenue au Soleil at the {9426739:4 1 entryway of the adjacent Place au Soleil community) to the public sewer system being constructed as part of the Project, and abandonment of the Guard House's existing septic tank and drain field, at Developer's expense, pursuant to plans and specifications to be approved by the Town (the "Utility Improvements"). 4. Landscape Improvements. In addition to the Roadway Improvements and the public sewer connection for the Guard House, Developer, at its sole costs and expense, shall construct the landscaping and signage improvements shown on the Landscape Plans (the "Landscape Improvements") adjacent to Avenue au Soleil at the entrance to the Place au Soleil community. 5. Plans and Specifications. Developer shall complete the design, permitting and construction of the Roadway Improvements, Utility Improvements and Landscape Improvements in accordance with the Town's requirements. The improvements shall be made in accordance with the Civil Engineering Plans and Landscape Plans prepared by the Developer, at its expense, of which preliminary plans have been recommended for approval by the Town's Architectural Review and Planning Board. All construction and materials shall meet Town specifications and shall be mutually agreed upon by the Town and the Developer. 6. Dedication of Roadway to Town. Developer shall convey the Roadway to the Town by dedication on the Plat. Such dedication shall be superior to all liens and encumbrances except as approved by Town in its reasonable discretion. 7. Grant of Utility Easements. Developer hereby agrees to dedicate on the Plat such easements to the Town as are necessary for the proper construction and perpetual operation and maintenance of the Roadway Improvements, the Utility Improvements, and the Landscape Improvements. 8. Project Completion. Upon completion of the Roadway Improvements, the Utility Improvements and the Landscape Improvements, respectively, and final approvals from the Town and any other jurisdictional agency, together with assurance that the improvements are free and clear of any and all liens, encumbrances, or interests of any third party, the Town shall accept the conveyance of said improvements with all title, right, and interest to same immediately vesting in the Town. Upon acceptance by the Town, the Town shall be responsible for all maintenance of the improvements. 9. Financial Assurances. Prior to the recording of the Plat, and to secure Developer's obligations to construct the Roadway Improvements and the Utility Improvements, respectively, the Developer shall provide financial assurances to the Town in an aggregate amount equal to 110% of the cost of each of the Roadway Improvements and the Utility Improvements, as estimated by the civil engineer of record. The financial assurances may be provided, at Developer's option, in one or more of the following forms: (i) a cash deposit with an escrow agent approved by the Town, whereby the cash deposit may be disbursed to Developer in monthly draws based on the percentage of completion of the applicable work; (ii) an irrevocable letter of credit in an form approved by the Town; or (iii) payment and performance bonds from the contractor and/or major subcontractor performing the respective portion of the work. {9426739:4 } 10. Jurisdiction. This Agreement, and the rights and obligations of the Town and the Developer hereunder, shall be governed by, construed under, and enforced in accordance with the laws of the State of Florida, and venue shall be in the circuit courts of Palm Beach County. If any provision of this Developer's Agreement, or the application thereof to any person or circumstances, shall to any extent be held invalid or unenforceable by a court of competent jurisdiction, then the remainder of this Developer's Agreement shall be valid and enforceable to the fullest extent permitted by law. 11. Relationship. This Agreement does not evidence the creation of, nor shall it be construed as creating, a partnership or joint venture among Town and Developer. Each party is acting for its own account, and it has made its own independent decisions to enter into this Agreement and as to whether the same is appropriate or proper for it based upon its own judgment and upon advice from such advisers as it has deemed necessary. Each party acknowledges that the other party hereto is not acting as a fiduciary for nor as an adviser to it in respect of this Agreement. 12. Prevailing Party Fees. In the event the Developer or Town are required to enforce this Agreement by Court proceedings or otherwise, by instituting suit or otherwise, then the prevailing party shall be entitled to recover from the other party all costs incurred, including reasonable attorney's fees. 13. Successors and Assigns. All covenants, agreements, warranties, representations, and conditions contained in this Agreement shall bind and inure to the benefit of the respective successors and assigns of the parties to this Agreement. 14. Waiver. A failure to assert any rights or remedies available to a party under the terms of this Agreement shall not be deemed a waiver of such rights or remedies, and a waiver of the right to remedies available to a party by a course of dealing or otherwise shall not be deemed to be a waiver of any other right or remedy under this Agreement, unless such waiver of such right or remedy is contained in a writing signed by the party alleged to have waived his other rights or remedies and to the extent involving the Town such writing must be approved by the Town's governing body. 15. Construction of Agreement. Each party acknowledges that all parties to this Agreement participated equally in the drafting of this Agreement and that it was negotiated at arm's length. Accordingly, no court construing this Agreement shall construe it more strongly against one party than another. 16. Further Action. Each party shall execute and deliver any and all additional papers, documents, and other assurances, and shall do any and all acts and things reasonably necessary in connection with the performance of the obligations hereunder and to carry out the intent of the parties hereto. 17. Entire Agreement. This Agreement represents the entire understanding and agreement between the parties with respect to the subject matter hereof, and supersedes all other negotiations, understandings or agreements made by and between the parties. 18. NOW, THEREFORE, in consideration of the promises, mutual covenants, conditions, provisions, and undertakings herein contained, and for other good and valuable consideration, the parties do mutually covenant and agree with each other as follows: SECTION 1. DUTIES A. Wagner shall serve as the Town's Code Enforcement Special Magistrate at all scheduled Code Enforcement hearings in accordance with the Town's Code of Ordinances and shall devote such time as is necessary to perform the duties therein. B. Wagner shall exercise all authority granted by the Town's Code of Ordinances. SECTION 2. TERMS AND TERMINATION A. This Agreement shall remain in effect for a period of two (2) years, unless terminated earlier. B. This Agreement may be terminated at any time by either party, for any or no reason, by serving notice on the other party in accordance with Section 5 herein. Such notice shall be effective on the day it is delivered or mailed. C. In the event of termination, Wagner will be compensated for all services actually performed prior to the date of termination. SECTION 3. INDEPENDENT CONTRACTOR A. Wagner is responsible for providing a professional service, and Wagner will be solely responsible for all payroll taxes, including, but not limited to, federal income tax, FICA, and federal and state unemployment taxes. Wagner will be responsible for the filing of an IRS Form 1099 and the payment of applicable self-employment taxes. SECTION 4. COMPENSATION A. As compensation for performing the services contemplated by this Agreement, the Town will pay Wagner the sum of One Hundred Ninety Dollars ($190.00) for each hour worked. B. The Town shall pay Wagner on a monthly basis, upon receipt of an invoice detailing all services performed and the amount of time expended to the nearest one -tenth (1/10) of an hour. SECTION 5. WITNESSETH: WHEREAS, the Authority has been empowered by law to carry out the powers, obligations and requirements in Palm Beach County, Florida, prescribed to a "county" pursuant to the provisions of Chapter 403, Part IV, Florida Statutes; as amended, and WHEREAS, the TOWN desires to work in cooperation with the Authority to continue a municipal recycling program toward achievement and maintenance of the State recycling goal and the requirements of Chapter 403, Part IV, Florida Statutes; as amended, and WHEREAS, in addition, the TOWN provides for the collection of solid waste from the residents and businesses and residential recyclable materials within its boundaries and recognizes the need for safe and sanitary processing and disposal of solid waste and residential recyclable materials; and WHEREAS, the TOWN wishes to participate in a coordinated County -wide program for the management of hazardous waste and control of solid waste processing and disposal and residential recycling participation in cooperation with federal, state, and local agencies responsible for the prevention, control, or abatement of air, water, and land pollution; and WHEREAS, the TOWN together with the Authority recognizes the need to plan and develop an adequate solid waste and residential recycling system for the benefit of all the residents of Palm Beach County. NOW, THEREFORE, in consideration of the mutual covenants and promises hereinafter contained to be kept and performed by the parties hereto, and for the mutual benefit of the TOWN, its constituents and the Authority, it is agreed as follows: The above recitals are true and correct and incorporated into the body of this Agreement as if fully set forth herein. 2. Definitions: Acceptable Load — Any load of otherwise Designated Recyclables that contains no Prohibited Material and a maximum of 12% Contamination in total, or the Container component contains no Prohibited Material and a maximum of 12% Contamination and the Fiber component contains no Prohibited Material and a maximum of 5% Contamination. Acceptable Material — Designated Recyclables as defined herein. Combined -Haul Town — A municipality that has contracted with a Private Hauler that also services other municipal or unincorporated areas within Palm Beach County to collect and deliver Residential Recovered Materials to the Authority. Containers — Includes aluminum cans, aseptic containers, gable -topped containers, glass bottles and jars (green, brown and clear), and plastic containers #1 - #7 (except Styrofoam). Contaminated Recyclable Material — Any Recyclable Material that does not conform to the standards for Acceptable Loads. Contamination — Any material not included in the definition of Designated Recyclables. Corrugated Cardboard — Containers having liners of either test liner, jute, or kraft. Designated Facility — The Authority's Recovered Materials Processing Facility (RMPF), the Authority's transfer stations, a Private Commercial Materials Recycling Facility (PCMRF) designated by the Authority or any other sites designated by the Authority for recycling. The Authority reserves the right to add or delete approved facilities with reasonable notice. Designated Recyclables — Fiber and Containers as defined herein or other materials as the Authority may designate. Equivalent Residential Unit (ERU) — Single -Family and Mobile Homes equal 1 ERU, Multi -Family Homes equal 0.75 ERUs. Fiber — Includes newspapers (including inserts), magazines and catalogs, phone books, Corrugated Cardboard, Mixed Paper, Sorted White Ledger, Sorted Office Paper, and kraft bags. Mixed Paper — A mixture of various types and grades of paper including but not limited to: all office paper, colored paper, corrugated cardboard, envelopes (excluding envelopes with cellophane windows), junk mail, kraft bags, magazines, and catalogs. Mixed Paper does not include tissue or towel paper. Municipal Solid Waste or MSW — Garbage, sewage, sludge, septage, rubbish, refuse, and other discarded solid or liquid materials resulting from domestic, industrial, commercial, agricultural, and governmental operations, but does not include solid or dissolved materials in domestic sewage, storm drainage, or other significant pollutants in water resources, such as silt, dissolved or suspended solids in industrial wastewater effluents, dissolved materials in irrigation return flows, or other common water pollutants. Net Revenue — Residential Recovered Materials Revenue minus Processing Cost. Private Hauler — Any for -profit person or entity providing collection of solid waste and/or recyclables for hire on a routine basis within the municipality. Processing Cost — The sum(s) due and payable to the contract operator of the RMPF by the Authority. Prohibited Material — Hazardous, medical or biological waste. Public/Self Hauler — The municipality providing the collection of solid waste and recyclables using their own resources rather than using the hauling services of a Private Hauler. Recovered Materials Processing Facility (RMPF) — A facility owned by the Authority that processes Recyclable Material. Recyclable Material — Includes Containers and Fiber. Residential Recovered Materials Revenue — Total earned revenue from the sale of designated Residential Recovered Materials. Residential Recovered Materials — Designated Recyclables collected from residential units less Unacceptable Materials and Prohibited Materials delivered to Designated Facilities. Self -Haul Town — A municipality that collects its own Residential Recovered Materials and delivers it to the Authority or who uses a private contractor that collects its Residential Recovered Materials on dedicated routes and can positively demonstrate that they have collected and are delivering only that jurisdiction's Residential Recovered Materials to the Authority. Unacceptable Load — Any load of Designated Material delivered to a Designated Facility that is deemed not an Acceptable Load as defined herein. Unacceptable Material — Any material other than Acceptable Material and Prohibited Material. 3. The purpose of this Agreement is to set forth the terms and conditions for the delivery of Municipal Solid Waste (MSW) to Designated Facilities and for the operation of a recycling program between the Authority and the TOWN which upon execution by both parties shall automatically rescind the current INTERLOCAL AGREEMENT FOR THE DELIVERY OF MUNICIPAL SOLID WASTE TO DESIGNATED FACILITIES AND FOR A MUNICIPAL RECYCLING PROGRAM and shall become effective upon filing with the Clerk of the Courts in accordance with Chapter 163, Florida Statutes. 4. The TOWN agrees that all MSW and Designated Recyclables collected by or on behalf of the TOWN shall be disposed of at a Designated Facility in accordance with this Agreement. 5. The TOWN agrees to cooperate with the Authority to provide all necessary and required information to the Authority in a timely manner so that it can be determined if the TOWN's MSW and Designated Recyclables are being delivered to a Designated Facility. 6. The Authority agrees to pay the TOWN a minimum of 50% of the Net Revenues earned from the sale of Residential Recovered Materials attributable to the TOWN on a quarterly basis. The actual percentage will be determined annually through the Authority's budget process. The Net Revenues to be shared will consist of the Residential Recovered Materials Revenues received by the Authority for each quarter less the Processing Cost for that quarter. That amount will be divided by the total tons received to determine an average price per ton and then multiplied by the adopted annual revenue share percentage to set the program price to be paid for the quarter. The Net Revenue distribution formula will be based on the number and type of residential units serviced by the TOWN in relation to the total number of these units for all municipalities participating in this program or on the actual amount delivered for municipalities that haul their own material. Each participating municipality will either be classified as a Self -Haul Town or a Combined -Haul Town. Self - Haul Cities will receive a revenue share based on the actual weight of Acceptable Loads delivered to a Designated Facility. Combined -Haul Cities will share the balance of those net revenues based upon the proportion of their total ERUs serviced in comparison to the total ERUs serviced for all Combined -Hauler Cities in Palm Beach County. 7. The Authority agrees to maintain its Designated Facilities to ensure adequate capacity for the TOWN's waste and residential recyclables to operate within all applicable local, state and federal environmental guidelines. 8. Collection of Designated Recyclables A. Residential Individual residents/homeowners shall be encouraged by the TOWN to separate their MSW into recyclables and non-recyclables. Each residential unit or combination of units will receive from the Authority the appropriate type and number of reusable containers, in accordance with the countywide recycling program, into which Recyclable Materials will be deposited. Corrugated Cardboard shall be cut to an acceptable size and flattened, and for curbside residents, shall be set beside or in the same reusable container as the Fiber. Residents receiving containerized service may receive a separate container to be used for the collection of Corrugated Cardboard. The Authority retains the right to modify the manner in which materials are set out for collection with reasonable notice to the TOWN. Notice for a substantial change in collection method shall be no less than one year. B. Commercial Individual businesses shall be encouraged by the TOWN to separate their MSW into two categories: recyclable and non -recyclable. Businesses contracting for services will arrange with their service provider to receive one or more containers into which Recyclable Material may be deposited. Acceptable Materials for commercial recycling shall include: Containers, Corrugated Cardboard, Sorted White Ledger, Mixed Paper, Sorted Office Paper, and any other materials agreed to in writing by the TOWN and the Authority. The Authority reserves the right to add or delete allowable Designated Recyclables and when doing so will provide the TOWN with reasonable notice to make those changes. 9. Commercial Recycling Revenue Share As a further incentive for the TOWN to actively pursue commercial recycling, the Authority and the TOWN may enter into a separate agreement to provide for payment to the TOWN for all Acceptable Loads of agreed upon commercial Recyclable Materials. Types of commercial Recyclable Materials eligible for payment shall be determined by the Authority. 10. Transportation and Equipment The TOWN shall be responsible for having collected Designated Recyclables transported to a Designated Facility as defined herein. The Authority or its contractor shall receive, process, dispose of and/or recover all Designated Recyclables delivered by or on behalf of the TOWN, at no charge to the TOWN, except for Unacceptable Loads as described below. Collection equipment must be of a type to provide for rear, side or front unloading and may be compartmentalized or in separate vehicles. 11. Improperly Prepared and Sorted Recyclable Materials When a collector's crew encounters improperly prepared and sorted materials or non - recyclable items, they must follow this procedure: A. The collector shall pick up all Designated Recyclables except for Contaminated Recyclable Material or those which cannot be safely retrieved from the reusable containers. Improperly prepared and sorted materials or contamination will be left in the reusable containers or temporarily removed and returned to the reusable containers. The collector shall leave an Authority and/or TOWN approved form on the material or in the container. The form will notify the resident or business that material has not been properly sorted, and will provide contact information for the TOWN or Authority recycling coordinator for further information. Upon request of the TOWN, the Authority will provide rejection procedure training for the route drivers. The Authority and the TOWN will consult and evaluate the extent of the need for such training, which shall be provided by the Authority. As a means of strengthening the TOWN's ability to have its collector fulfill the TOWN's recycling needs, the TOWN agrees to notify the Authority when preparing the TOWN's future Request for Proposals or Bid for collection services. B. It shall be the responsibility of the TOWN or its Private Hauler to contact residents or businesses that repeatedly place improperly sorted materials in their designated container and inform and encourage them to properly sort materials. If the problem persists, the TOWN shall notify the Authority, who shall then assist the TOWN in resolving the problem. 12. Recycling Containers The Authority shall provide yellow and blue eighteen (18) and ninety-six (96) gallon recycling containers. The yellow and blue colors reflect a consistent educational advertising effort through TV commercials, newsprint, radio, mailer, or other source. It is the TOWN's responsibility to make sure it or its Private Hauler has equipment compatible to provide proper collection of these recycling containers without damage. The TOWN or its Private Hauler shall be responsible for replacement of any recycling container(s) damaged during service at no cost to the Authority. The Authority reserves the right to add or delete different size containers and when doing so will provide the TOWN with reasonable notice to make those changes. 13. Compliance with Zoning Ordinances Any transfer, processing, disposal and/or storage of Municipal Solid Waste and Recyclable Materials shall be undertaken at a Designated Facility that complies with all local zoning ordinances and any other applicable local and state statutes, ordinances, and regulations. 14. Delivery of Unacceptable Loads If the TOWN delivers a load of Designated Recyclables that is deemed to be an Unacceptable Load, the TOWN or its Private Hauler will be charged the actual disposal cost for any rejected load due to Contamination or equipment failure. The Authority will notify the TOWN or its contractor immediately of an Unacceptable Load. If the problem of Unacceptable Loads persists (more than two times in a month), the Authority may elect to monitor the route for proper sorting and tagging procedures, and/or make recommendations to the TOWN. 15. Promotion and Education Responsibilities The Authority will provide recycling containers and assist in promoting and educating residents within the TOWN in an effort to increase recyclable tonnages and reduce Contamination. 16. Delivery of Designated Recyclables The TOWN agrees that it shall require that all Designated Recyclables separated from the normal Municipal Solid Waste stream that are collected by or on behalf of the TOWN be delivered to Designated Facilities as defined herein. The TOWN will take such action as is necessary and available to ensure against and prevent scavenging and unauthorized removal of such recyclables within the jurisdiction of the TOWN. 17. Term This Agreement shall begin on the later of its effective date or October 1, 2020, and continue through the following September 30th and shall automatically be renewed for successive annual periods. Either party may terminate this Agreement on any October 1 st by delivering written notice received by the other party prior to the preceding May 1 st. The Authority will continue to provide the necessary recycling containers and ongoing education and advertising as provided in this Agreement. Notwithstanding termination, any rights or duties imposed by law shall remain in effect. 18. Change in Law In the event any change in law abrogates or modifies any provisions or applications of this Agreement, the parties hereto agree to enter into good faith negotiations and use their best efforts to reach a mutually acceptable modification of this Agreement. 19. Notices All formal notices affecting the provisions of this Agreement shall be delivered in person or be sent by registered or certified mail to the individual designated below, until such time as either party furnishes the other party written instructions to contact another individual.
