This agreement, made on V}'1-A-°- -, 7 , 2015, shall be the complete and binding
agreement between the City of Tybee Island, Georgia ("City") and Warwick Group Consultants,
LLC ("Warwick"), a government affairs consulting firm located at 1717 K Street NW in
Washington, D.C.
Background
The City, for the purpose of retaining professional assistance with the infrastructure needs of the
City, has requested the services of Warwick. The City and Warwick wish to set forth herein the
terms and conditions under which the services shall be rendered by Warwick. In consideration
of the foregoing and of the mutual agreements set forth herein, the parties agree as follows:
Terms
1. The City will pay Warwick $3,000 per month for each of the months in the
calendar year 2015 for services performed by Warwick in relation to the City's beach
nourishment studies and projects and other issues identified by the City.
2. The fee described in Paragraph#1 includes all reasonable and necessary expenses
incurred by Warwick.
3. The fee and services described in Paragraph#1 do not include payment for the
time and expense of any out-of-town travel Warwick may incur at the request of the City.
4. The services described in Paragraph#1 above shall be performed at the direction
and to the satisfaction of the City.
5. Warwick shall account to the City for the time it has spent in performance of the
services described in Paragraph#1 and shall maintain contact with a representative of the City by
telephone, fax, mail, and/or e-mail to inform said representative of developments regarding the
services described in Paragraph#1 and respond to said representative's comments and questions
in a prompt and appropriate manner.
6. Either party may terminate this contract, without cause, upon thirty(30)days'
written notice.
This Agreement contains the entire agreement and understanding of the City and Warwick with
respect to the matters covered herein and may only be modified by written instrument signed by
both parties.
IN WITNESS WHEREOF, the parties hereto, intending to be legally bound, have caused this
Agreement to be executed on the day and year first above written.
