CITY OF RICHMOND, INDIANA, SERVINGS AS A BOARD
IN CHARGE OF THE OPERATION OF THE RICHMOND POWER
& LIGHT PLANT, SEPTEMBER 7, 1982
1 The Common Council of the City of Richmond, Indiana, serving as a Board in
2 charge of the operation of the Richmond Power & Light Plant, met in regular
3 session September 7, 1982 at the hour of 7 :00 p.m. in the Municipal Building
4 in said City. Vice Chairman Hankinson presided with the following members
5 present: Messrs. Elstro, Williams, Ms. Henry, Mills, Parker, Carter and
6 Paust. Absent: Welch. The following business was had, to-wit:

10 Councilman Mills moved to approve the minutes of the previous meeting as
11 received, seconded by Councilman Williams and on unanimous voice vote the
12 motion was carried.

14 APPROVAL OF BILLS

16 Councilman Carter moved to approve bills in the amount of $454,031.20, seconded
17 by Councilwoman Henry and on unanimous voice vote the motion was carried.

19 REPORT BY GENERAL MANAGER

22 General Manager Irving Huffman reported IMPA has filed contracts with Public
23 Service Company of Indiana concerning purchase of Gibson 5 and necessary
24 agreements that accompany that. All agreements with NIPSCO have been worked
25 out but not as yet signed. All details with I&M have essentially been worked
26 out. The agreement is not what RP&L would like as they would like to assign
27 their agreement to IMPA for them to administer the contract. I&M wants to
28 maintain the contract with RP&L so IMPA will be the agent. I&M has taken the
29 position before PSCI that it will not block IMPA but will do no more than nec-
30 essary to get IMPA off the ground. All contracts should be signed within the
31 next two weeks, then reviewed by PSCI and made a part of their order to enable
111 32 IMPA to sell bonds.

36 Councilman Carter noted we ,have certain options in our present contract agree-
37 ment with I&M whereby we can do certain things about buying power, use of
38 reserve, demand charges etc. By making IMPA our sole bargaining agency he feels
39 the door will be open leaving things open-ended. He noted in the Modification
40 attached to the ordinance that " the Agency and Richmond are willing to keep
41 the Agreement and service schedules in place until such time as I&M is willing
42 to enter into an interconnection agreement with the Agency not limited only to
43 service for Anderson and Frankton but to include service for all Agency members
44 within the I&M service area, including Richmond. . .". He asked what happens if
45 they never .'agree= to enter into an agreement. Mr. Huffman stated our agreement
47 that we have with IMPA acting as our agent will have to go forward and we will
48 operate under that type of control; however, I&M has said as soon as IMPA can
49 show that it has generation (Gibson 5) and that it is operating and can operate,
50 then they will sign the contract. Councilman Carter stated our existing contract
51 continues with I&M indefinitely or until they reach an agreement with IMPA and
52 that is bad news as they will never enter into an agreement. Mr. Huffman stated
53 there is nothing harmful in that respect. Councilman Carter stated he feels we
54 should be able to divorce ourselves from I&M and this might be a chance to do this.

56 Councilman Mills asked if the next contract with I&M will be negotiated by IMPA.
III57 Mr. Huffman stated the next contract will hopefully be negotiated. with IMPA
58 rather than Richmond. IMPA wants the same contract that we have. RP&L, through
59 their contract, has access to I&M's transmission lines and, through our contract,
60 IMPA will have access to these lines.
